HomeMy WebLinkAboutCivitas Advisors Inc; 2022-03-24;1 AGREEMENT FOR BUSINESS IMPROVEMENT DISTRICT ESTABLISHMENT AND DISESTABLISHMENT SERVICES CIVITAS ADVISORS, INC. THIS AGREEMENT is made and entered into as of the 24th day of March, 2022, by and between the CARLSBAD TOURSIM BUSINESS IMPROVEMENT DISTRICT, a business improvement district, ("District"), and Civitas Advisors Inc., a California corporation ("Contractor"). RECITALS A. District requires the professional services of a contractor experienced in the establishment and disestablishment of business improvement districts in the State of California. B. Contractor has the necessary experience in providing professional services for the establishment and disestablishment of business improvement districts in the State of California C. Contractor has submitted a proposal to District and has affirmed its willingness and ability to perform such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, District and Contractor agree as follows: 1. SCOPE OF WORK District retains Contractor to perform, and Contractor agrees to render, those services (the "Services") that are defined in attached Exhibit "A", which is incorporated by this reference in accordance with this Agreement’s terms and conditions. 2. STANDARD OF PERFORMANCE While performing the Services, Contractor will exercise the reasonable professional care and skill customarily exercised by reputable members of Contractor's profession practicing in the Metropolitan Southern California Area, and will use reasonable diligence and best judgment while exercising its professional skill and expertise. 3. TERM The term of this Agreement will be effective for a period of twelve (12) months from the date first above written. The District may amend the Agreement to extend it for one additional twelve (12) month period or parts thereof. Extensions will be based upon a satisfactory review of Contractor's performance, District needs, and appropriation of funds by the District’s Advisory Board. The parties will prepare a written amendment indicating the effective date and length of the extended Agreement. 4. TIME IS OF THE ESSENCE Time is of the essence for each and every provision of this Agreement. 5. COMPENSATION The total fee payable for the Services to be performed during the initial Agreement term will be forty-four thousand, five hundred dollars ($44,500). No other compensation for the Services will be allowed except for items covered by subsequent amendments to this Agreement. If the District elects to extend the Agreement, the amount shall not exceed forty-four thousand, five hundred dollars ($44,500) per Agreement year. The District reserves the right to withhold a ten percent (10%) retention until District has accepted the work and/or Services specified in Exhibit "A". STATUS OF CONTRACTOR Contractor will perform the Services in Contractor's own way as an independent contractor and in pursuit of Contractor's independent calling, and not as an employee of District. Contractor will be under control of District only as to the result to be accomplished, but will consult with District as necessary. The persons used by Contractor to provide services under this Agreement will not be considered employees of District for any purposes. The payment made to Contractor pursuant to the Agreement will be the full and complete compensation to which Contractor is entitled. District will not make any federal or state tax withholdings on behalf of Contractor or its agents, employees or subcontractors. District will not be required to pay any workers' compensation insurance or unemployment contributions on behalf of Contractor or its employees or subcontractors. Contractor agrees to indemnify District within thirty (30) days for any tax, retirement contribution, social security, overtime payment, unemployment payment or workers' compensation payment which District may be required to make on behalf of Contractor or any agent, employee, or subcontractor of Contractor for work done under this Agreement. At the District’s election, District may deduct the indemnification amount from any balance owing to Contractor. 7. SUBCONTRACTING Contractor will not subcontract any portion of the Services without prior written approval of District. If Contractor subcontracts any of the Services, Contractor will be fully responsible to District for the acts and omissions of Contractor's subcontractor and of the persons either directly or indirectly employed by the subcontractor, as Contractor is for the acts and omissions of persons directly employed by Contractor. Nothing contained in this Agreement will create any contractual relationship between any subcontractor of Contractor and District. Contractor will be responsible for payment of subcontractors. Contractor will bind every subcontractor and every subcontractor of a subcontractor by the terms of this Agreement applicable to Contractor's work unless specifically noted to the contrary in the subcontract and approved in writing by District. 8. OTHER CONTRACTORS The District reserves the right to employ other Contractors in connection with the Services. 9. INDEMNIFICATION Contractor agrees to indemnify and hold harmless the District and its officers, officials, employees and volunteers from and against all claims, damages, losses and expenses including attorneys fees arising out of the performance of the work described herein caused by any negligence, recklessness, or willful misconduct of the Contractor, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. . 10. INSURANCE Contractor will obtain and maintain for the duration of the Agreement and any and all amendments, insurance against claims for injuries to persons or damage to property which may arise out of or in connection with performance of the services by Contractor or Contractor’s agents, representatives, employees or subcontractors. The insurance will be obtained from an insurance carrier admitted and authorized to do business in the State of California. The insurance carrier is required to have a current Best's Key Rating of not less than "A-:VII"; OR with a surplus line insurer on the State of California’s List of Approved Surplus Line Insurers (LASLI) with a rating in the latest Best’s Key Rating Guide of at least “A:X”; OR an alien non-admitted insurer listed by the National Association of Insurance Commissioners (NAIC) latest quarterly listings report. Contractor will maintain the types of coverage and minimum limits indicated below, unless the City of Carlsbad’s Risk Manager or City Manager approves a lower amount. These minimum amounts of coverage will not constitute any limitations or cap on Contractor's indemnification obligations under this Agreement. City, District, and their officers, agents and employees make no representation that the limits of the insurance specified to be carried by Contractor pursuant to this Agreement are adequate to protect Contractor. If Contractor believes that any required insurance coverage is inadequate, Contractor will obtain such additional insurance coverage, as Contractor deems adequate, at Contractor's sole expense. The full limits available to the named insured shall also be available and applicable to the City and District as an additionally insured. 10.1.1 Commercial General Liability (CGL) Insurance. Insurance written on an “occurrence” basis, including personal & advertising injury, with limits no less than $2,000,000 per occurrence. If a general aggregate limit applies, either the general aggregate limit shall apply separately to this project/location or the general aggregate limit shall be twice the required occurrence limit. 10.1.2 Automobile Liability. (if the use of an automobile is involved for Contractor's work for City). $2,000,000 combined single-limit per accident for bodily injury and property damage. 10.1.3 Workers' Compensation and Employer's Liability. Workers' Compensation limits as required by the California Labor Code. Workers' Compensation will not be required if Contractor has no employees and provides, to District's satisfaction, a declaration stating this. 10.1.4 Professional Liability. Errors and omissions liability appropriate to Contractor’s profession with limits of not less than $1,000,000 per claim. Coverage must be maintained for a period of five years following the date of completion of the work. 10.2 Additional Provisions. Contractor will ensure that the policies of insurance required under this Agreement contain, or are endorsed to contain, the following provisions: 10.2.1 The City and District will be named as an additional insured on Commercial General Liability which shall provide primary coverage to the City and District. 10.2.2 Contractor will obtain occurrence coverage, excluding Professional Liability, which will be written as claims-made coverage. 10.2.3 This insurance will be in force during the life of the Agreement and any extensions of it and will not be canceled without thirty (30) days prior written notice to District sent by certified mail pursuant to the Notice provisions of this Agreement. 10.3 Providing Certificates of Insurance and Endorsements. Prior to D's execution of this Agreement, Contractor will furnish certificates of insurance and endorsements to District. 10.4 Failure to Maintain Coverage. If Contractor fails to maintain any of these insurance coverages, then District will have the option to declare Contractor in breach or may purchase replacement insurance or pay the premiums that are due on existing policies in order to maintain the required coverages. Contractor is responsible for any payments made by District to obtain or maintain insurance and District may collect these payments from Contractor or deduct the amount paid from any sums due Contractor under this Agreement. 10.5 Submission of Insurance Policies. District reserves the right to require, at any time, complete and certified copies of any or all required insurance policies and endorsements. BUSINESS LICENSE Contractor will obtain and maintain a City of Carlsbad Business License for the term of the Agreement, as may be amended from time-to-time. 12. ACCOUNTING RECORDS Contractor will maintain complete and accurate records with respect to costs incurred under this Agreement. All records will be clearly identifiable. Contractor will allow a representative of District during normal business hours to examine, audit, and make transcripts or copies of records and any other documents created pursuant to this Agreement. Contractor will allow inspection of all work, data, documents, proceedings, and activities related to the Agreement for a period of three (3) years from the date of final payment under this Agreement. 13. OWNERSHIP OF DOCUMENTS All work product produced by Contractor or its agents, employees, and subcontractors pursuant to this Agreement is the property of District. In the event this Agreement is terminated, all work product produced by Contractor or its agents, employees and subcontractors pursuant to this Agreement will be delivered at once to District. Contractor will have the right to make one (1) copy of the work product for Contractor’s records. 14. COPYRIGHTS Contractor agrees that all copyrights that arise from the services will be vested in District and Contractor relinquishes all claims to the copyrights in favor of District. 15. NOTICES The name of the persons who are authorized to give written notice or to receive written notice on behalf of District and on behalf of Contractor under this Agreement. CONFLICT OF INTEREST Contractor shall file a Conflict of Interest Statement with the City of Carlsbad City Clerk in accordance with the requirements of the City of Carlsbad Conflict of Interest Code. GENERAL COMPLIANCE WITH LAWS Contractor will keep fully informed of federal, state and local laws and ordinances and regulations which in any manner affect those employed by Contractor, or in any way affect the performance of the Services by Contractor. Contractor will at all times observe and comply with these laws, ordinances, and regulations and will be responsible for the compliance of Contractor's services with all applicable laws, ordinances and regulations. Contractor will be aware of the requirements of the Immigration Reform and Control Act of 1986 and will comply with those requirements, including, but not limited to, verifying the eligibility for employment of all agents, employees, subcontractors and consultants whose services are required by this Agreement. 18. DISCRIMINATION AND HARASSMENT PROHIBITED Contractor will comply with all applicable local, state and federal laws and regulations prohibiting discrimination and harassment. 19. DISPUTE RESOLUTION If a dispute should arise regarding the performance of the Services the following procedure will be used to resolve any questions of fact or interpretation not otherwise settled by agreement between the parties. Representatives of Contractor or District will reduce such questions, and their respective views, to writing. A copy of such documented dispute will be forwarded to both parties involved along with recommended methods of resolution, which would be of benefit to both parties. The representative receiving the letter will reply to the letter along with a recommended method of resolution within ten (10) business days. If the resolution thus obtained is unsatisfactory to the aggrieved party, a letter outlining the disputes will be forwarded to the City of Carlsbad’s City Manager. The City Manager will consider the facts and solutions recommended by each party and may then opt to direct a solution to the problem. In such cases, the action of the City Manager will be binding upon the parties involved, although nothing in this procedure will prohibit the parties from seeking remedies available to them at law. 20. TERMINATION In the event of the Contractor's failure to prosecute, deliver, or perform the Services, District may terminate this Agreement for nonperformance by notifying Contractor by certified mail of the termination. If District decides to abandon or indefinitely postpone the work or services contemplated by this Agreement, District may terminate this Agreement upon written notice to Contractor. Upon notification of termination, Contractor has five (5) business days to deliver any documents owned by District and all work in progress to District address contained in this Agreement. District will make a determination of fact based upon the work product delivered to District and of the percentage of work that Contractor has performed which is usable and of worth to District in having the Agreement completed. Based upon that finding District will determine the final payment of the Agreement. Either party upon tendering thirty (30) days written notice to the other party may terminate this Agreement. In this event and upon request of District, Contractor will assemble the work product and put it in order for proper filing and closing and deliver it to District. Contractor will be paid for work performed to the termination date; however, the total will not exceed the lump sum fee payable under this Agreement. District will make the final determination as to the portions of tasks completed and the compensation to be made. 21. COVENANTS AGAINST CONTINGENT FEES Contractor warrants that Contractor has not employed or retained any company or person, other than a bona fide employee working for Contractor, to solicit or secure this Agreement, and that DocuSign Envelope ID: 3C21065B-C7DA-4F44-A990-51A3C10835D4 6 Contractor has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage, brokerage fee, gift, or any other consideration contingent upon, or resulting from, the award or making of this Agreement. For breach or violation of this warranty, District will have the right to annul this Agreement without liability, or, in its discretion, to deduct from the Agreement price or consideration, or otherwise recover, the full amount of the fee, commission, percentage, brokerage fees, gift, or contingent fee. 22. CLAIMS AND LAWSUITS By signing this Agreement, Contractor agrees that any Agreement claim submitted to District must be asserted as part of the Agreement process as set forth in this Agreement and not in anticipation of litigation or in conjunction with litigation. Contractor acknowledges that if a false claim is submitted to District, it may be considered fraud and Contractor may be subject to criminal prosecution. Contractor acknowledges that California Government Code sections 12650 et seq., the False Claims Act applies to this Agreement and, provides for civil penalties where a person knowingly submits a false claim to a public entity. These provisions include false claims made with deliberate ignorance of the false information or in reckless disregard of the truth or falsity of information. If District seeks to recover penalties pursuant to the False Claims Act, it is entitled to recover its litigation costs, including attorney's fees. Contractor acknowledges that the filing of a false claim may subject Contractor to an administrative debarment proceeding as the result of which Contractor may be prevented to act as a Contractor on any public work or improvement for a period of up to five (5) years. Contractor acknowledges debarment by another jurisdiction is grounds for District to terminate this Agreement. 23. JURISDICTION AND VENUE Any action at law or in equity brought by either of the parties for the purpose of enforcing a right or rights provided for by this Agreement will be tried in a court of competent jurisdiction in the County of San Diego, State of California, and the parties waive all provisions of law providing for a change of venue in these proceedings to any other county. 24. SUCCESSORS AND ASSIGNS It is mutually understood and agreed that this Agreement will be binding upon District and Contractor and their respective successors. Neither this Agreement nor any part of it nor any monies due or to become due under it may be assigned by Contractor without the prior consent of District, which shall not be unreasonably withheld. 25. ENTIRE AGREEMENT This Agreement, together with any other written document referred to or contemplated by it, along with the purchase order for this Agreement and its provisions, embody the entire Agreement and understanding between the parties relating to the subject matter of it. In case of conflict, the terms of the Agreement supersede the purchase order. Neither this Agreement nor any of its provisions may be amended, modified, waived or discharged except in a writing signed by both parties. 26. AUTHORITY The individuals executing this Agreement and the instruments referenced in it on behalf of Contractor each represent and warrant that they have the legal power, right and actual authority to bind Contractor to the terms and conditions of this Agreement. The five steps (5) are briefly described below and outlined in further detail on the following pages. If the project is initiated by March 1, 2022, we expect each of the steps to be completed during the month(s) listed. Step One: Initiation & Infrastructure (March) This step creates the necessary leadership structure to carry out the project. During this step Civitas, the City, and other business owners will identify their respective roles in the formation process. This step also includes gathering information on the district. Step Two: Stakeholder Education & Engagement (April) Outreach efforts are undertaken in step two (2) to connect with business owners to gain their support for the converted CTBID. Step Three: Document Preparation and Revision (May) In step three (3), documents necessary to convert the CTBID are drafted. Civitas will work closely with business owners and the City to ensure documents reflect the needs and priorities of assessed businesses. Documents drafted by Civitas will be submitted to the City and business owners for review. Based on their input, Civitas will revise documents as necessary and prepare final documents. Step Four: Petition Preparation & Petition Drive (June) Civitas will draft the petition, submit it to the City for review, and incorporate any amendments. Civitas will also help coordinate the petition drive to ensure that the petitions collected meet the required state threshold. Step Five: City Hearing Process (July & August) Finally, Civitas will guide the City through the City Council hearing process to convert the CTBID. Step One: Initiation & Infrastructure This step includes development of program infrastructure necessary to carry out a successful conversion project. Civitas will work with the City to update the database of CTBID lodging business owners. DocuSign Envelope ID: 3C21065B-C7DA-4F44-A990-51A3C10835D4 9 1.1 Develop Project Parameters Civitas will work with the City and business owners to clarify the project parameters. Assignments for Civitas, the City, and lodging business owners will be established. 1.2 Leadership Infrastructure A project steering committee composed of City staff and lodging business owners will be formed. We will work with the steering committee to provide guidance and keep the project on track. 1.3 Database Civitas will work with the City to update the CTBID database. The database will be used for various purposes throughout the project, including calculating assessments and conducting mailings. Variables that may need to be assembled include business name and address, owner name, business, and revenue. Civitas will sign a non-disclosure agreement if necessary, or work with the City to determine the petition and protest weight of each business. Step Two: Stakeholder Education and Engagement It is our understanding that the steering committee will conduct outreach to, and build consensus among lodging business owners within the CTBID via peer to peer communication with the support of Civitas. Reaching out to lodging business owners, city leadership and city staff is a crucial piece of the conversion process. 2.1 Develop Outreach Program Civitas and the City will work together to develop an effective outreach program. The program will include educating City staff and lodging business owners about TIDs, the advantages of the ’94 Act, and seeking their input on the best strategy for Carlsbad. 2.2 Establish District Parameters During the outreach process, budget priorities will be discussed and may be modified. It is anticipated that the assessment rate will not be modified. Other elements of the CTBID, such as governance provisions and service priorities, will also be discussed and will be modified as requested. 2.3 Database The initial database will be updated and manipulated throughout the outreach process. Civitas and the City will build on previously obtained information to maintain a complete and current database of CTBID lodging businesses. 2.4 Advice & Strategy In step two (2), in coordination with the General Counsel and Outside Counsel, Civitas will provide advice as to best handle the reserves that are currently in the existing TBID. Options presented will include addressing issues associated with retaining the existing district or DocuSign Envelope ID: 3C21065B-C7DA-4F44-A990-51A3C10835D4 10 dissolving the existing district. In addition, Civitas will provide advice on current and future options associated with including the Golf BID in the new district or retaining its current structure. Step Three: Document Preparation and Revision Civitas will utilize information gathered in the outreach and consensus building process to prepare documents required for CTBID conversion. 3.1 Management District Plan Civitas will prepare a Management District Plan that complies with California law and serves as a user-friendly educational tool. The Management District Plan will include: • District rationale and objectives • District boundaries, benefit zones, and business classifications • Service plan and annual budget • Proposition 26 compliance provisions • Assessment rate • Governance structure • District rules and regulations • Exhibits, including a map and list of businesses 3.2 Resolutions, Ordinance and Notice Civitas will draft the resolutions and/or ordinances necessary to convert the CTBID. The resolutions will include parameters from the Management District Plan and other legally required elements. A notice must also be sent to lodging businesses proposed to be in the CTBID; Civitas will draft the notice. 3.3 Steering Committee Review Civitas will submit draft documents to the steering committee for review. Civitas will revise documents to incorporate any comments from the steering committee. 3.4 Consultation with Counsel Civitas’ staff will work with the General Counsel’s Office and outside counsel to obtain their review and approval of documents. Civitas will incorporate their comments as necessary, and prepare finalized documents. 3.5 Finalization Based on comments from the steering committee, city staff and counsel, Civitas will prepare a final version of the Management District Plan, and all other documents. Finalization may require several rounds of edits and negotiation between the parties. DocuSign Envelope ID: 3C21065B-C7DA-4F44-A990-51A3C10835D4 11 Step Four: Petition Preparation and Petition Drive 4.1 Petition The 1994 Law requires signed petitions from businesses to begin the CTBID conversion process. Civitas will draft the petition based on the Management District Plan. 4.2 Petition Collection Civitas will work with the steering committee to ensure adequate petition support has been garnered. This will include working with the City to devise a calculation method, and working with the steering committee to identify the most influential lodging business owners. The steering committee and the City will be responsible for collecting signed petitions from lodging business owners. Step Five: City Hearing Process Once the steering committee and City have approved final documents, Civitas will assist in submitting the project to the City Council. 5.1 District Finalization Civitas will take all necessary steps to prepare for CTBID conversion and wind down. This will include coordinating with City staff to set and prepare for hearings and discussing legal matters with the General Counsel and outside counsel. Frequent phone calls, email correspondence, and other communications will be necessary throughout this step. 5.2 Resolution of Intention Civitas will attend the City Council hearing on the Resolution of Intention. If necessary, Civitas will be prepared to make a brief presentation about the converted CTBID to the City Council. After the Resolution of Intention is adopted, Civitas will coordinate with City staff to ensure notice is given to CTBID businesses in accordance with the 1994 Law. 5.3 Public Meeting Civitas will help the City prepare for the public meeting. Civitas will outline the requirements of the meeting and work with the General Counsel and outside counsel to ensure compliance with the 1994 Law. 5.4 Public Hearing Civitas will attend the public hearing and be prepared to make presentations and address any issues that may arise. 5.5 Disestablishment of Existing District If desired, Civitas will draft the necessary documents to disestablish the existing district. Documents will include a Resolution of Intention, Notice, and Disestablishment Ordinance. Civitas will work with the City staff to finalize and execute the disestablishment. DocuSign Envelope ID: 3C21065B-C7DA-4F44-A990-51A3C10835D4 12 Cost and Fees Investment This proposal is based on the understanding that business owners and the City will provide assistance and time needed to facilitate the process on the local level, including time devoted to outreach meetings, and gathering support and signed petitions from businesses. The CTBID’s investment for the scope of services and timeline described herein shall be $38,500. The City ’s investment includes two (2) trips to Carlsbad to attend City Council hearings. If additional trips are necessary, we would be happy to make additional trips for a professional fee of $1,250 per trip, plus expenses. Expenses The City will be responsible for all costs and expenses in addition to the professional fees. Ordinary costs and expenses, including telephone charges, postage, and photocopying will be billed at four percent (4%) of professional fees. Other costs, such as travel, overnight shipping, bulk mailing and printing costs (over 100 pages) shall be billed at Civitas’ actual cost. Expenses are not expected to exceed $2,500. Billing Civitas proposes a fixed monthly fee of $6,000 per month for six (6) months, plus expenses. A start-up fee of ten percent (10%) of project costs, $3,850, will be due and payable upon execution of an agreement for services between Civitas and the City. The amount of the start-up fee will be deducted from the final invoice, which will also be adjusted to account for the total contract price. Civitas will send a monthly invoice for fees and costs incurred. Invoices will include the fixed professional fee and expenses. The basis of calculation or other method of determining expenses will be clearly identified by item and amount.
