OPERATING AGREEMENT
OF
CHIEF MOUNTAIN HOLDINGS LLC
This Operating Agreement ("Agreement") of CHIEF MOUNTAIN HOLDINGS LLC, a
California limited liability company ("Company") is entered into effective as of February 23,
2017, by and between the Company and William Keith and Lynn Webster, husband and wife as
community property, and David Huntington, an individual, its members (referred to individually
as a "Member" and collectively as the "Members").
The Members have formed a limited liability company, and elect to have it governed
pursuant to and in accordance with the California Revised Uniform Limited Liability Company
Act (California Corporations Code §§17701.01 et seq), as amended from time to time ("Act"),
and agree as follows:
1. Name. The name of the limited liability company formed is Chief Mountain
Holdings LLC.
2. Purpose. The Company will be formed for the purpose of (a) engaging in real
estate investment, ownership, and real estate rental, and all activities incidental thereto, including
other investing (the "Business"); (b) to have and exercise all powers now or hereafter conferred
by the laws of the State of California on limited liability companies pursuant to the Act; ( c) to
engage in any other lawful act or activity permitted under the Act; and ( d) to engage in all
actions necessary, convenient or incidental thereto.
3. Principal Place of Business and Office of the Company. The principal place of
business and office of the Company shall be located at 1460 Orpheus A venue, Encinitas,
California, 92024 or such other place or places as the Members may from time to time designate.
The Company may maintain such other offices as the Members deem advisable.
4. Members. The name and address of the Members are as follows:

5. Agent for Process. The initial agent for service of process on the Company will
be, William Keith Webster whose address is 1460 Orpheus Ave, Encinitas, CA 92024. The
Members may from time to time change the Company's agent for service of process.
6. Articles of Organization. The Members have caused the articles of organization
in the form attached to this Agreement as Exhibit "A," to be filed with the California Secretary
of State on February 23, 2017, as file number 201705510116.

7. Management. The management of the Company shall be vested in the Manager,
who shall be William Keith Webster. Except as otherwise set forth in this Agreement, all
decisions concerning the management of the Company's business shall be made by the Manager.
The Manager shall have full authority and responsibility in the day to day management and
control of the business, operations and affairs of the Company. In addition to managing the day-
to-day business, operations and affairs of the Company, and subject to the provisions of this
Agreement, the Manager shall have the full power and authority to act on behalf of the
Company, including without limitation carrying out the following rights and duties, without any
further act, vote or approval of the Members:
(a) Negotiate and enter into any documents, including but not limited to purchase
agreements, exchange agreements, ground leases, leases, assignments or option agreements,
necessary or required for the acquisition and disposition of real property on behalf of the
Company;
(b) Negotiate and execute grant deeds, loan agreements, promissory notes, deeds of
trust and any and all other instruments and documents related to the Business;
(c) Leasing, managing, transferring, purchasing, exchanging and/or selling all or
portions of the real property pursuant to agreements negotiated and approved by Manager, in his
sole discretion;
( d) Borrowing money from any party; issuing evidences of indebtedness in
connection therewith; refinancing; increasing the amount of, modifying, amending, or changing
the tenns of or extending the time for the payment of any indebtedness or obligation of the
Company; and securing such indebtedness by mortgage, deed of trust, pledge, security interest or
other lien on Company assets;
(e) Retaining legal counsel, auditors and other professionals in connection with the
Business and paying therefore such remuneration as the Manager may determine;
(f) Employing and terminating third party employees, in connection with the day-to-
day operation of the Company and the Business;
(g) Suing on, defending or compromising any and all claims or liabilities in favor of
or against the Company; submitting any or all such claims or liabilities to arbitration when
required or when it is advisable in the Manager's opinion; taking any action to mitigate damages,
including without limitation, having the power to declare a forfeiture under and/or termination of
any lease;
(h) Obtaining insurance deemed reasonably necessary or appropriate by the Manager;
and
(i) Do and perform all other acts as may be necessary or appropriate to the conduct
or furtherance of the business of the Company, as reasonably determined by the Manager.

Notwithstanding the foregoing, the Manager shall not take any of the following actions ("Major
Decisions") on behalf of the Company unless all of the Members have each consented to the
taking of such action:
(a) The dissolution of the Company;
(b) Any amendment of the Articles of Organization;
( c) Any confession of a judgment against the Company;
( d) A change in the nature of the principal business of the Company;
( e) The filing of a petition in bankruptcy or entering into an arrangement among the
Company's creditors; and
(f) The entering into on behalf of the Company, of any transaction constituting a
"reorganization" within the meaning of Corporations Code § 17711.01.
All Company assets, whether real or personal, shall be held in the name of the Company. All
Company funds shall be deposited in one or more accounts with one or more recognized
financial institutions in the name of the Company, at locations determined by the Manager.
Withdrawal from those accounts shall require the signature of the Manager.
8. Dissolution. The Company shall dissolve, and its affairs shall be wound up, on
the first to occur of the following:
(a) the unanimous written consent of all the Members to dissolve the Company;
(b) the passage of 90 consecutive days during which the Company bas no members;
( c) the death of a natural person who is the sole Member of the Company; unless the
status of the Member, including a Membership Interest, passes to the heirs, successors, and
assigns of the Member by will or applicable law within ninety (90) days of the Member's death;
( d) the entry of a decree of judicial dissolution under Section 17707 .03 of the Act.
On the dissolution of the Company, it shall engage in no further business other than
necessary to wind up its business and affairs. The Manager or shall wind up the affairs of the
Company and give written Notice of the commencement of winding up by mail to all known
creditors and claimants against the Company whose addresses appear in the records of the
Company. After paying or adequately providing for the payment of all known debts of the
Company ( except debts owing to the Members), the remaining assets of the Company shall be
distributed or applied in the following order of priority: (a) to pay the expenses of liquidation;
(b) to repay outstanding loans to the Members; ( c) to the Members in accordance with their

Membership Interests.
9. Capital Contributions; Percentage Interest and Capital Accounts. Each Member
shall contribute the funds identified in Exhibit "B" to the Company and the costs of formation of
this entity as their initial capital contributions. The value of each Member's initial capital
contribution and their respective percentage interest in the Company ('"Percentage Interest") are
set forth in Exhibit "B'' hereto.
An individual Capital Account for each Member shall be maintained in accordance with
the requirements of Reg §1.704-l(b)(2)(iv) and adjusted in accordance with the following
provisions:
(a) A Member's Capital Account shall be increased by that Member's capital
contributions, that Member's share of profits, and any items in the nature of income or
gain that are specially allocated to that Member.
(b) A Member's Capital Account shall be increased by the amount of any
Company liabilities assumed by that Member subject to and in accordance with the
provisions ofReg §l.704-l(b)(2)(iv)(c).
(c) A Member's Capital Account shall be decreased by (a) the amount of cash
distributed to that Member; and (b) the amount of any items in the nature of expenses or
losses that are specially allocated to that Member.
(d) A Member's Capital Account shall be reduced by the Member's share of
any expenditures of the Company described in IRC section 705(a)(2)(B) or which are
treated as IRC section 705(a)(2)(B) expenditures pursuant to Reg section
l.704-l(b)(2)(iv)(i) (including syndication expenses and losses nondeductible under IRC
sections 267(a)(l) or 707(b)).
( e) If any Transferrable Interest ( or portion thereof) is transferred, the
transferee of such Transferrable Interest or portion shall succeed to the transferor's
Capital Account attributable to such interest or portion.
(f) Each Member's Capital Account shall be increased or decreased as
necessary to reflect a revaluation of the Company's property assets in accordance with the
requirements of Reg sections 1.704-l(b)(2)(iv)(t) and 1.704-l(b)(2)(iv)(g), including the
special rules under Reg section 1.701-l{b)(4), as applicable. The provisions of this
Agreement respecting the maintenance of Capital Accounts are intended to comply with
Reg section 1.704-l(b) and shall be interpreted and applied in a manner consistent with
those Regulations.
10. Additional Contributions. The Members may, but shall not be required to make
additional capital contributions to the Company.

11. Allocation of Profits and Losses. The profits and losses of the Company and all
items of Company income, gain, loss, deduction, or credit shall be allocated, for Company book
purposes and for tax purposes, to the Members in accordance with that Member's Percentage
Interest.
12. Distributions. Distributions shall be made to the Members at the times and in the
aggregate amounts determined by the Manager. Such distributions shall be allocated to the
Members in the same proportion as his or her Percentage Interest.
13. Transfers. A Member shall not transfer all of the Member's Membership Interest
in the Company unless the remaining Members unanimously approve the transferee's admission
to the Company as a Member; provided, however, that the Member may transfer all or any
portion of his Membership Interest to any revocable trust created for the benefit of the Member,
or any combination between or among the Member, the Member's spouse or domestic partner,
and the Member's issue. A transfer of a Member's entire beneficial interest in the trust or failure
to retain a voting interest in the Company shall be deemed a transfer of an entire Membership
Interest.
14. Resignation. A Member may resign from the Company only on the dissolution
and winding up of the Company or on the unanimous written consent of the remaining Members.
15. Admission of Additional Members. One or more additional members may be
admitted to the Company upon the unanimous written consent of the Members.
16. Liability of Members. The Manager and Members shall not be bound by, or be
personally liable for, the expenses, liabilities, or obligations of the Company except as otherwise
provided in the Act or in this Agreement.
17. Governing Law. This Agreement shall be governed by and construed under the
laws of the State of California, and all rights and remedies shall be governed by said laws.
18. Amendment. This Agreement may be altered, amended or repealed only be a
writing signed by all Members.

To address post-development pollutants that may be generated from development projects, the city requires that new
development and significant redevelopment priority projects incorporate Permanent Storm Water Best Management
Practices (BMPs) into the project design per Carlsbad BMP Design Manual (BMP Manual). To view the BMP Manual,
refer to the Engineering Standards (Volume 5).
This questionnaire must be completed by the applicant in advance of submitting for a development application
(subdivision, discretionary permits and/or construction permits). The results of the questionnaire determine the level of
storm water standards that must be applied to a proposed development or redevelopment project. Depending on the
outcome, your project will either be subject to 'STANDARD PROJECT' requirements or be subject to 'PRIORITY
DEVELOPMENT PROJECT' (PDP) requirements.
Your responses to the questionnaire represent an initial assessment of the proposed project conditions and impacts. City
staff has responsibility for making the final assessment after submission of the development application. If staff
determines that the questionnaire was incorrectly filled out and is subject to more stringent storm water standards than
initially assessed by you, this will result in the return of the development application as incomplete. In this case, please
make the changes to the questionnaire and resubmit to the city.
