Recommended Action
Adopt a resolution authorizing the City Manager to execute the Citywide Audio-Visual Support
Agreement with AVI Systems, Inc. to provide full-service support and maintenance for all
existing audio-visual equipment in city facilities in an amount not to exceed $995,245 for a
three-year period, with the option to extend for two, one-year periods.
Executive Summary
The city has installed audio-visual hardware and software technology throughout its facilities.
As a result, the city needs a professional service provider who specializes in audio-visual
technology that can provide professional, well-trained and certified staff knowledgeable in all
facets of associated technologies to support the city’s current and future equipment.
AVI began providing professional and competent audio-visual support to the city in 2017 on an
as-needed basis. In 2018, AVI was contracted to provide support for a one-year period, which
was then extended in 2019 for a three-year period that will end on July 10, 2022. AVI is
extremely responsive and has fully qualified staff trained and certified in audio-visual
technology to continue this service going forward.
By continuing to use a single vendor for audio-visual support and maintenance citywide, the
city will have consistency and continuity for its integrated technologies and be able to continue
to meet the city’s current and future demands.
Carlsbad Municipal Code Section 3.28.060 – Procurement of Professional Services and Services
designates the City Council as the awarding authority for procurement of professional services
and services for which the cost to the city is more than $100,000 per agreement year.
Carlsbad Municipal Code Section 3.28.100 – Cooperative Purchasing authorizes the Purchasing
Officer to join with other public or quasi-public agencies in cooperative purchasing plans or
programs for the purchase of goods and/or services by contract, arrangement or agreement as
allowed by law and as determined by the Purchasing Officer to be in the city’s best interest. The
Purchasing Officer may buy directly from a vendor at a price established by another public

agency when the other agency has made their purchase in a competitive manner. As such, this
agreement price was quoted from the General Service Administration Federal Acquisition
Service Contract No. GS-35F-0230X.
Discussion
As technology has become more commonplace in everyday life, the city has become
increasingly dependent on audio-visual equipment to perform its duties for the public. As an
example, the city uses sophisticated audio-visual equipment to allow the City Council to vote, to
live stream the City Council and Planning Commission meetings on cable channels and to
provide multimedia presentations to the public. Therefore, audio-visual support for staff
throughout the city has become a regular necessity.
The proposed agreement with AVI is designed to cover support for all the city’s existing audio-
visual hardware and software. This agreement includes the following:
•On-site support for all City Council meetings and all other planned public meetings
•Replacement of hardware in the event it cannot be repaired
•Unlimited on-site operator training to assure any new and/or existing system operators
understand the system functionality
•Two on-site recertification sessions per year to ensure all audio-visual hardware and
software components remain current
•Support for special meetings at a discounted rate
•Unlimited service calls

In the event the city decides to purchase additional audio-visual equipment, support will be
prorated and added to this agreement with an amendment to be approved as authorized by
the Carlsbad Municipal Code Section 3.28.090 – Execution of change orders and amendments.

1. Adopt a resolution authorizing the City Manager to execute documents necessary to
procure the Citywide audio-visual support agreement.

Fiscal Analysis
The total cost of the citywide audio-visual agreement is $995,245.00 over a three-year period,
or $331,748 per fiscal year.
The price of $331,748 per year is from the General Service Administration Federal Acquisition
Service Contract No. GS-35F-0230X that was awarded to AVI. A GSA contract is an agreed upon
ceiling amount that can be offered by AVI to agencies participating under the cooperative
agreement, but AVI can offer rates below the ceiling amount when applicable. In order to
secure a three-year term with the city, AVI has offered an additional discount below the
standard ceiling amount.
The following table shows a comparison of costs between three annual one-year agreements
and a single three-year agreement, with savings:
The Year 1 cost was estimated and included in the Information Technology Department’s fiscal
year 2022-23 operational budget request that is currently under consideration. Year 2 & 3
budget requests will be included in the appropriate year going forward.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD,
CALIFORNIA, AUTHORIZING THE CITY MANAGER TO EXECUTE AN

WHEREAS, the City of Carlsbad has determined it is necessary and desirable and in the public
interest to execute an Agreement for audio-visual support and maintenance with AVI Systems, Inc; and
WHEREAS, the City of Carlsbad has installed audio-visual hardware and software technology
throughout city facilities to help with staff productivity and public engagement; and
WHEREAS, the most effective way to support the city's audio-visual technology is through a new
Agreement for audio-visual support and maintenance replacing the current agreement expiring on
July 10, 2022; and
WHEREAS, this Agreement will cover all existing audio-visual equipment at city facilities;
WHEREAS, AVI Systems, Inc., is an authorized professional service provider and reseller of
audio-visual products under the General Service Administration Federal Acquisition Service Contract
Number: GS-35F-0230X; and
WHEREAS, the budget to procure the audio-visual support and maintenance services is available
in the Information Technology Department's fiscal year 2022-23 budget; and
WHEREAS, the funding for the Agreement's future years will be considered on an annual basis
in the Information Technology Department's annual budget requests.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad, California, as
follows:
1.That the above recitations are true and correct.
2.That the professional services agreement with AVI Systems, Inc. (Attachment A) is
approved and the City Manager or a designee is authorized to execute an agreement for
citywide audio-visual support and maintenance with AVI Systems, Inc for all currently
existing audio-visual equipment in city facilities, in an amount not to exceed $995,245
for a three-year period, with the option to extend for two, one-year periods and any
documents necessary to extend or administer the Agreement on behalf of the city.

AGREEMENT FOR CITYWIDE AUDIO-VISUAL SUPPORT SERVICES
AVI SYSTEMS, INC.
u+vv THIS AGREEMENT is made and entered into as of the __ ..... !2 ____ day of
J\J NJ , 2022, by and between the CITY OF CARLSBAD, a municipal
corporation, ("City"), and AVI SYSTEMS INC., a North Dakota corporation, ("Contractor").
RECITALS
A. City requires the professional services of a vendor that is experienced in providing
aud io-visual support services.
B. Contractor has the necessary experience in providing audio-visual support
services.
C. Contractor has submitted a proposal to City and has affirmed its willingness and
ability to perform such work.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants
contained herein, City and Contractor agree as follows:
1. SCOPE OF WORK
City retains Contractor to perform, and Contractor agrees to render, those services (the
"Services") that are defined in attached Exhibit "A", which is incorporated by this reference in
accordance with this Agreement's terms and conditions. In the event of a conflict between the
terms and conditions in Exhibit "A" and the terms and conditions of this Agreement, the terms and
conditions of this Agreement control over the terms and conditions in Exhibit "A."
2. STANDARD OF PERFORMANCE
While performing the Services, Contractor will exercise the reasonable professional care and skill
customarily exercised by reputable members of Contractor's profession practicing in the
Metropolitan Southern California Area, and will use reasonable diligence and best judgment while
exercising its professional skill and expertise.
3. TERM
The term of this Agreement will be effective for a period of three (3) years from July 11, 2022. The
City Manager may amend the Agreement to extend it for two (2) additional one (1) year periods
or parts thereof. Extensions will be based upon a satisfactory review of Contractor's performance,
City needs, and appropriation of funds by the City Council. The parties will prepare a written
amendment indicating the effective date and length of the extended Agreement.
4. TIME IS OF THE ESSENCE
Time is of the essence for each and every provision of this Agreement.
5. COMPENSATION
The total fee payable for the Services to be performed during the initial Agreement term will be
nine hundred ninety-five thousand and two hundred forty-five dollars ($995,245.00). Additional
support requested by the City, if any, shall be compensated based on the hourly rates listed in
Exhibit "A", these costs are not considered in the total amount of this Agreement. No other
compensation for the Services will be allowed except for items covered by subsequent
amendments to this Agreement. If the City elects to extend the Agreement, the amount shall not

exceed three hundred thirty-one thousand seven hundred and forty-nine dollars ($331,749.00)
per Agreement year. The City reserves the right to withhold a ten percent (10%) retention until
City has accepted the work and/or Services specified in Exhibit "A".
Incremental payments, if applicable, should be made as outlined in attached Exhibit "A".
6. STATUS OF CONTRACTOR
Contractor will perform the Services in Contractor's own way as an independent contractor and
in pursuit of Contractor's independent calling, and not as an employee of City. Contractor will be
under control of City only as to the result to be accomplished, but will consult with City as
necessary. The persons used by Contractor to provide services under this Agreement will not be
considered employees of City for any purposes.
The payment made to Contractor pursuant to the Agreement will be the full and complete
compensation to which Contractor is entitled. City will not make any federal or state tax
withholdings on behalf of Contractor or its agents, employees or subcontractors. City will not be
required to pay any workers' compensation insurance or unemployment contributions on behalf
of Contractor or its employees or subcontractors. Contractor agrees to indemnify City within thirty
(30) days for any tax, retirement contribution, social security, overtime payment, unemployment
payment or workers' compensation payment which City may be required to make on behalf of
Contractor or any agent, employee, or subcontractor of Contractor for work done under this
Agreement. At the City’s election, City may deduct the indemnification amount from any balance
owing to Contractor.
7. SUBCONTRACTING
Contractor will not subcontract any portion of the Services without prior written approval of City.
If Contractor subcontracts any of the Services, Contractor will be fully responsible to City for the
acts and omissions of Contractor's subcontractor and of the persons either directly or indirectly
employed by the subcontractor, as Contractor is for the acts and omissions of persons directly
employed by Contractor. Nothing contained in this Agreement will create any contractual
relationship between any subcontractor of Contractor and City. Contractor will be responsible for
payment of subcontractors. Contractor will bind every subcontractor and every subcontractor of
a subcontractor by the terms of this Agreement applicable to Contractor's work unless specifically
noted to the contrary in the subcontract and approved in writing by City.
8. OTHER CONTRACTORS
The City reserves the right to employ other Contractors in connection with the Services.
9. INDEMNIFICATION
Contractor agrees to indemnify and hold harmless the City and its officers, officials, employees
and volunteers from and against all claims, damages, losses and expenses including attorneys
fees arising out of the performance of the work described herein caused by any negligence,
recklessness, or willful misconduct of the Contractor, any subcontractor, anyone directly or
indirectly employed by any of them or anyone for whose acts any of them may be liable.
The parties expressly agree that any payment, attorney’s fees, costs or expense City incurs or
makes to or on behalf of an injured employee under the City’s self-administered workers’
compensation is included as a loss, expense or cost for the purposes of this section, and that this
section will survive the expiration or early termination of this Agreement.

10. INSURANCE
Contractor will obtain and maintain for the duration of the Agreement and any and all
amendments, insurance against claims for injuries to persons or damage to property which may
arise out of or in connection with performance of the services by Contractor or Contractor’s
agents, representatives, employees or subcontractors. The insurance will be obtained from an
insurance carrier admitted and authorized to do business in the State of California. The insurance
carrier is required to have a current Best's Key Rating of not less than "A-:VII"; OR with a surplus
line insurer on the State of California’s List of Approved Surplus Line Insurers (LASLI) with a rating
in the latest Best’s Key Rating Guide of at least “A:X”; OR an alien non-admitted insurer listed by
the National Association of Insurance Commissioners (NAIC) latest quarterly listings report.
10.1 Coverage and Limits.
Contractor will maintain the types of coverage and minimum limits indicated below, unless the
Risk Manager or City Manager approves a lower amount. These minimum amounts of coverage
will not constitute any limitations or cap on Contractor's indemnification obligations under this
Agreement. City, its officers, agents and employees make no representation that the limits of the
insurance specified to be carried by Contractor pursuant to this Agreement are adequate to
protect Contractor. If Contractor believes that any required insurance coverage is inadequate,
Contractor will obtain such additional insurance coverage, as Contractor deems adequate, at
Contractor's sole expense. The full limits available to the named insured shall also be available
and applicable to the City as an additional insured.
10.1.1 Commercial General Liability (CGL) Insurance. Insurance written on an
“occurrence” basis, including personal & advertising injury, with limits no less than $2,000,000 per
occurrence. If a general aggregate limit applies, either the general aggregate limit shall apply
separately to this project/location or the general aggregate limit shall be twice the required
occurrence limit.
10.1.2 Automobile Liability. (if the use of an automobile is involved for Contractor's work
for City). $2,000,000 combined single-limit per accident for bodily injury and property damage.
10.1.3 Workers' Compensation and Employer's Liability. Workers' Compensation limits as
required by the California Labor Code. Workers' Compensation will not be required if Contractor
has no employees and provides, to City's satisfaction, a declaration stating this.
10.1.4 Professional Liability. Errors and omissions liability appropriate to Contractor’s
profession with limits of not less than $1,000,000 per claim. Coverage must be maintained for a
period of five years following the date of completion of the work.
10.2 Additional Provisions. Contractor will ensure that the policies of insurance required under
this Agreement contain, or are endorsed to contain, the following provisions:
10.2.1 The City will be named as an additional insured on Commercial General Liability
which shall provide primary coverage to the City.
10.2.2 Contractor will obtain occurrence coverage, excluding Professional Liability, which
will be written as claims-made coverage.
10.2.3 This insurance will be in force during the life of the Agreement and any extensions
of it and will not be canceled without thirty (30) days prior written notice to City sent by certified
mail pursuant to the Notice provisions of this Agreement.

10.3 Providing Certificates of Insurance and Endorsements. Prior to City's execution of this
Agreement, Contractor will furnish certificates of insurance and endorsements to City.
10.4 Failure to Maintain Coverage. If Contractor fails to maintain any of these insurance
coverages, then City will have the option to declare Contractor in breach, or may purchase
replacement insurance or pay the premiums that are due on existing policies in order to maintain
the required coverages. Contractor is responsible for any payments made by City to obtain or
maintain insurance and City may collect these payments from Contractor or deduct the amount
paid from any sums due Contractor under this Agreement.
10.5 Submission of Insurance Policies. City reserves the right to require, at any time, complete
and certified copies of any or all required insurance policies and endorsements.
11. REPRESENTATIONS AND WARRANTIES. Contractor represents and warrants that (i)
it has obtained all rights, approvals and consents necessary to perform its obligations and grant
all rights to City under this Agreement; (ii) each component of a deliverable is and will remain,
fully compatible with all of the other component items compromising the deliverable; (iii) all
services provided by Contractor will be performed in a professional businesslike manner by
qualified personnel; (iv) all deliverables are in full compliance commencing on the date of City’s
receipt of the deliverables; (v) it will perform all of its obligations, and that all deliverables will be,
in compliance with all foreign and local, statutes, orders, laws, rules, regulations, self-regulatory
standards, and regulatory interpretations and guidance applicable to Contractor in performing its
obligations to City. Contractor further represents and warrants that there are no current or
outstanding intellectual property rights infringement claims that have been filed against it, to the
extent such claim, if true, would have a material adverse effect on the deliverables or Contractor’s
ability to perform.
EXCEPT AS SET FORTH IN THIS AGREEMENT OR ANY OTHER DOCUMENTS
INCORPORATED HEREIN, NEITHER PARTY MAKES ANY REPRESENTATIONS OR
WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES
OF MERCHANTABILTY AND FITNESS FOR A PARTICULAR PURPOSE.
12. BUSINESS LICENSE
Contractor will obtain and maintain a City of Carlsbad Business License for the term of the
Agreement, as may be amended from time-to-time.
13. ACCOUNTING RECORDS
Contractor will maintain complete and accurate records with respect to costs incurred under this
Agreement. All records will be clearly identifiable. Contractor will allow a representative of City
during normal business hours to examine, audit, and make transcripts or copies of records and
any other documents created pursuant to this Agreement. Contractor will allow inspection of all
work, data, documents, proceedings, and activities related to the Agreement for a period of three
(3) years from the date of final payment under this Agreement.
14. OWNERSHIP OF DOCUMENTS
All work product produced by Contractor or its agents, employees, and subcontractors pursuant
to this Agreement is the property of City. In the event this Agreement is terminated, all work
product produced by Contractor or its agents, employees and subcontractors pursuant to this
Agreement will be delivered at once to City. Contractor will have the right to make one (1) copy
of the work product for Contractor’s records.

15. COPYRIGHTS
Contractor agrees that all copyrights that arise from the services will be vested in City and
Contractor relinquishes all claims to the copyrights in favor of City.
16. NOTICES
The name of the persons who are authorized to give written notice or to receive written notice on
behalf of City and on behalf of Contractor under this Agreement.

notice or delivery to be directed to another address.
17. CONFLICT OF INTEREST
Contractor shall file a Conflict of Interest Statement with the City Clerk in accordance with the
requirements of the City of Carlsbad Conflict of Interest Code. The Contractor shall report
investments or interests in all categories.

18. GENERAL COMPLIANCE WITH LAWS
Contractor will keep fully informed of federal, state and local laws and ordinances and regulations
which in any manner affect those employed by Contractor, or in any way affect the performance
of the Services by Contractor. Contractor will at all times observe and comply with these laws,
ordinances, and regulations and will be responsible for the compliance of Contractor's services
with all applicable laws, ordinances and regulations.
Contractor will be aware of the requirements of the Immigration Reform and Control Act of 1986
and will comply with those requirements, including, but not limited to, verifying the eligibility for
employment of all agents, employees, subcontractors and consultants whose services are
required by this Agreement.
19. DISCRIMINATION AND HARASSMENT PROHIBITED
Contractor will comply with all applicable local, state and federal laws and regulations prohibiting
discrimination and harassment.
20. DISPUTE RESOLUTION
If a dispute should arise regarding the performance of the Services the following procedure will
be used to resolve any questions of fact or interpretation not otherwise settled by agreement
between the parties. Representatives of Contractor or City will reduce such questions, and their

respective views, to writing. A copy of such documented dispute will be forwarded to both parties
involved along with recommended methods of resolution, which would be of benefit to both
parties. The representative receiving the letter will reply to the letter along with a recommended
method of resolution within ten (10) business days. If the resolution thus obtained is unsatisfactory
to the aggrieved party, a letter outlining the disputes will be forwarded to the City Manager. The
City Manager will consider the facts and solutions recommended by each party and may then opt
to direct a solution to the problem. In such cases, the action of the City Manager will be binding
upon the parties involved, although nothing in this procedure will prohibit the parties from seeking
remedies available to them at law.
21. TERMINATION
In the event of the Contractor's failure to prosecute, deliver, or perform the Services, City may
terminate this Agreement for nonperformance by notifying Contractor by certified mail of the
termination. If City decides to abandon or indefinitely postpone the work or services contemplated
by this Agreement, City may terminate this Agreement upon written notice to Contractor. Upon
notification of termination, Contractor has five (5) business days to deliver any documents owned
by City and all work in progress to City address contained in this Agreement. City will make a
determination of fact based upon the work product delivered to City and of the percentage of work
that Contractor has performed which is usable and of worth to City in having the Agreement
completed. Based upon that finding City will determine the final payment of the Agreement.
Either party upon tendering thirty (30) days written notice to the other party may terminate this
Agreement. In this event and upon request of City, Contractor will assemble the work product and
put it in order for proper filing and closing and deliver it to City. Contractor will be paid for work
performed to the termination date; however, the total will not exceed the lump sum fee payable
under this Agreement. City will make the final determination as to the portions of tasks completed
and the compensation to be made.
22. COVENANTS AGAINST CONTINGENT FEES
Contractor warrants that Contractor has not employed or retained any company or person, other
than a bona fide employee working for Contractor, to solicit or secure this Agreement, and that
Contractor has not paid or agreed to pay any company or person, other than a bona fide
employee, any fee, commission, percentage, brokerage fee, gift, or any other consideration
contingent upon, or resulting from, the award or making of this Agreement. For breach or violation
of this warranty, City will have the right to annul this Agreement without liability, or, in its discretion,
to deduct from the Agreement price or consideration, or otherwise recover, the full amount of the
fee, commission, percentage, brokerage fees, gift, or contingent fee.
23. CLAIMS AND LAWSUITS
By signing this Agreement, Contractor agrees that any Agreement claim submitted to City must
be asserted as part of the Agreement process as set forth in this Agreement and not in anticipation
of litigation or in conjunction with litigation. Contractor acknowledges that if a false claim is
submitted to City, it may be considered fraud and Contractor may be subject to criminal
prosecution. Contractor acknowledges that California Government Code sections 12650 et seq.,
the False Claims Act applies to this Agreement and, provides for civil penalties where a person
knowingly submits a false claim to a public entity. These provisions include false claims made
with deliberate ignorance of the false information or in reckless disregard of the truth or falsity of
information. If City seeks to recover penalties pursuant to the False Claims Act, it is entitled to
recover its litigation costs, including attorney's fees. Contractor acknowledges that the filing of a
false claim may subject Contractor to an administrative debarment proceeding as the result of
which Contractor may be prevented to act as a Contractor on any public work or improvement for
a period of up to five (5) years. Contractor acknowledges debarment by another jurisdiction is

grounds for City to terminate this Agreement.
24. JURISDICTION AND VENUE
Any action at law or in equity brought by either of the parties for the purpose of enforcing a right
or rights provided for by this Agreement will be tried in a court of competent jurisdiction in the
County of San Diego, State of California, and the parties waive all provisions of law providing for
a change of venue in these proceedings to any other county.
25. SUCCESSORS AND ASSIGNS
It is mutually understood and agreed that this Agreement will be binding upon City and Contractor
and their respective successors. Neither this Agreement nor any part of it nor any monies due or
to become due under it may be assigned by Contractor without the prior consent of City, which
shall not be unreasonably withheld.
26. ENTIRE AGREEMENT
This Agreement, together with any other written document referred to or contemplated by it, along
with the purchase order for this Agreement and its provisions, embody the entire Agreement and
understanding between the parties relating to the subject matter of it. In case of conflict, the terms
of the Agreement supersede the purchase order. Neither this Agreement nor any of its provisions
may be amended, modified, waived or discharged except in a writing signed by both parties.

INVOICING AND PAYMENT TERMS
Customer and AVI have agreed on the payment method of CASH. Payment must be remitted by stated method. To the extent
Customer seeks to use of any payment methods other than stated, and that payment method results in an increased transaction cost to
AVI, the new payment must be approved in writing, and the Customer shall be responsible for paying the increased transaction cost to
AVI associated with the change in payment method. Payments shall be made 30 days from invoice date. So long as the invoice has
been sent and the Customer’s payment is made within the terms work will continue.
AVI uses progress billing, and invoices for equipment and services allocated to the contract on a monthly basis. Unless otherwise
specified, all items quoted (goods and services) as well as applicable out of pocket expenses (permits, licenses, shipping, etc.) are
invoiced in summary (including applicable sales taxes due for each category of invoiced items).

TAXES AND DELIVERY
Unless stated otherwise in the "Products and Services Summary" above, AVI will add and include all applicable taxes, permit fees,
license fees, and delivery charges to the amount of each invoice. Taxes will be calculated according to the state law(s) in which the
product(s) and/or service(s) are provided. Unless Customer provides a valid tax exemption certificate for any tax exemption(s) claimed,
AVI shall invoice for and collect all applicable taxes in accordance with state law(s), and Customer will be responsible for seeking a tax
credit/refund from the applicable taxing authority.

Recert visit: October.
Training
• Provides unlimited on-site operator training to assure any new and/or existing system users understand the
system functionality.
Asset Tracking
• Provides informational management of the system’s individual electronic components
• Provides reporting of description, model, serial numbers, in-service dates, and physical location
Systems Support
• Provides Priority Support by phone
• Provides Priority Support onsite to perform troubleshooting to localize and diagnose faults where the onsite
location is within 60 miles of an AVI Service Center
• Provides repair or replacement of faulty equipment - excluding Obsolete Equipment (defined below)
• Provides materials and repair parts - excluding Consumables (defined below)
• Provides Software Updates
• Provides Loaner Equipment including table top projectors and flat screen monitors under 50”
• Provides for recycling of equipment covered in a system or consumables with no additional fees

Council Meetings Onsite Support Requirements:
The Council meetings require onsite support 1 hour prior to the start of the meetings to test all equipment prior to the
scheduled meeting start time and throughout the meeting require an AV technician to be onsite to assist our staff with any
AV needs during the meeting. Act as a representative of the city working with AV vendors. Any issues during the meeting
must be reported to Carlsbad IT by next business day.
The City Council generally meets three times a month, twice on Tuesday evening and once in the morning. Please see
the Council Calendar for the dates and locations of upcoming meetings.
The Council meetings are a Priority 1 SLA regardless of the location, time, or facility it is being held at. AVI will be onsite
to support all Council meetings regardless of the location and will continue to treat Council meetings as a priority 1 SLA
regardless of the facility they are using to conduct the Council meetings.
Planning Meeting Onsite Support Requirements:
The City Planning Meetings require onsite support 1 hour prior to the start of the meetings to test all equipment prior to the
scheduled meeting start time and throughout the meeting an AV technician will be onsite to assist City staff with any AV
needs during the meeting. Act as a representative of the city working with AV vendors. Any issues during the meeting
must be reported to Carlsbad IT by next business day.
Regular meetings are held the first and third Wednesday of every month.
The City Planning Meetings are a Priority 1 SLA regardless of the location, time, or facility it is being held at. AVI will be
onsite to support all City Planning Meetings regardless of the location and will continue to treat City Planning meetings as
a priority 1 SLA regardless of the facility they are using to conduct the City Planning meetings.
The City will require design and implementation services for any new equipment, or if existing equipment needs to be
replaced.
Public Meetings Onsite Support Requirements:

the scheduled meeting start time and throughout the meeting require an AV technician to be onsite to assist City staff with

Meeting Cancellation:
For any Council Meeting and Planning meeting cancellations, the City must notify AVI with an 8 business hour advanced
notice.
EOC Support Requirements if there is an Emergency:
When the EOC is activated in the event of an emergency, AVI will provide on-site support within 1-2 hours from when the
original call was placed with AVI. The following rates would apply and be billed separately: a rate of $125.00 per/hour
weekdays (M-F), and $185.00 per/hour weekends (S-S).
Replacement of Existing Equipment:
Under the Service Contract, AVI Systems will provide repair or replacement of faulty equipment. When a piece of
equipment is deemed as faulty, AVI will engage with the equipment manufacturer for an advanced replacement. If the
faulty equipment is discontinued, AVI will provide the manufacturer recommended replacement item.
When the contract is executed, AVI Systems will work with City representatives to identify and create an inventory of
critical back-up equipment needed for rooms covered under the Service Contract.
New or Upgraded Equipment:
For any new equipment or upgrades by AVI Systems made to the City of Carlsbad offices and facilities listed, a prorated
support cost will be included on a per quote basis to bring the new equipment underneath the coverage dates of the pre-
existing city wide service contract. Should the City of Carlsbad agree to pay the prorated support cost provided on AVI
Systems quotes, the new equipment will be covered under the coverage dates of the existing citywide service contract.
Additional Buildings:
For any new buildings or facilities the City of Carlsbad would like to add under the coverage dates of the enterprise
service contract, a support cost can be provided per a list of equipment currently installed in the facility. Should the City of
Carlsbad agree to pay the support cost provided by AVI Systems, the equipment will be covered under the coverage
dates of the existing citywide service contract.
Special Meetings Support –Week Days (M-F):
Should the City of Carlsbad require on-site support for special city meetings, AVI will send a technician on a per need
basis for a rate of $125.00 per/hour. AVI will need an 8 business hour advanced notice for ad-hoc meetings. For any
meeting cancelations the City must notify AVI with an 8 business hour advanced notice.
Weekend Support—Weekends (S-S):
Should the City of Carlsbad require on-site support on a weekend, AVI will send a technician on a per need basis for a
rate of $185.00 per/hour. AVI will need an 8 business hour advanced notice for weekend support. For any meeting
cancelations the City must notify AVI with an 8 business hour advanced notice.
Professional Service Requirements:
AVI Systems technicians/on-site representatives will always dress professionally, no sandals, shorts, etc. technicians/on-
site representatives will always wear an AVI logo shirt when onsite at a city location. They will be knowledgeable about
the cities equipment and always act in a professional manner.

SYSTEM SUPPORT DEFINITIONS
System – Defined as the items listed in the Products and Services Detail section of this Agreement or listed on an
attached Equipment List with the exception of Consumables and Obsolete Equipment.
Priority Support – Means all work under AVI support agreements with Customers is scheduled ahead of any other on-
demand work and will be provided based upon priority level as indicated within the Agreement.
Recertification – Means AVI personnel performing the necessary cleaning, adjustments, functional tests, and replacement
of parts to keep the equipment in good and efficient operating condition. Any repairs or operating instructions will be done
at this time.
Remote Diagnostics – Means a service whereby remote calls made to communications and terminal equipment via
Customer provided analog line or IP connection to determine network and/or board-level failures and remedies. Only
available where equipment is capable and configured by AVI to provide same.
Consumables – Means parts such as recording media, batteries, projection lamps and diskettes. Consumables are parts
that are not included under this Agreement.
Obsolete Equipment – Defined as items (though possibly still in use) that are outdated with no manufacturer support or
parts availability, or products with formal end of life as defined by their manufacturer. Obsolete Equipment are parts that
are not included under this Agreement.
Loaner Equipment – Defined as table top LCD projectors and flat screen monitors under 50”. Table top projectors are not
integrated into a system. Flat screen monitors will be installed onto a wall if reasonably possible.
Software Updates – Defined as revisions of existing software which provide maintenance to correct software errors and
are provided at no charge by the manufacturer. Software and features which require additional licensing are not included
under this Agreement.
SYSTEM SUPPORT TERMS
Coverage Dates – Unless otherwise stated, the service coverage date will be effective as of substantial completion or
System Support Agreement invoice date; whichever is applicable. Coverage will extend for the duration specified by the
corresponding line item description found in the Product and Services Detail section of this Agreement. AVI reserves the
right to withhold services until the invoice is paid in full.
Exclusions – For situations where AVI is providing service or support under this Agreement, no cost service, maintenance
or repair shall not apply to the Equipment if any person other than an AVI technician or other person authorized by AVI,
without AVI prior written consent, improperly wires, integrates, repairs, modifies or adjusts the Equipment or performs any
maintenance service on it during the term of this Agreement. Furthermore, any Equipment service, maintenance or repair
shall not apply if AVI determines, in its sole discretion, that the problems with the Equipment were caused by (a)
Customer's negligence; or (b) theft, abuse, fire, flood, wind, lighting, unreasonable power line surges or brownouts, or acts
of God or public enemy; or (c) use of any equipment for other than the ordinary use for which such equipment was
designed or the purpose for which such equipment was intended, or (d) operation of equipment within an unsuitable
operating environment, or (e) failure to provide a suitable operating environment as prescribed by equipment
manufacturer specifications, including, without limitation, with respect to electrical power, air conditioning and humidity
control.
Systems Support Terms are in addition to AVI Systems General Terms and Conditions of Sale.

Re: Approve the cooperative use of the GSA FAS agreement with AVI Systems, Inc.
The Information Technology Department would like to use the cooperative procurement
method to procure services under the General Service Administration (GSA) Federal Acquisition
Service contract number GS-35F-0230X with AVI Systems, Inc. to provide citywide audio-visual
support and software technology by entering into a multi-year professional services agreement.
This request is in the best interest of the City of Carlsbad as AVI Systems has helped the city
over the course of many years to standardize its audio-visual hardware and software
technology. Due to this contractor’s extensive knowledge of the city’s audio-visual systems this
provides them with a unique understanding of the city’s systems and goals. In addition, AVI
Systems Inc. has provided AV support services for public meetings over the past four years on
an ever-increasing basis due the city’s changing needs.
As per 3.28.100 Cooperative purchasing, the purchasing officer shall have the authority to join
with other public or quasi-public agencies in cooperative purchasing plans or programs for the
purchase of goods and/or services by contract, arrangement or agreement as allowed by law
and as determined by the purchasing officer to be in the city’s best interest. The purchasing
officer may buy directly from a vendor at a price established by another public agency when the
other agency has made their purchase in a competitive manner. (Ord. CS-002 § 2, 2008)
The current open market price for this three-year agreement would be $1,114,674 as compared
to the cost using the GSA Federal Acquisition Service contract of $995,244. This is a cost savings
of $119,430 by using this cooperative purchasing agreement.
By approving this cooperative procurement, the purchasing officer supports entering into a
professional service agreement with an initial three (3) year term for a sum not to exceed
$995,244 in total, and not to exceed $331,748 per agreement year.
