B. Materials the sign(s) will be constructed of.
C. Source of Illumination.

for potential sight distance and visibility issues. Additional information must supplement
this application showing how the proposed signage will not encroach into the public right-
of-way or present a traffic hazard. Page 3 of 4 illustrates an example for what would be
required for such proposed signs.

APPLICATIONS
The following example illustrates the information that is required for all pole, monument, and
freestanding sign permit applications. Prior to approval, all such proposed signs must be reviewed
for potential issues by the Transportation Department, which will not allow signs to be approved
over the counter. Additional time will be required for on-site inspection.

Relationship to Streets: Signs shall be designed and located so as not to interfere with the
unobstructed clear view of the public right-of-way and nearby traffic regulatory signs of any
pedestrian, bicyclist or motor vehicle driver.

SIGN EASEMENT AGREEMENT
This Sign Easement Agreement ("Agreement") is made as of J.,.,.'= [? , 2007 by
and between SLOUGH CARLSBAD, LLC, a Delaware limited liability company ("Grantor")
and LNR BRESSI COMMERCIAL, INC., a California corporation ("Grantee").
A. Grantor owns certain real property located in the City of Carlsbad, County of San
Diego, State of California, more particularly described on Exhibit "A" attached hereto
("Grantor's Property"). Grantee owns certain property adjacent to Grantor's Property and more
particularly described in Exhibit "B" attached hereto ("Grantee's Property"), on which Grantee
has or intends to construct a shopping center (the "Shopping Center"). ·
B. In connection with its development of the Shopping Center, Grantee desires to
place on Grantor's Property a sign identifying the Shopping Center and/or certain tenants of same
(the "Sign").
NOW, THEREFORE, in consideration of the foregoing and for other good and valuable
consideration, the sufficiency of which is hereby acknowledged, Grantor and Grantee hereby
agree as follows:
AGREEMENT:
I. Grant of Easements and License. Grantor hereby grants to Grantee (a) an
exclusive easement over the portion of Grantor's Property described on Exhibit "C" attached
hereto and depicted on Exhibit "D" attached hereto (the "Sign Easement") for the purposes of
installing, maintaining, repairing, altering and/or replacing the Sign and associated landscaping
("Sign Landscaping"), (b) a non-exclusive easement (the "Utilities Easement") over those
portions of Grantor's Property reasonably necessary to install, maintain, repair, alter and replace,
as necessary, underground electrical utilities (the "Utilities") necessary to provide power to the
Sign, and (c) a periodic, temporary license to enter onto Grantor's Pr~perty to the extent
reasonably necessary in connection with Grantee's installation, maintenance, repair, alteration,

replacement and/or removal of the Sign, Sign Landscaping and/or the Utilities. The Utilities
Easement shall be deemed to extend three (3) feet on each side of the centerline of the actual
location of the installed Utilities.
2. Installation of Sign and Utilities.
(a) Plans. The design of the Sign and the location of and plans for the
Utilities (collectively, the "Plans") shall be subject to Grantor's prior written approval, not to be
unreasonably withheld or delayed. Any disapproval or conditional approval of any portion of the
Plans shall be accompanied by Grantor's written objections to same in sufficient detail to allow
Grantee to modify the Plans to address Grantor's objections. Without limiting Grantee's right to
modify any portion of the Plans in accordance with the foregoing, Grantor hereby pre-approves
the design for the Sign depicted on Exhibit "E" attached hereto.
(b) Installation. Grantee shall use commerciaJly reasonable efforts to conduct
its installation of the Sign and Utilities in such a manner as to minimize any adverse impact on
Grantor's property and/or Grantor's use of same. Once Grantee has commenced the installation,
it shalJ diligently pursue same through completion, subject to force majeure. Grantor shall at all
times reasonably cooperate with Grantee with respect to any necessary governmental approvals
of the Sign and/or the Utilities, including but not limited to executing any reasonable permits,
applications or documents required by the City of Carlsbad in connection with same.
(c) Indemnity and Insurance. Grantee shaJl keep Grantor's Property free from
any and all mechanics liens relating to the installation of the Sign and Utilities. Grantee shall
indemnify, protect, defend, and hold bannless Grantor and its directors, officers and employees
from and against any and all claims, liabilities, costs, expenses and/or losses (collectively,
"Claims") arising or resulting from the installation of the Sign and/or Utilities and/or Grantee's
maintenance, repair, alteration, replacement and/or removal thereof; excluding, however, any
Claims arising or resulting from the gross negligence or willful misconduct of the indemnified
parties. Prior to the commencement of installation, Grantee shall procure a general commercial
liability policy in the aggregate liability amount of at least Two Million Dollars ($2,000,000)
insuring any liability arising from Grantee's installation of the Sign and Utilities and shall deliver
to Grantor a certificate or other evidence of same. Grantor shall be named as an additional
insured on such policy.
(d) Development of Grantor's Property. Except during any period when the
easements and license granted above are terminated pursuant to Paragraph 4 below, (i) Grantor
shall not construct, install or place over the Utilities Easement any building or other structure
which would unreasonably interfere with Grantee's ability to maintain, repair, alter, replace or
remove the Utilities and (ii) Grantor shall not plant or otherwise allow to exist on Grantor's
Property any trees, bushes or other landscaping or improvements which would impair the
visibility of the Sign from any point on Palomar Airport Road.
3. Maintenance and Alterations. Grantee shall maintain the Sign, Sign Landscaping
and Utilities in good condition and appearance at all times at its sole cost and expense. Grantee
shall not materially alter the Sign or Utilities without Grantor's prior written consent, not to be
unreasonably withheld or delayed; provided however, that no such consent shall be required to

merely add, delete or substitute names and/or logos of tenants of the Shopping Center. Any
disapproval or conditional approval of any such alteration shall be accompanied by Grantor's
written objections to same in sufficient detail to allow Grantee to modify the alteration to address
Grantor's objections. In the event Grantee fails to so maintain the Sign, Sign Landscaping and/or
Utilities, and such failure continues for ten (10) days after Grantee's receipt ofwritten notice
thereof from Grantor, Grantor shall have the right, but not the obligation, at Grantee's sole cost
and expense, to perform such maintenance or repair activities as Grantor reasonably deems
necessary. Grantee shall promptly reimburse Grantor for all costs incurred by Grantor in
connection therewith.
4. Term: Removal. The easements and licenses granted pursuant to Paragraph I
above shall continue until (a) the Shopping Center has been demolished other than by casualty
and Grantor thereafter delivers written notice to Grantee that Grantor is terminating the
easements and license and/or (b) Grantee delivers written notice to Grantor that Grantee desires
to remove the Sign. Upon either of the foregoing events, Grantee shall promptly thereafter, at its
sole cost and expense, remove the Sign and, to the extent required by any governmental authority
or utility company, the Utilities and return the affected apportions of Grantor's Property to a safe
and sightly condition, and the subject easements and licenses shall thereafter terminate, and
Grantee shall execute such documents as are reasonably requested by Grantor to evidence the
termination of this Agreement, including, without limitation, such documents as are necessary to
cause this Agreement and Grantee's rights hereunder to be released of record with the San Diego
County Recorder.
5. Miscellaneous Provisions.
(a) Covenants Running with the Land. Each and all of the covenants,
restrictions, conditions, and provisions contained in this Agreement (whether affirmative or
negative in nature), shall constitute covenants running with the land, and shall inure to the
benefit of the parties and their respective successors and assigns as to their respective parcels.
(b) Partial Invalidity. Invalidation of any one of the covenants, conditions,
restrictions, or other provisions herein contained by judgment or court order shall in no way
affect any of the other covenants, conditions, restrictions or provisions hereof, and the same shall
remain in full force and effect.
(c) Attorneys' Fees. In the event that suit is brought for the enforcement of
this Agreement or as the result of any alleged breach thereof, the prevailing party or parties to
such suit shall be entitled to recover reasonable attorneys' fees and costs of litigation as the court
may award from the losing party or parties, and any judgment or decree rendered shall include
any award thereof.
(d) California Law. This Agreement shall be governed by and construed in
accordance with the laws of the State of California.
(e) Notices. Each notice and other communication required or permitted to be
given under this Declaration ("Notice") must be in writing. Notice is duly given to another party
upon: (i) hand delivery to the other party, (ii) receipt by the other party when sent by facsimile

to the address and number for such party set forth below (provided, however, that the Notice is
not effective unless a duplicate copy of the facsimile Notice is promptly given by one of the
other methods permitted under this Section), (iii) three (3) business days after the Notice has
been deposited with the United States postal service as first-class certified mail, return receipt
requested, postage prepaid, and addressed to the party as set forth below, or (iv) the next
business day after the Notice has been deposited with a reputable o~emight delivery service,
postage prepaid, addressed to the party as set forth below with ne:,_ct-business-day delivery
guaranteed, provided that the sending party receives a confinnatlon of delivery from the
delivery-service-provider:

CONSENT, SUBORDINATION AND JOINDER
The undersigned, as the "Association" under that certain Declaration of Covenants,
Conditions and Restrictions and Grant of Reciprocal Easements for Bressi Ranch Corporate
Center (the "CC&Rs") recorded on March 15, 2005 as Instrument No. 2005-0210897 in the
Official Records of San Diego, California. which CC&Rs encumber Grantor's Property, hereby
consents to the Sign Easement Agreement (the "Agreement") to which this Consent,
