THIS AGREEMENT is made and entered into as of the _____________________ day of _________________________________, 2022, by and between the Carlsbad Municipal Water District, a Public Agency organized under the Municipal Water Act of 1911, and a Subsidiary District of the City of Carlsbad, ("CMWD"), and Eagle Aerial Photography, Inc., a Delaware corporation, d.b.a. Eagle Aerial Solutions ("Contractor”). RECITALS CMWD requires the professional services of a consultant that is experienced in aerial geographic landscape mapping. Contractor has the necessary experience in providing these professional services, has submitted a proposal to CMWD and has affirmed its willingness and ability to perform such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, CMWD and Contractor agree as follows: 1. SCOPE OF WORK CMWD retains Contractor to perform, and Contractor agrees to render, those services (the “Services”) that are defined in Exhibit “A”, attached and incorporated by this reference in accordance with the terms and conditions set forth in this Agreement. 2. TERM This Agreement will be effective for a period of six (6) months from the date first above written. 3. COMPENSATION The total fee payable for the Services to be performed will be seven thousand nine hundred fifteen dollars ($7,915). No other compensation for the Services will be allowed except for items covered by subsequent amendments to this Agreement. CMWD reserves the right to withhold a ten percent (10%) retention until CMWD has accepted the work and/or the Services specified in Exhibit “A.” 4. STATUS OF CONTRACTOR Contractor will perform the Services as an independent contractor and in pursuit of Contractor’s independent calling, and not as an employee of CMWD. Contractor will be under the control of CMWD only as to the results to be accomplished. 5. INDEMNIFICATION Contractor agrees to indemnify and hold harmless CMWD and its officers, officials, employees and volunteers from and against all claims, damages, losses and expenses including attorneys’ fees arising out of the performance of the Services caused by any negligence, recklessness, or willful misconduct of the Contractor, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. Additionally, Contractor shall indemnify CMWD and its officers, officials, employees and volunteers from and against all claims, damages, losses and expenses arising out of the performance of the Services involving infringement of intellectual property, including but not limited to infringement of copyright, trademark, trade dress, invasion of privacy violations, information theft, damage to or destruction DocuSign Envelope ID: 381786B1-6FB2-4FE3-AFFE-DB36018FEA38 7th September PSA23-1854UTIL General Counsel Approved Version 6/12/18 2 of electronic information, release of private information, alteration of electronic information, extortion, and network security caused by any negligence, recklessness, or willful misconduct of the Contractor, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. Contractor shall also indemnify CMWD and its officers, officials, employees and volunteers from and against all claims, damages, losses and expenses arising out of the performance of the Services involving breach response notification and remediation costs, regulatory fines and penalties, credit monitoring expenses, electronic funds transfer losses, electronic data restoration expenses, and business interruption costs caused by any negligence, recklessness, or willful misconduct of the Contractor, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. The parties expressly agree that any payment, attorney’s fee, costs or expense CMWD incurs or makes to or on behalf of an injured employee under the CMWD’s self-administered workers’ compensation is included as a loss, expense or cost for the purposes of this section, and that this section will survive the expiration or early termination of this Agreement. 6. INSURANCE Contractor will obtain and maintain policies of commercial general liability insurance, automobile liability insurance, a combined policy of workers' compensation and employers liability insurance from an insurance company authorized to transact the business of insurance in the State of California which has a current Best's Key Rating of not less than "A-:VII"; OR with a surplus line insurer on the State of California’s List of Approved Surplus Line Insurers (LASLI) with a rating in the latest Best’s Key Rating Guide of at least “A:X”; OR an alien non-admitted insurer listed by the National Association of Insurance Commissioners (NAIC) latest quarterly listings report, in an amount of not less than one million dollars ($1,000,000) each, unless otherwise authorized and approved by the Risk Manager or the City Manager. Contractor will obtain occurrence coverage which will be written as claims-made coverage. The insurance will be in force during the life of this Agreement and will not be canceled without thirty (30) days prior written notice to CMWD by certified mail. CMWD will be named as additional insured on General Liability which shall provide primary coverage to CMWD. The full limits available to the named insured shall also be available and applicable to CMWD as an additional insured. Contractor will furnish certificates of insurance to CMWD with endorsements to CMWD, prior to CMWD’s execution of this Agreement. 7. NOTICES The name of the persons who are authorized to give written notice or to receive written notice on behalf of CMWD and on behalf of Contractor under this Agreement. CONFLICT OF INTEREST Contractor shall file a Conflict of Interest Statement with the City Clerk in accordance with the requirements of the City of Carlsbad Conflict of Interest Code. COMPLIANCE WITH LAWS Contractor will comply with all applicable local, state and federal laws and regulations prohibiting discrimination and harassment and will obtain and maintain a City of Carlsbad Business License for the term of this Agreement. 10. TERMINATION CMWD or Contractor may terminate this Agreement at any time after a discussion, and written notice to the other party. CMWD will pay Contractor's costs for services delivered up to the time of termination, if the services have been delivered in accordance with the Agreement. 11. CLAIMS AND LAWSUITS By signing this Agreement, Contractor agrees it may be subject to civil penalties for the filing of false claims as set forth in the California False Claims Act, Government Code sections 12650, et seq., and Carlsbad Municipal Code Sections 3.32.025, et seq. Contractor further acknowledges that debarment by another jurisdiction is grounds for CMWD to terminate this Agreement. 12. JURISDICTIONS AND VENUE Contractor agrees and stipulates that the proper venue and jurisdiction for resolution of any disputes between the parties arising out of this Agreement is the State Superior Court, San Diego County, California. 13. ASSIGNMENT Contractor may assign neither this Agreement nor any part of it, nor any monies due or to become due under it, without the prior written consent of CMWD. 14. AMENDMENTS This Agreement may be amended by mutual consent of CMWD and Contractor. Consultation and mapping services provided to meet this goal will be worked in phases. The first phase of the effort, outlined below, will work to define the scope of the subsequent landscape mapping phases. Phase 1 of the consultancy services will support the following objectives, (1) intelligent extension of single family and multifamily coded parcels, delivered as part of the Landscape Area Measurements project (conducted by CADWR), to ensure that all irrigated areas within these parcels are accounted, (2) analysis of dedicated landscape meter data that will allow for meters to be grouped into premises with aggregate preliminary premise consumption reports of water use, and (3) a budget and a project plan outlining the necessary steps to complete the landscape mapping of the identified dedicated landscape premises With this initial analysis, Carlsbad Municipal Water District will be able to determine the best path forward for mapping the dedicated landscape meter premises (Phase 2) as well as the remaining Commercial, Industrial, and Institutional (CII) parcels watering large areas of landscaping with mixed use metered water (Final Phase). Geographic Extents The geographic area addressed in this Statement of Work (SOW) is the service territory of Carlsbad Municipal Water District and/or the extent of where dedicated irrigation meters serve. Source Data The NV5G project manager will work closely with the Eagle project manager to ensure that all relevant information is made available at the onset of the project. Timelines and delivery schedules will be adjusted to account for late or incomplete transfer of data to the production team. Data required includes: • Water Consumption data (one year duration is best) – at a per meter level • Meter locations (service address), Meter Ids, Meter Types (dedicated vs mixed-use) • Customer name (and link to meter data)1 • Any ancillary GIS files that would support the meter grouping process 1 Utility customer names are exempt from disclosure under Government Code section 6254.16 of the California Public Records Act. NV5G and Eagle Aerial Solutions shall therefore treat this information as confidential and shall promptly inform staff of the Carlsbad Municipal Water District of any request to obtain this information from third parties. DocuSign Envelope ID: 381786B1-6FB2-4FE3-AFFE-DB36018FEA38 PSA23-1854UTIL General Counsel Approved Version 6/12/18 6 • LAM data provided by CADWR – used in the parkway strip analysis Methods Parkway Strip Analysis - The LAM program has provided a void layer that covers areas that are not classified as CII or as residential that can be used by districts to assess areas that are outside parcel boundaries. NV5G has created a GIS workflow that will intelligently extend selected parcels to capture the landscape area presumably watered by the SFR/MFR customers from the void layer provided in the LAM analysis – see Figure 1. Figure 1: Shows the residential parcels in yellow and their associated parkway strips shown by the light blue lines. Commercial parcels, shown in black, are excluded from the analysis. Meter Grouping (Premise Estimates) – With full access to the data listed in the source data section above, NV5G will geolocate dedicate meters and work to group them by customer into premise aggregations. This process aims to define the total number of premises in the service area and, with consumption data, can order these premise aggregations by water consumption. With this analysis complete, the water supplier can make informed decisions regarding the cost and level of effort necessary to map the premise boundaries and define the landscape area within these premise boundaries. The meter grouping or premise aggregation process is outlined in Figure 2 to Figure 4. Further mapping is still necessary to determine the true geographical extent of the premise and to map the landscape area served by these meters. Prioritization and Budgeting for Dedicated Irrigation Mapping – With the above meter grouping or premise aggregation completed, NV5G will be able to provide a cost estimate, on a per premise basis, for mapping the premise boundaries and completed the landscape mapping/water allocation excise. As part of this section, NV5G will also run some consumption analyses (if provided time series consumption data). These analyses will be delivered in the form of a PDF report and will help inform any prioritization that will need to occur if the next phase of the project is operationalized, see Figures 5 to 6.
