Meeting Date: Oct. 13, 2020 To: Mayor and City Council From: Scott Chadwick, City Manager Staff Contact: Brandon Miles, Associate Engineer Brandon.Miles@carlsbadca.gov, 760-602-2745 Subject: Acceptance of bids, award of contract to Blue Pacific Engineering and Construction, and authorization of additional appropriation for construction of the El Camino Real and College Boulevard Intersection Improvements Project Recommended Action Adopt a resolution accepting bids, awarding a contract to Blue Pacific Engineering and Construction, and authorization of additional appropriation in an amount not to exceed $50,000 for construction of the El Camino Real and College Boulevard Intersection Improvements, Capital Improvement Program Project No. 6071, in an amount not to exceed $568,340. Executive Summary The project will improve mobility for pedestrians and bicyclists at El Camino Real and College Boulevard and upgrade existing curb ramps and crosswalks to meet Americans with Disabilities Act standards. The City Council approved the plans and specifications and authorized advertising the project for construction bids on July 14, 2020. (Resolution No. 2020-139) The project was then advertised using the city’s formal bidding procedures. Fourteen construction bids were received on Aug. 19, 2020, and the lowest responsive and responsible bidder was Blue Pacific Engineering and Construction, with a bid in the amount of $568,340. Carlsbad Municipal Code Sections 3.28.080(C) and 3.28.080(I)(6) require the City Council’s approval for all formally bid contracts when the value exceeds $200,000. This project is subject to this requirement. Staff recommends award of the construction contract to Blue Pacific Engineering and Construction, in an amount not to exceed $568,340. Staff is also requesting the council authorize the additional appropriation of $50,000 of gas tax funds for the project. Discussion The project includes enhanced bicycle lanes and pedestrian access as well as traffic signal timing modifications to improve traffic flow. These improvements will bring the existing bike lanes and the ramps for people with disabilities up to current design standards. Oct. 13, 2020 Item #2 Page 1 of 25 The Carlsbad Unified School District was obligated to contribute $350,000 for the El Camino Real and College Boulevard Intersection Improvements Project under a settlement agreement between the city and the district reported to the City Council Oct. 27, 2009. (Agenda Bill 20,024, Exhibit 3) The settlement resolved the city’s lawsuit against the district relating to the construction of what would become Sage Creek High School. This contribution was placed into the Gas Tax Fund and appropriated for the project. In accordance with the settlement agreement, the city will commence construction of the El Camino Real and College Boulevard improvements within eight years of the school’s opening, a deadline identified in the settlement as fall 2021. If not, the city will return the $350,000 to the Carlsbad Unified School District. While the project will improve pedestrian and bicycle safety and mobility at the intersection of El Camino Real and College Boulevard, it’s not intended to address any of the deficiencies in the roadways that were determined by the City Council in connection with the city’s Growth Management Plan Monitoring Report for FY 2017-18. On Aug. 19, 2020, staff received 14 sealed bids for construction of the project. Staff have reviewed the contract documents and determined Blue Pacific Engineering and Construction is the lowest responsive and responsible bidder. Blue Pacific Engineering and Construction’s bid is responsive as it meets the requirements of the bidding documents. The bidder is also deemed responsible because it submitted a list of similar projects to show their capability and qualification to perform the specified work. The construction contract contains general performance standards and references technical specifications, which if not met, allow the city to withhold payment, it also includes a one-year warranty period from notice of completion. Fiscal Analysis Sufficient funds are not available in the project account to pay for the project, so additional funding is requested. Funding for the project would come from the gas tax funds and general capital construction funds. Based on the construction contract, an additional funding appropriation in an amount of $50,000 from the Gas Tax Fund is required to complete the project. Carlsbad Municipal Code sections 3.28.040(C)(5) and 3.28.090(B) authorize the city manager or designee to approve change orders in an amount equal to the contingency set at the time of project award, which is $85,251 for this project Next Steps Once contract documents are fully executed, staff will issue a purchase order, schedule a pre- construction meeting with Blue Pacific Engineering and Construction, and issue a notice to proceed for construction of the project, which is expected to commence in spring 2021. The duration of the construction contract is 120 working days, not including rain days and delays from change orders that may extend the contract duration. Upon successful completion of the project, which is expected to be in fall 2021, a notice of completion to release bonds will be recorded. Environmental Evaluation (CEQA) The project is exempt from the California Environmental Quality Act (CEQA) under CEQA Guidelines Section 15301(c) – minor alteration of existing facilities including streets, sidewalks and similar facilities involving negligible or no expansion. Oct. 13, 2020 Item #2 Page 3 of 25 Public Notification Public notice of this item was posted in keeping with the Ralph M. Brown Act and it was available for public viewing and review at least 72 hours before the scheduled meeting date. Prior to start of construction, the public will be notified of construction activities using media methods such as signage, email, website and other city communication channels. The construction contractor will also be required to notify the public of construction activities via changeable message signs, door hangers, letters to residents and/or “NO PARKING” signs, as applicable. 'KK DEPT. CA CARLSBAD AND CARLSBAD UNIFIED CITY MGR. (fr--SCHOOL DISTRICT RECOMMENDED ACTION: There is no action to be taken by the City Council. ITEM EXPLANATION: The parties have now settled this issue under the authority given to the City Attorney by the City Council at its closed sessions of October 13, 2009. This item satisfies the Brown Act requirement to report the fact of a settlement approved in a prior closed session and makes the terms and conditions of the settlement available to the public. FISCAL IMPACT: The following is a summary of the more significant fiscal impacts: 1. El Camino Real and Cannon Road Intersection Improvements Pursuant to the Settlement Agreement, the Carlsbad Unified School District ("District") is required to contribute $302,000 towards the City's El Camino Real and Cannon Road Intersection Improvements Capital Improvement Program ("CIP") project. This project is included in the City's CIP and is scheduled to be constructed during FY 2012-13. It is funded via Traffic Impact Fees ("TIF"). The total project is estimated to cost $2,200,000. The City's portion of this amount has been reduced by the District's contribution of $302,000 to $287,000. The balance will be developer funded. 2. El Camino Real and College Boulevard Intersection Improvements Pursuant to the Settlement Agreement, the District is required to contribute $350,000 towards the El Camino Real and College Boulevard Intersection Improvements project. This project is currently in the process of being included in the City's CIP. The total estimated project cost is $515,000. A funding source has not yet been identified for the difference between the District's contribution and the estimated project cost. However, staff is pursuing funding options including developer fair share contributions and will be further examined during the FY 2010-11 CIP process. The District's contribution will reduce the unfunded project amount by $350,000 to $165,000. 3. College Boulevard Reach A and Cannon Road Reach 4A Pursuant to the Settlement Agreement, the District is required to make a fair share contribution towards the College Boulevard Reach A portion of the City's College Boulevard Reach A and Cannon Road Reach 4A CIP project. The fair share contribution will be determined by the District or as ordered by the court. The total estimated project cost is $1,713,000 and is funded through the College Boulevard Reach A proposed district. 4. Traffic Signal -Cannon Road and College Boulevard Pursuant to the Settlement Agreement, the District is required to construct the Traffic Signal at Cannon Road and College Boulevard. The District is responsible for costs up to $150,000. Amounts which exceed $150,000 will be reimbursed by the City. Any contributions by the City will be funded by TransNet monies. The project is currently programmed in the City's CIP for $210,000. ENVIRONMENTAL IMPACT: Reporting out the fact of Settlement is not a "project" within the meaning of CEQA and therefore environmental review is not required pursuant to CEQA Regulation 15061 (b)(3). The District and the City are sometimes referred to herein individua11y as a "Party" and collectively as the "Parties." The Parties intend by this Agreement to resolve all claims between them as stated in the lawsuit entitled City of Carlsbad v. Carlsbad Unified School District, San Diego Superior Court Case No. 37-2009-00052375-CU-WM-NC which has been consolidated with Preserve Calavera v. Carlsbad Unified School District, San Diego Superior Court Case No. 37-2009-00052330-CU-TT-NC (the "Litigation"). RECITALS WHEREAS, the District has long owned property at the comer of College Boulevard and Cannon Road where it has approved a new high school ("Project"). WHEREAS, the District prepared an environmental impact report for the Project ("EIR") and certified the EIR and approved the Project on February 11, 2009. The City submitted comments during the administrative proceedings on the Project challenging the validity of the EIR. On March 13, 2009, the City commenced the Litigation under the California Environmental Quality Act challenging the validity oftheEIR. WHEREAS, the District may require further permits or entitlements ("Future Project Approvals") before the Project can be constructed, including but not limited to a wetlands permit from the Army Corps of Engineers, recertification of the EIR to reflect additional analysis the District is conducting, and reapproval of the Project after the EIR is recertified. WHEREAS, the District has prepared a new traffic study, conducted a new wetlands delineation, and circulated revised EIR sections for public comment to address new information and the City's concerns regarding the EIR. This new analysis shows that the Project will have traffic impacts without mitigation. WHEREAS, the District and the City intend by this Agreement to resolve all claims between them relating to the Litigation. AGREEMENT NOW, THEREFORE, in consideration of the mutual covenants, promises and undertakings set forth herein and other consideration, the receipt and adequacy of which the Parties hereby aclmowledge, the Parties agree as follows: 1. The Parties' Obligations. a. Mutual Obligations: (1) Costs and Fees. The Parties hereby waive any right to collect any sums as costs or fees in or related to the Litigation from any person or entity. (2) Mutual Releases of Claims. The Parties, for themselves and their directors, officials, employees, departments, boards, representatives and attorneys, hereby fully release and forever discharge each other from any and all claims, demands, actions, causes of action, Oct. 13, 2020 Item #2 Page 12 of 25 liens,judgments, losses, liabilities, costs, expenses, and attorneys' fees, of whatever nature, past or present or future, whether in law or in equity, whether under state or federal law, and whether lmown or unknown, suspected or unsuspected and whether asserted or not asserted, arising from or in connection with the Litigation, the District's development of the Project, the EIR and the Future Project Approvals (collectively, the "Released Claims"); provided, however, that nothing in this Agreement shall release any Party from liability for failure to perform the terms, conditions, covenants and promises set forth in this Agreement. (3) Waiver of Civil Code §1542. It is the express intention of the Parties in executing this Agreement that this Agreement shall be effective as a full and final accord and satisfaction and release of each other from any and all of the Released Claims. In furtherance of this intention, the Parties aclmowledge that they are familiar with Section 1542 of the California Civil Code, which provides as follows: A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor. The Parties hereby waive and relinquish all rights and benefits that they have or may have under Section 1542 of the California Civil Code or under any other law of the State of California or any federal law to the same or similar effect with respect to the Released Claims released herein. b. The District's Obligations. (1) Dedication of Cannon Road. Within thirty business days of the District fully executing a contract with a general contractor for construction of the Project, the District will make an irrevocable offer to dedicate a 102-foot-wide right-of-way easement for Cannon Road (including temporary construction easements as required and the right to extend slopes and drainage facilities that do not materially impact the Project's operations) to the City as shown conceptually on Exhibit l hereto. At the City's election, the District will provide multiple offers to dedicate so that the City can accept the offer to dedicate portions of Cannon Road built to City standards separately from the remainder of the right-of-way. By entering into this Agreement, the District is not obligating itself to construct the Project or to hire a general contractor for construction of the Project. ' (2) Mitigation at Intersection of El Camino Real and Cannon Road. Within thirty business days of the District fully executing a contract with a general contractor for construction of the Project, the District will pay three hundred two thousand dollars ($302,000) into the City's capital improvement program for the widening of the existing bridge and constructing an additional right turn lane from northbound El Camino Real to eastbound Cannon Road. (3) Mitigation at Intersection of El Camino Real and College Boulevard. Within thirty business days of the District fully executing a contract with a general contractor for construction of the Project, the District will pay the City three hundred fifty thousand dollars ($350,000) as the estimated costs of widening and constructing a right tum-lane from southbound El Camino Real to westbound College Boulevard and restriping southbound to provide three southbound through lanes on El Camino Real ("El Camino and College Improvements"). If the City constructs the El Camino and College Improvements and the actual cost of building the improvements is less than $350,000, the City will refund to the District the difference between the actual cost of constructing the improvements and the $350,000 within 90 days of finalizing the Notice of Completion for the 2 Oct. 13, 2020 Item #2 Page 13 of 25 improvements. If the City does not commence construction of the El Camino and College Improvements within eight years of the School opening, the City will refund the $350,000 to the School. 4 (4) Contribution to the Extension of College Boulevard. Within thirty business days of the District fully executing a contract with a general contractor for construction of the Project, the District will make a fair share contribution for the construction of College Boulevard between Cannon Road and El Camino Real in an amount determined in the District's discretion or as ordered in a court order. (5) Improvements to be Completed Before School Opens. Before the School opens for regularly scheduled classes, the District will make the following improvements: (a) Grade the full width of Cannon Road to the end of the Cannon Road improvements installed as part of the Project (approximately 1,200 feet) as shown conceptually on Exhibit 2 hereto and to the elevations shown on Exhibit 5 hereto. (b) Construct a taper of Cannon Road at the entrance of the School property: first 100 foot length is full width, followed by transition section (both.to City street standards), followed by approximately SO-foot wide section to the third driveway for the Project (approximately 1,200 feet total length) of which at a minimum the south two lanes of paving and the main entrance driveway will be constructed to City street standards, as shown conceptually on Exhibit 2 hereto. The District will execute the City's standard "Encroachment Agreement'' for all improvements in the dedicated right-of-way that do not meet City standards. The District will be solely responsible for the maintenance of and liability for the non-public improvements, and will indemnify and hold the City harmless from any claims, demands, damages, losses, injury or death arising out of the improvements. ( c) Construct the intersection improvements at Cannon Road and CoUege Boulevard as shown conceptually on Exhibit 3 hereto. (d) Construct a traffic signal at the intersection of Cannon Road and College Boulevard per the details outlined in Exhibit 4 hereto. Within 90 days of the District giving the City an accounting of the District's costs of constructing the traffic signal, the City will reimburse the District for the portion of the costs of constructing the signal that exceed one hundred fifty thousand dollars ($150,000) in accordance with the terms of the City's standard "Agreement for Reimbursement of Costs." c. The City's Obligations. (1) Dismissal of Litigation. Within three court days of the Effective Date, the City shall request dismissal with prejudice of its petition for writ of mandate in the Litigation and shall obtain and provide the District with written court confirmation of the dismissal. 3 Oct. 13, 2020 Item #2 Page 14 of 25 (2) City to Accept Easement for Cannon Road. The City will accept an irrevocable offer of dedication of an easement for public roadway and utility purposes and assume maintenance responsibilities for the portions of Cannon Road that the District builds to City standards within six months after finafizing of the Notice of Completion for the roadway improvements. · (3) Refund Payments if School is Cancelled. If the District takes formal action to cancel the Project, rather than postpone commencement of the Project, the City will refund any unexpended and unencumbered funds that the District has contributed to the City under this Agreement. (4) Future Cooperation. The City will fully cooperate with the District's processing of any remaining entitlements, permits, easements, licenses, or other approvals the District requires. The City will expedite requests the District makes for such approvals. 2. Entire Agreement. This Agreement: (a) constitutes the entire agreement between the Parties concerning the subject matter hereof; (b) supersedes any previous oral or written agreements concerning the subject matter hereof; and ( c) shall not be modified except by a writing executed by the Party or Parties to be bound thereby. 3. Benefited Parties. This Agreement shall be binding upon and inure to the benefit of each of the Parties and their respective representatives. There shall be no third party beneficiaries. 4. Construction, Choice of Law, and Venue. The tenns of this Agreement are the product of arms-length negotiations between the Parties, through their respective counsel of choice, and no provision shall be construed against the drafter thereof. This Agreement shall be governed by and construed in accordance with the laws of the State of California. The venue for any disputes concerning this Agreement shall be in San Diego County. In entering into this Agreement, the Parties represent that they have had an opportunity to obtain the legal advice of attorneys of their own choice, and that the terms of this Agreement are fully understood and voluntarily accepted by them. The Parties further represent that they do not rely and have not relied upon any representation or statement made by any Party or any other person with regard to the subject matter, basis or effect of this Agreement, other than the express provisions contained in this Agreement. If any action, at law or in equity, including an action for declaratory relief, is brought to enforce or interpret the provisions ohhis Agreement, the prevailing Party shall be entitled to recover its reasonable attorneys' fees and costs, in addition to any other relief to which they or it may be entitled. 5. Counterparts and Electronic Execution. This Agreement may be executed in counterparts which, taken together, shall constitute one and the same agreement. This Agreement may also be executed and/or delivered by facsimile and/or email transmission and in such event all facsimile and/or scanned and emailed signatures shall be deemed originals for all purposes hereof. 6. Authority. As neighbors of the proposed high school, we are concerned that the proposed settlement terms may negatively impact both our obligations to the City and our efforts to develop additional affordable housing in the area. As the City would surely agree, additional affordable housing is urgently needed. Indeed, future employees at the proposed high school would directly benefit from the availability of more local affordable housing, as would countless other potential residents. However, in order to advance the proposed affordable housing project on the RCOA Parcel 4 property, we need adequate access to a public street; that public street is Cannon Road Reach 4A. It is our understanding that as part of its settlement with the City, CUSD will be required to make a number of core improvements for Cannon Road Reach 4A on its own behalf. We would like to be sure that any Zone 15 development conditions relating to Cannon Road Reach 4A are completely satisfied by the terms of the settlement between CUSD and the City. Otherwise, the added costs of installing an additional public road adjacent to or in addition to the road provided for in the proposed settlement would make the affordable housing project unnecessarily and prohibitively expensive. In our discussions with CUSD regarding the high school site, we and other neighboring property owners made it clear that local projects would be obligated to the City, through tentative map approval conditions, to guarantee the construction of the core improvements for Cannon Road Reach 4A. For example, conditions of approval for the Cantarini~Holly Oct. 13, 2020 Item #2 Page 23 of 25 Springs projects state in part that "prior to final map approval [Cantarini/Holly Springs] shall develop and agree to the formation of a comprehensive financing program guaranteeing the construction of the core improvements for Cannon Road Reach 4A in accordance with the requirements of the amended Zone 15 Local Facilities Management Plan (LFMP)." The conditions further state that "Cannon Road Reach 4A extends east from the intersection with College Boulevard approximately 900 feet. The core improvements consist of full width grading, two 18-ft paved lanes, median curbs, drainage facilities required to protect the roadbed, and transition improvements to full City standard intersection improvements at the intersection with College Boulevard." In order to assure its ability to comply with this condition of approval, Holly Springs entered into an easement agreement with CUSD which provides for an easement consisting of a continuous strip of land at the easterly boundary of CUSD's property containing a width of approximately two hundred fifty (250) feet. The easement makes the development of the school's parking lots impossible and Holly Springs' ability to quit claim this easement back to CUSD so that the high school project can proceed, may be prevented by the apparent conflicts with the City's CUSD settlement terms and the lack of clarity from the City regarding obligations for Cannon Road Reach 4A. We understand that as part of its settlement with the City, CUSD will be required to make a number of core improvements for Cannon Road Reach 4A on its own behalf. These include: 1. The dedication of a 102-foot-wide right-of-way easement for Cannon Road (including temporary construction easements as required and the right to extend slopes and drainage facilities that do not materially impact [CUSD's] operations). 2. At the City's election, the [CUSD] will provide multiple offers to dedicate so that the City can accept the offer to dedicate portions of Cannon Road built to City standards separately from the remainder of the right-of-way .. If these requirements do not fully satisfy the Zone 15 LFMP and tentative map conditions described above and the high school project is allowed to proceed, there will be no available physical location for any of the Zone 15 projects to satisfy their map conditions. Thus, by its actions the City will have effectively divested the Cantarini and Holly Springs projects of their rights under the Subdivision Map Act. We therefore request that as part of its ratification of the settlement agreement between CUSD and the City, the City Council clarify the Zone 15 LFMP project obligations (Cantarini, Holly Springs, etc.) in connection with Cannon Road Reach 4A in light of the settlement agreement.
