SUBORDINATION AGREEMENT
(REFINANCE)
NOTICE: TIIlS SUBORDINATION AGREEMENT RESULTS

POT AS HOV ("Owner"), owner of the land hereinafter described, and the City of Carlsbad, a
municipal corporation ("Beneficiary"), present owner and holder of the deed of trust and promissory
note first hereinafter described. ·
WITNESS ETH
THAT WHEREAS, Owner did execute a deed of trust, dated AUGUST 10, 2005 to UNIVERSAL
AMERICAN MORTGAGE COMPANY, LLC, as trustee, covering:
Complete legal description as more particularly described in "Exhibit A" attached hereto and
made a part hereof.
To secure a note in the sum of TWO HUNDRED ELEVEN THOUSAND, FOUR HUNDRED
DOLLARS ($211,400.00), dated AUGUST 10, 2005 in favor of Beneficiary, which deed of trust was
recorded on AUGUST 25, 2005 as Document N_o.2005-0733127 of Official Records of San Diego
County; and
WHEREAS, Owner desires to refinance the property and has executed, or is about to execute, a new
deed of trust and note in the sum of ONE HUNDRED EIGHT THOUSAND, THREE HUNDRED
DOLLARS ($108,300.00) dated JC,\nl.)a') 9 , 20_!..]_ in favor ofNETWORK
CAPITAL FUNDING CORPORATION ISAOA, hereinafter referred to as "Lender," payable with
interest and upon the terms and conditions described therein, which deed of trust is to be recorded
concurrently herewith; and

WHEREAS, it is a condition precedent to obtaining said loan that said deed of trust last above
mentioned shall unconditionally be a lien or charge upon the land hereinbefore described, prior and
superior to the lien or charge of the deed of trust first above mentioned; and
WHEREAS, Lender is willing to make said loan provided the deed of trust securing the same is a
lien or charge upon the above described property prior and superior to the lien or charge of the deed
of trust first above me ntioned and provided that Beneficiary wi ll specificall y and unconditionally
subordinate the lien or charge of the deed of trust first above mentioned to the li en o r charge of the
deed of trust in favor of Lender; and
WHEREAS, Beneficiary is willing to subordinate to said loan provided that Lender shall deliver to
Beneficiary a default notice within five business days in each case where Lender has given a default
notice to Owner at the fo llowing address:

Beneficiary shall have the opportunity, but not the obligation, to cure any default within 60 days
following the date of such notice; provided, however that Lender shall be entitled, during such 60-
day period, to continue to pursue its ri ghts and remedies under the loan documents. All amounts paid
by Beneficiary to Lender to cure any default under the Lender loan documents shall be added to the
amount of the Beneficiary loan and shall be secured by the lien of the Beneficiary.
WHEREAS, it is to the mutual benefit of the parties hereto that Lender make such loan to Owner;
and Beneficiary is willing that the deed of trust securing the same shall, when recorded, constitute a
I ien or charge upon said land which is unconditionally prior and superior to the lien or charge of the
deed of trust first above mentioned.
NOW, THEREFORE, in consideration of the mutual benefits accruing to the parties hereto and other
valuable consideration, the receipt and sufficiency of which consideration is hereby acknowledged,
and in order to induce Lender to make the loan above referred to, it is hereby declared, understood
and agreed as fo ll ows:
(I) That said deed of trust securing said note in favor of Lender shall unconditionally be a
lien or charge on the property therein described, prior and superior to the lien or charge
of the deed of trust first above mentioned.
(2) That Lender would not make its loan above described without this subordination
agreement.

(3) That Beneficiary shall have the right to a Notice of Default, within five business days in
each case where Lender has given a default notice to Owner and Beneficiary shall have
the opportunity, but not the obligation, to cure any default within 60 days following the
date of such notice.
(4) That Beneficiary intentionally and unconditionally waives, relinquishes and subordinates
the li en or charge if the deed of trust first above mentioned in favor of the lien or charge
upon said land of the deed of trust in favor of Lender above referred to and understands
that in reliance upon, and in consideration of, this waiver, relinquishment and
subordination a specific loan and/or advances are being made which would not be made
but for said reliance upon this waiver, relinquishment and subordination.
