TRAVELING EXHIBIT AGREEMENT
This Baron Alan Wolman Photo Traveling Exhibit Agreement (“Agreement”) is entered
into as of this ___ day of December, 2023 (“Effective Date”), by and between The Rock and Roll
Hall of Fame and Museum, Inc., located at 1100 Rock & Roll Boulevard, Cleveland, Ohio 44114
(“Lender”) and City of Carlsbad (“Borrower”), a municipal organization with its principal place of
business located at 1775 Dove Lane, Carlsbad, CA 92011 (“Borrower’s Location”).
BACKGROUND
Lender has created an exhibit titled Iconic Baron Wolman Images of an Era (collectively,
the “Exhibit”). The Exhibit consists of four smaller photo exhibitions of framed images captured
by Baron Wolman (collectively, the “Works,” and each individually, a “Work”) together with
exhibitry materials provided, loaned and/or created by or on behalf of Lender. The Works are
listed on the attached Attachment A, incorporated into this Agreement by reference.
Borrower desires to display the Exhibit at Borrower’s Location from January 16, 2024 to
June 1, 2024 (such period of time, as may be extended pursuant to Section 12 below, is the
“Exhibition Period”), and Lender desires to loan the Exhibit to Borrower under the terms and
conditions in this Agreement.
AGREEMENT
1. Exhibit Setup and Display.
a. Borrower shall show the Exhibit at Borrower’s Location for educational purposes
only during the Exhibition Period. Borrower shall not charge a special fee for admission to the
Exhibit. Borrower may not change the location of the Exhibit without Lender’s prior written
approval.
b. Lender shall have the Works delivered to Lender’s carrier for delivery to
Borrower’s Location within a reasonable time in advance of the commencement of the
Exhibition Period.
c. Borrower shall be responsible for obtaining and maintaining any and all
necessary licenses from performing rights organizations (including ASCAP, BMI, SESAC and/or
GMR) covering the public performance of musical compositions Borrower elects to perform or
play at Borrower’s Location.
2. Shipping and Couriers.
a.General shipment guidelines – Upon the earlier of the conclusion of Exhibition
Period or earlier termination of this Agreement, Borrower shall arrange to have the Works
packed in their original packing cases and ready for pick up by Lender’s designated carrier on
the date specified by Lender.
b.Incoming shipment of exhibition - Lender shall arrange for transportation of
the Exhibit to and from Borrower’s Location. Lender shall provide Borrower with the name,
contact and tracking information for the carrier at least 7 days prior to pick up by the designated
carrier.

c. Borrower will receive the Exhibition via courier selected by Lender. Borrower will
be responsible for providing personnel to assist with the unloading of the Exhibition.
d. Lender will make a good faith effort to facilitate the arrival of the Exhibition no
later than four (4) business days in advance of Jan. 16, 2024. Lender shall not be held
responsible for delays outside of its control.
e. If the Exhibition has not been received within four (4) days prior to Jan. 16, 2024,
Borrower will contact Lender immediately.
f. In order to ensure that the Exhibition will be delivered to the proper location, City
of Carlsbad, Carlsbad City Library, 1775 Dove Lane, Carlsbad, CA 92011, Lender shall
request the transportation company contact Borrower staff twenty-four (24) hours prior to
delivery. Delivery will be accepted between 8 a.m. to 2 p.m. weekdays. Delivery location does
not have a shipping dock available for delivery.
g. Outgoing shipment of exhibition. Lender will specify the name and address of
the delivery destination to which the Exhibition is to be shipped, as well as the date by which the
Exhibition must arrive at the next site.
h. Borrower will make all arrangement to transport the Exhibition to the next site as
instructed by Lender via courier approved by Lender.
i. Borrower will ship the Exhibition within two (2) business days following close of
exhibit date.
j. Borrower must notify Lender of the date the Exhibition was shipped within two (2)
days of the date the Exhibition was shipped. Exhibitor will retain bill of lading receipts for a
period of three (3) weeks from the date of shipment.
k. Borrower will be liable for any costs resulting from Lender’s delay or failure to
transport the Exhibition in accordance with the provisions of this agreement.
l. Borrower will be responsible for reasonable supervision and care of the
Exhibition, crates, packing material and everything contained therein, from its incoming shipping
until its outgoing shipping according to the timeline.
m. Shipping Costs. Borrower shall promptly (no later than 30 days after receipt of
invoice) reimburse Lender for the costs of shipping and transporting the Exhibit to and from
Borrower’s Location (collectively, all such costs, the “Shipping Costs”). If the Exhibit travels
from Lender’s location or storage facility to Borrower and directly back to Lender, then
Borrower shall be responsible for payment to Lender of all such Shipping Costs. If the Exhibit
will travel to one or more borrowing venues located in the continental United States
immediately before or after traveling to Borrower’s Location, Lender will use reasonable efforts
to equitably apportion the Shipping Costs among the different borrowing venues.
n. Notwithstanding the above, Lender’s reimbursement obligation for Shipping
Costs shall not exceed Six-thousand dollars ($6,000), specifically for shipping to and from
Lender’s location or storage facility, unless this Agreement is amended in writing by the
Parties.

o.Risk of Loss. Lender is not responsible for delays or accidents caused during
shipment of the Exhibit to Borrower’s Location. Borrower assumes all risk of loss to the Exhibit
upon Lender’s (or another third-party borrowing venue’s) delivery of the Exhibit to Lender’s
chosen carrier for delivery to Borrower’s Location; provided, however, that in the event the
Exhibit is to travel to a third-party borrowing venue location after the Exhibition Period, the risk
of loss will pass to such third party upon delivery to Lender’s designated carrier for shipment to
the third party or if the Exhibit is to travel to Lender’s location or storage facility, the risk of loss
to the Exhibit will pass to Lender upon delivery of the Exhibit to Lender’s location or storage
facility.
3. Security and Care of the Works.
a. Borrower shall take reasonable and prudent measures to protect and ensure the
security of the Works. The museum-quality security hardware attached to every frame must be
used to install the Works. The Works may not be cleaned, repaired, unframed, removed from
mats, mounts or bases, restored or altered in any way without the express written consent of
Lender.
b. Borrower shall immediately notify Lender of any loss or damage to the Works,
regardless of who may be responsible, and whether the loss or damage occurred during transit
to Borrower’s Location. Borrower shall provide Lender with a written report, including
photographs, describing the loss, damage or deterioration in detail, within 24 hours after such
notification by Borrower. If the loss, damage or deterioration occurred during transit to Borrower,
Borrower shall save all packing materials for inspection by Lender and, if applicable, the carrier
or its agent. No alteration, restoration, or repair of a Work is permitted without Lender’s consent.
c. Promptly after install, Borrower shall take digital images of the Exhibit (including
all Works) and share them with Lender, and Borrower shall cooperate with Lender’s reasonable
suggestions regarding the display of the Works. Additionally, the Exhibit title panel and text
panels shall also be displayed with the Exhibit. Wolman bio panel is optional.
4. Insurance.
a. Borrower will insure the Artwork against any loss or damage while it is in the
Borrower’s possession and in transit to and from Borrower, except that if the Exhibit is to travel
to a third party location from Borrower’s Location Borrower shall not be required to maintain
such insurance after delivery of the Exhibit to Lender’s designated carrier for shipment to a third
party. Borrower may utilize self-insurance. The Artwork will be insured for the Fair Market Value
as specified by the Lender in Exhibit “A” of this Agreement. For purposes of insurance
coverage, Borrower requires the Lender to value Artwork(s) accurately based upon Artworks by
the artist of similar size, style, medium, and if possible, based upon previous sales. The
Borrower may require Lender to provide reasonable evidence of the Artwork’s stated market
value. In the event of loss or damage to the Artwork, Lender’s failure to provide supporting
evidence of the Artwork’s stated market value will result in the Borrower’s sole determination of
the Artwork’s market value. The signing of this Agreement by the Borrower does not constitute
an endorsement of the Lender’s stated value. In the event of loss of or damage to the Artwork,
Lender’s recovery from the Borrower and/or insurer is limited to the maximum coverage amount
specified in the Agreement.
b. Lender agrees to hold the Borrower and its officers, agents, employees and
volunteers harmless from any and all claims in excess of maximum coverage amount indicated
in this Agreement. In the event of partial loss or damage, the Borrower’s liability shall be limited

to the cost of repair or restoration or any resulting loss in fair market value. Borrower shall not
be liable for any indirect, special, incidental, punitive or consequential damages even if the
Borrower has been advised of the possibility of such damages.
5. Warranty of Title. Lender warrants that Lender is either the owner of the Works
or the authorized agent of the lawful owner or artist of the Works and has the authority to enter
into this Agreement and to grant the rights to City as set forth in this Agreement. Lender also
warrants that the Works(s) are not now or will be subjected to claims of ownership, lien,
encumbrance, copyright infringement, or trademark infringement under any state or federal law.
Lender shall indemnify and hold harmless the Borrower, its officers, and employees for all
damages related to a claim asserting a violation or claim of violation of this Warranty of Title,
including reasonable attorney fees and costs.
6. Photography/Reproduction. Borrower shall be permitted to use or take wide
angle photographs or digital images of the Exhibit as installed for the sole purpose of publicizing
and marketing the Exhibit in accordance with Section 7 (which requires Lender’s approval of
each such specific publication and marketing use). Additionally, visitors to Borrower’s Location
are permitted to take video and non-flash photos for personal, noncommercial use. Any other
images of the Works must be obtained from, and pre-approved by, Lender.
7. Publicity and Credits; Prohibition of Sponsorship.
a. Borrower will, at least 30 days prior to the opening of the Exhibit, provide Lender
with a proposed plan for publicizing, advertising and otherwise promoting the Exhibit for
approval by Lender. Provision of such plan does not relieve Borrower from its duty to obtain
Lender’s advance approval prior to engaging in any specific publicity, advertising or other
promotional activity regarding the Exhibit or the Works in accordance with this Section 7.
b. Borrower shall give credit to Lender in all Exhibit title signage and all written and
printed materials, including, but not limited to, acknowledgements, press releases,
announcements, advertisements, direct mail, digital communications and catalogues concerning
the Exhibit or the Works (collectively, “Materials” and each individually is a “Material”) and
including at the entrance to the Exhibit. If other logos are included in the Materials, then
Lender’s logo should also be included and shall be equal to or greater in size than any such
other logos in the Materials in accordance with Lender’s quality standards then in effect (the
current version of which is attached hereto as Attachment B). If it is unfeasible to include the
Lender’s Logo in a Material and other logos are not used in such Material, then such Material
must bear the following credits (unless otherwise approved in writing by Lender): “This Exhibit
was curated by the Rock & Roll Hall of Fame, Cleveland, Ohio.”
c. Borrower shall obtain Lender’s prior written approval of any Material at least ten
(10) days in advance of any printing, publication, production or other dissemination of such
Material. Lender shall use its reasonable efforts to give such approval as expeditiously as
possible; provided, however, Borrower acknowledges that Lender may need to obtain
permission from Lender’s lender(s) which may take additional time. Lender’s silence to a
request hereunder shall be deemed Lender’s disapproval thereof. Furthermore, Borrower shall
provide Lender with copies of all Materials concerning the Exhibit or the Works. Notwithstanding
anything to the contrary herein, Borrower shall not communicate, announce or publicize in any
manner either this Agreement or the Exhibit to take place at Borrower’s Location until the Exhibit
has closed at Lender’s facility.

d. Borrower shall not use Lender’s trademarks or logos (whether owned or licensed
by Lender from Rock and Roll Hall of Fame Foundation, Inc.) without the prior written consent of
Lender, and any such use shall be in accordance with such written consent and consistent with
Lender’s quality standards as specified in Section 7b.
e. Neither party, by virtue of this Agreement, shall obtain or claim any right, title or
interest in or to the other’s name, trademark or logo, except the right to use such intellectual
property as specified herein and each party hereby acknowledges and agrees that all such use
shall inure to the benefit of the respective owner.
f. Promotion of the Exhibit by or on behalf of Borrower shall be the sole
responsibility of Borrower. Any promotion of the Exhibit on Borrower’s owned media (including
Borrower’s website and special pages or tabs on Borrower’s social media) shall (i) abide by this
Section 7; and (ii) include a link to www.rockhall.com in the credit language, provided however,
the obligations set forth in this subsection (ii) apply at the social media page or tab level and do
not apply to each specific Facebook, Twitter or social media posting.
g. No sponsorships are permitted to be obtained by Borrower of or relating to the
Exhibit or the Works.
8. Loan Fee. Borrower shall pay Lender the sum of Thirty-Two Thousand Dollars
($32,000) (the “Loan Fee”), payable as follows:
One half of the Loan Fee (or $16,000) payable on execution of this Agreement; and
One half of the Loan Fee (or $16,000) payable 30 days in advance of the
commencement of the Exhibition Period.
9. Additional Costs and Permissions. In addition to the Loan Fee, reimbursement
of Shipping Costs and any other costs and expenses specified in this Agreement as being
reimbursable by Borrower or Borrower’s responsibility, Borrower is solely responsible for all
local costs incurred in presenting the Exhibit, including, but not limited to, promotion, publicity,
previews, unpacking and packing the Works at Borrower’s location, installation costs, storage
on Borrower’s premises, educational programs, entertainment and receptions.
10. Merchandise. Borrower shall not make or sell (or cause to be made or sold) any
merchandise related to the Exhibit and/or the Works.
11. Termination.
a. In the event of termination of this Agreement by Borrower more than 120 days
prior to the commencement date of the Exhibition Period for any reason other than a material,
uncured breach of this Agreement by Lender, Lender may retain all amounts paid by Borrower
and will have no obligation to provide Borrower with any refunds of fees, costs, expenses or any
other amounts paid by Borrower pursuant to this Agreement; provided that if Borrower
terminates this Agreement due to a material breach of this Agreement by Lender (with such
breach remaining uncured more than 15 days after Lender’s receipt of written notice thereof
from Borrower), then Lender shall return to Borrower any fees, costs, expenses or any other
amounts paid by Borrower pursuant to this Agreement.
b. If Borrower terminates this Agreement for any reason (other than based upon a
material, uncured breach of this Agreement by Lender) in the 120-day period prior to the

commencement date of the Exhibition Period, in addition to the initial payment(s) set forth in
Section 8, Borrower shall be responsible for paying Lender the remaining payment(s) set forth in
Section 8 together with paying Lender for any costs and other expenses incurred by Lender in
accordance with preparing the Exhibit to travel to Borrower (including non-refundable travel
expenses already incurred and packing materials) to the extent such costs would have
otherwise been reimbursable by Borrower under this Agreement.
c. In the event of termination by Lender hereunder for any reason other than a
termination based upon Borrower’s material, uncured breach, Lender shall return to Borrower
any Loan Fees paid by Borrower pursuant to this Agreement.
d. If Borrower at any time is in material breach of this Agreement, which breach is
not cured within 15 days after Borrower’s receipt of written notice thereof from Lender, Lender
may terminate this Agreement immediately upon the provision of written notice to Borrower, with
such termination having immediate effect. Borrower shall immediately return the Exhibit to
Lender or its designee at Lender’s direction. Furthermore, if Lender reasonably determines any
Work is in danger, Lender is entitled to engage in “self-help,” regardless of any cure period, and
enter Borrower’s premises to retrieve the Exhibit, with Borrower being responsible for
reimbursement to Lender for all such costs associated therewith, including staff time (billed at
1.4 times hourly wage), return shipping and related expenses, if such danger arises out of
Borrower’s failure to perform any of its obligations under this Agreement. In such case,
Borrower has no right to receive any refund of any deposits or any other amounts paid
hereunder. Lender retains all rights and remedies available to it at law or in equity as a result of
a breach of this Agreement by Borrower.
12. Extension of Exhibition Period. Any extension of the Exhibition Period must be
approved in writing by Lender (and such requests may be granted or denied in Lender’s sole
discretion). During the Term, if a third party indicates their desire to rent one or more of the
exhibits comprising the Exhibit, Lender will notify Borrower, and Borrower shall promptly notify
Lender within two business days whether it desires to extend the length of the Exhibition Period
(with silence being deemed Borrower’s decision to not extend the Exhibition Period). All terms
and conditions of this Agreement shall continue to apply during any such extension (including,
without limitation, Borrower’s insurance obligations), and Borrower shall be responsible for
promptly remitting the agreed-upon Loan Fee to extend the Exhibition Period.
13. Business License. Lender will obtain and maintain a City of Carlsbad Business
License for the term of the Agreement, as may be amended from time-to-time.
14. Accounting Records. Lender will maintain complete and accurate records with
respect to costs incurred under this Agreement. All records will be clearly identifiable. Lender
will allow a representative of Borrower during normal business hours to examine, audit, and
make transcripts or copies of records and any other documents created pursuant to this
Agreement. Lender will allow inspection of all work, data, documents, proceedings, and
activities related to the Agreement for a period of three (3) years from the date of final payment.
15. General Compliance with Laws Lender will keep fully informed of federal, state
and local laws and ordinances and regulations which in any manner affect those employed by
Lender, or in any way affect the performance of the Services by Lender. Lender will at all times
observe and comply with these laws, ordinances, and regulations and will be responsible for the
compliance of Lender's services with all applicable laws, ordinances and regulations.

Lender will be aware of the requirements of the Immigration Reform and Control Act of 1986
and will comply with those requirements, including, but not limited to, verifying the eligibility for
employment of all agents, employees, subcontractors and consultants whose services are
required by this Agreement.
16. Discrimination and Harassment Prohibited. Lender will comply with all
applicable local, state and federal laws and regulations prohibiting discrimination and
harassment.
17. Covenants Against Contingent Fees. Lender warrants that Lender has not
employed or retained any company or person, other than a bona fide employee working for
Lender, to solicit or secure this Agreement, and that Lender has not paid or agreed to pay any
company or person, other than a bona fide employee, any fee, commission, percentage,
brokerage fee, gift, or any other consideration contingent upon, or resulting from, the award or
making of this Agreement. For breach or violation of this warranty, Borrower will have the right
to annul this Agreement without liability, or, in its discretion, to deduct from the Agreement price
or consideration, or otherwise recover, the full amount of the fee, commission, percentage,
brokerage fees, gift, or contingent fee.
18. Claims and Lawsuits. By signing this Agreement, Lender agrees that any
Agreement claim submitted to Borrower must be asserted as part of the Agreement process as
set forth in this Agreement and not in anticipation of litigation or in conjunction with litigation.
Lender acknowledges that if a false claim is submitted to City, it may be considered fraud and
Borrower may be subject to criminal prosecution. Borrower acknowledges that California
Government Code sections 12650 et seq., the False Claims Act applies to this Agreement and,
provides for civil penalties where a person knowingly submits a false claim to a public entity.
These provisions include false claims made with deliberate ignorance of the false information or
in reckless disregard of the truth or falsity of information. If Lender seeks to recover penalties
pursuant to the False Claims Act, it is entitled to recover its litigation costs, including attorney's
fees. Borrower acknowledges that the filing of a false claim may subject Borrower to an
administrative debarment proceeding as the result of which Borrower may be prevented to act
as a Borrower on any public work or improvement for a period of up to five (5) years. Borrower
acknowledges debarment by another jurisdiction is grounds for Lender to terminate this
Agreement.
19. Assignment. Borrower may not assign this Agreement or its obligations
hereunder without the express written consent of Lender.
20. Authority. Each party independently represents that it has the full right, power
and authority to enter into this Agreement, and to perform all of its obligations, hereunder.
21. Non-Agency. The parties shall not represent themselves as the agent or legal
representative of one another or their affiliate for any purpose whatsoever and have no right to
create or assume any obligation of any kind, express or implied, for or on behalf of one another
in any way whatsoever.
22. Entire Agreement. This Agreement (including all exhibits) constitutes the entire
agreement of the parties with respect to the subject matter hereof and this Agreement may not
be modified or amended, except in a writing signed by both parties hereto.
23. Waiver. The failure of either party to enforce at any time any term, provision or
condition of this Agreement, or to exercise any right or option herein, will in no way operate as a

waiver thereof, nor will any single or partial exercise preclude any other right or option herein;
and no waiver whatsoever will be valid unless in writing, signed by the waiving party and only to
the extent set forth in such writing.
24. Notices. All notices hereunder shall be sent in writing (including facsimile and
email transmissions) and shall be deemed to be duly given as of the date of delivery if hand
delivered, sent via facsimile, sent via email (with confirmation of transmission in the case of
facsimile or email) or sent by overnight courier, or as of the postmark date if sent by United
States certified or registered mail, return receipt requested, postage fully prepaid, to the
following addresses:

A party may change its notice address set forth herein by sending a notice of such new
contact information to the other party pursuant to the provisions of this Section 24.
25. Miscellaneous. If any provision or portion of any provision of this Agreement is
construed to be illegal, invalid or unenforceable, such provision or portion will be deemed
stricken and deleted from this Agreement to the same extent and effect as if never incorporated
herein, but all other provisions of this Agreement and any remaining portion of any provision
which is not deemed illegal, invalid or unenforceable in part will continue in full force and effect.
This Agreement may be executed in counterparts, each of which will be deemed an original
Agreement for all purposes and which collectively will constitute one and the same Agreement.
Each party shall have the right to rely on a facsimile or electronic (PDF) signature on this
Agreement, and each party shall, if another party so requests, provide an originally signed copy
of this Agreement to the other party.
