AGREEMENT FOR VEHICLE USE SERVICES
VITAGOLD BRANDS COOPERATIVE ASSOCIATION
9th
THIS AGREEMENT is made and entered into as of the ______ day of
October 2024, by and between the City of Carlsbad, California, a municipal corporation
("City") and Vitagold Brands Cooperative Association, a California agricultural cooperative ("Vitagold").
RECITALS
A. The City's Fire Department is a member agency of the North Regional Zone, comprised of
various Fire Departments in San Diego County (collectively, the "North Zone Agencies"). The North Zone
Agencies have agreed to provide fire suppression support and resources to other North Zone Agencies
without regard to political or jurisdictional boundaries and adhere to the closest available resource
concept for determining response patterns.
B. To ensure safe and effective incident operations, the North Zone Agencies train
interdepartmentally from time to time. The North Zone Agencies have agreed to conduct training related
to confined space rescues. These trainings will occur at Vitagold's facility in Escondido and the City's Safety
Training Center.
C. Vitagold will supply the City with one commercial dry bulk cargo trailer for this training.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein,
City and Vitagold agree as follows:
1. TRAINING EXERCISES
Vitagold shall furnish one commercial dry bulk cargo trailer as depicted in Exhibit 1 to this Agreement,
which is attached hereto and incorporated by this reference (the "Trailer") for use during six confined
space rescue training exercises as further described in Exhibit 2 to this Agreement, which is attached
hereto and incorporated by this reference (the "Training Exercises"). The Training Exercises will be
coordinated by the City's Fire Department and take place at the Safety Training Center (5750 Orion Way,
Carlsbad 92010) between November 5, 2024, and December 5, 2024.
2. MEMBER AGENCIES
The Training Exercises shall be open to the following fire departments: Oceanside Fire Department, Vista
Fire Department, CAL Fire Department, San Marcos Fire Department, North County Fire Department, San
Pasqual Reservation Fire Department, Rincon Reservation Fire Department, Escondido Fire Department,
Carlsbad Fire Department, Camp Pendleton Federal Fire Department, Rancho Santa Fe Fire Department,
and Valley Center Fire Protection District.
3. COMPENSATION
The total fee payable for use of the Trailer shall not exceed five hundred dollars ($500.00). No other
compensation for the Services will be allowed except for items covered by subsequent amendments to
this Agreement.
4. DELIVERY
Vitagold will deliver the Trailer to the Safety Training Center on November 1, 2024. Vitagold will stage or
place the Trailer as the City directs. The Trailer will remain on-site at all times until the Training Exercises
are concluded. When not supervised, the Trailer will be secured.

5. REMOVAL
Vitagold and the City will coordinate the removal of the Trailer once the Training Exercises have been
completed.
6. HOLD HARMLESS
Each Party (including such Party's agents, employees, and subcontractors, if any) shall hold harmless the
other Party, its officials, officers, agents, employees, and volunteers from and against any and all claims,
demands, actions, causes of action, proceedings (including but not limited to legal and administrative
proceedings of any kind), suits, fines, penalties, judgments, orders, levies, costs, expenses, liabilities,
losses, damages, or injuries, in law or equity, including without limitation the payment of all consequential
damages and attorney's fees and other related litigation costs and expenses (collectively, "Claims"), of
every nature caused by, arising out of, or in connection with the Training Exercises, except where caused
by the sole negligence or willful misconduct of the other Party.
7. COMPLIANCE WITH LAWS
Vitagold will comply with all applicable local, state and federal laws and regulations, including those
prohibiting discrimination and harassment.
8. TERMINATION
City or Vitagold may terminate this Agreement at any time after a discussion, and written notice to the
other party.
9. JURISDICTIONS AND VENUE
This Agreement shall be interpreted in accordance with the laws of the State of California. Vitagold agrees
and stipulates that the proper venue and jurisdiction for resolution of any disputes between the parties
arising out of this Agreement is the State Superior Court, San Diego County, California.
10. ASSIGNMENT
Vitagold may assign neither this Agreement nor any part of it, nor any monies due or to become due under
it, without the prior written consent of City.
11. THIRD PARTY RIGHTS
Nothing in this Agreement should be construed to give any rights or benefits to any party other than the
City and Vitagold.
12. AMENDMENTS
This Agreement may be amended by mutual consent of City and Vitagold. Any amendment will be in
writing, signed by both parties, with a statement of estimated changes in charges or time schedule.
13. ENTIRE AGREEMENT
This Agreement, together with any other written document referred to or contemplated by it, embody
the entire Agreement and understanding between the parties relating to the subject matter of it. In case
of conflict, the terms of the Agreement supersede the purchase order. Neither this Agreement nor any of
its provisions may be amended, modified, waived or discharged except in a writing signed by both parties.
This Agreement may be executed in counterparts.

4. Operational Period Command Emphasis:
Drill #1-Two people were doing work in the trailer. One of the workers walked away to go get
parts. When the coworker came back, his partner was unconscious and laying at the bottom at the
trailer.
Drill #2-One worker was cleaning a soy tractor trailer. They were seen this morning when work
started, and it is now lunch time . Supervisor went out to investigate and found them unconscious
and at the bottom of the trailer.
Goals of the drills include:
Evaluate the scene, determine if a Confined Space Permit is needed, establish IC, request
resources.
Establish appropriate comm plan.
Provide Clear, Effective TLO'S (Task Location Objective)
Identify mandatory positions and assign personnel accordingly.
Hold a safety meeting prior to entry.
Perform safety checks and test load system -Tactical Pause (Instructor& assigned Safety to check)
Rig appropriate rope system for the scenario. Fall protection lines.
Perform safety checks.
Haul victim up / Medical assessment
Repeat with different crews.
-Use Standard PPE per department policy to include helmet, jacket, and gloves
-All rigging will be within the curriculum and guidelines of LARRO and RS1/Rope Ops/SOG
-Utilizing equipment on first arriving Engines, follow department SOP/SOG to affect a rescue

-Remain attentive to safety concerns with footing on the trailer, slippery, uneven, trip hazards, etc.
-Secure all equipment to prevent falling off the trailer.

-Systems will be test loaded prior to rescuers going in or out of the confined space.
-Individuals will remain outside of the danger zone when the system is loaded.
-Constant radio communication between the rescuers and the attendant will be maintained throughout the
course of the incident.
-Weather temps may be elevated. Stay hydrated and use sun protection.
-Any safety concerns will be brought to safety officer immediately.
-If the safety officer identifies a safety issue, an "All Stop" will be issued and the safety concern will be
addressed. Air Horn Blasts, verbal commands and Radio communication will be used.
-All personnel within on top of the trailer and within 3 feet of opening will wear a minimum of a Class Ill harness
tied to a bombproof anchor.
