Hill, G.G., FMA Director of Facilities Gemological Institute of America 5345 Armada Drive Carlsbad, California 92008 RECEIVED MAY 3 0 897 RE: Armada Drive Right-of-Wav ProDerty Convevance Dear Gary: Pursuant to our discussion, Carlsbad Ranch Company, L.P. is prepared to convey the property as more or less shown on the attached Exhibit A, comprising approximately 0.34 acres, to GIA at not cost. This property is within the right-of-way of Annada Drive and has already been improved with the required landscape and hardscape. The maintenance of this area is the responsibility of the Carlsbad Ranch Maintenance Association under the CC&R’s. While this area is not developable square footage, it will benefit GIA in its future calculations of open space. I will have the necessary documents prepared for the conveyance of this area and have them delivered to your attention for handling. qncerely, David C.
