As a seller, you have the right to issue resale certificates for merchandise that you intend to resell. Conversely, you
have the responsibility of not misusing resale certificates. While the sales tax is imposed upon the retailer,

• You are responsible for filing and paying your sales and use tax returns timely
• You have the right to be treated in a fair and equitable manner by the employees of theBoard
• You are responsible for following the regulations set forth by the Board
As a seller, you are expected to maintain the normal books and records of a prudent businessperson. You are required to
maintain these books and records for no less than four years, and make them available for inspection by a Board representative
when requested. You are also expected to notify us if you are buying, selling, adding a location, or discontinuing your business,
adding or dropping a partner, officer, or member, or when you are moving any or all of your business locations. If it becomes
necessary to surrender this permit, you should only do so by mailing it to a Board office, or giving it to a Board representative.

food/coffee cart at the location referenced above. They will be allowed to operate during
normal business hours seven days a week.

Lease of Kiosk Space
New West Petroleum S.D. 2, Inc., (Lessor) agrees to lease space to Dawn Martinez
(Lessee), as contained in the attached diagrams, sufficient to operate a Lessee cart
stocked with pastries and coffee drinks. The location shall be at the Exxon gas station
at 945 Tamarack, Carlsbad, California.
Lessee agrees that it will operate its cart in an orderly way and maintain the cart and
surrounding property in a clean and orderly fashion.
Lessee will operate each cart in such a way as to avoid interference with the gas
station's operations other New West Petroleum S.D. 2, Inc. approved uses of the
facility.
Lessee will be solely responsible for each cart and its contents.
Lessee will be solely responsible for any electrical or other utility needs of each cart.
Lessee will pay rent in the amount of $400.00, or a daily-prorated fraction thereof, for
the first month of operation, due upon the first day of operation.
Lessee will pay rent at a rate of $400.00 per month, due on the first day of each month
thereafter. Lessee will be charged a late fee if rent is not received by the third day of
the month.
Last months rent is to be paid prior to commencement of lease.
Lessee shall make a $400 security deposit, refundable upon termination of the lease.
The security deposit shall be forfeit if Lessee commits any breach of this lease or, if
repairs to the facility are required at the end of the lease, to the extent of such repairs.
Lessor is under no obligation to keep the funds in trust or in a separate account, but
shall only be a creditor for the balance of the security deposit owed.
The term of the lease shall be for one year expiring on June 30, 2007 and will continue
thereafter on a month-to-month basis.
Either party may terminate the lease with 30 days notice.
Lessee understands that Lessor's station is subject to testing periodically that might
impact Lesse's business.
Lessee agrees that at all times it will operate with not less than $1,000,000.00 of
liability insurance to cover both Lessee and New West Petroleum S.D. 2, Inc., and
Lessee shall provide New West Petroleum S.D. 2, Inc. with evidence of this insurance
with New West Petroleum S.D. 2, Inc. being named as an additional insured.
Lessee agrees that it will obtain all necessary permits under all state laws and local
ordinances and operate in conformity with all laws and regulations.
This lease is non-assignable by Lessee.

Your application for a coffee cart located at 945 Tamarack Avenue, has been approved subject
to the following conditions:
1. The cart or kiosk is an accessory use to an existing principal use on the property.
2. Carts and Kiosks are to be used for the incidental sale of packaged food and beverages
only. No on-site preparation of food is allowed. The sale of alcoholic beverages is
prohibited.
3. The location of the cart or kiosk shall be located as per Exhibit "A", dated July 21, 2006.
4. The cart or kiosk shall not function as a drive-thru business and shall not be located in
areas that:
a. reduce the number of required parking spaces;
b. interfere with vehicle or pedestrian circulation;
c. present a traffic hazard;
d. result in the removal of mature landscaping; or
e. are located closer than fifty (50) feet from any public right-of-way.
5. Signs shall be attached to the cart and shall not exceed a cumulative total of nine (9)
square feet in area (including canopy, awning and umbrella signs, etc., but not including
small menu signs). No one sign shall exceed a maximum of six (6) square feet. The
size of the signs shall be in scale with the size and mass of the cart of kiosk. No off-site
advertising or signs shall be permitted.
