SUBJECT: POINSETTIA LANE REACH TWO HABITAT MITIGATION
Dear Don:
Enclosed is the fully executed Acknowledgment of Sale of Conservation Credits as
required pursuant to Condition #5 of Planning Commission Resolution #4318 for CT 93-
09 (A), otherwise known as the Oceanbluff Project.
Specifically, this condition requires that, prior to the issuance of a grading permit for
Poinsettia Lane Reach Two, mitigation is required for impacts to .35 acres of Coastal
Sage Scrub and .45 acres of Southern Maritime Chaparral. The attached
Acknowledgment of Sale of Conservation Credits documents this required mitigation.
Therefore, the grading restriction on the grading plans issued for the Oceanbluff and
Poinsettia Lane Projects should be removed.
Inasmuch as we are currently grading the Oceanbluff site and Poinsettia Lane Reach One,
we would appreciate your immediate acknowledgment that this condition has been
satisfied to Mike Shirey in the Engineering Department so that we may continue our
grading operation for Poinsettia Lane Reach Two.

The undersigned Seller hereby acknowledges that it has sold and conveyed to Catellus Residential
Group ("Purchaser") zero point five (0.5) Conservation Credits from the Manchester Avenue
Conservation Bank for the biological mitigation of southern maritime chaparral impacts in
connection with the project known as Poinsettia Lane Reach H All terms of this conveyance shall
be governed by the provision of the Conservation Credit Purchase Agreement and
Acknowledgment between Purchaser and the undersigned dated September 15,1998.

ACKNOWLEDGMENT OF SALE OF CONSERVATION CREDITS
The undersigned Seller hereby acknowledges that it has sold and conveyed to Catellus Residential
Group ("Purchaser") zero point seven (0.7) Conservation Credits from the Manchester Avenue
Conservation Bank for the biological mitigation of multispecies impacts in connection with the
project known as Poinsettia Lane Reach n. All terms of this conveyance shall be governed by the
provision of the Conservation Credit Purchase Agreement and Acknowledgment between
Purchaser and the undersigned dated September 15, 1998.
