JOINT USE AGREEMENT
THIS AGREEMENT, made and entered into this day of
, 19 , by and between SAN DIEGO GAS & ELECTRIC COMPANY,
A CALIFORNIA CORPORATION (SDG&E) and the CITY OF CARLSBAD, A MUNICIPAL
CORPORATION (CITY) is made with reference to the following facts:
A. The CITY has requested SDG&E to relocate its existing gas pipeline installed within
Parcel 2 of Parcel Map No. 1188, filed December 20, 1972 at File No. 340334 in the Office of the
County Recorder of the County of San Diego, State of California, under the terms of an easement
granted by the CITY to SDG&E recorded February 17,1995 at Document No. 1995-0073147 of
Official Records of said County of San Diego, from a position previously in private property to a
dedicated street known as Cassia Road.
B. Subject to the terms contained in this agreement, SDG&E is willing to relocate said gas
pipeline at such locations hereinafter referred to as "SDG&E Facilities Area", as are mutually
agreeable to CITY and SDG&E.
NOW. THEREFORE, the parties hereby agree as follows:
1. Both CITY and SDG&E shall use said ^SDG&E Facilities Area" in such a manner as
to not interfere unduly with the rights of the other. Nothing herein contained shall be construed as
a release or waiver of any claim for compensation or damages which SDG&E or CITY may now
have or may hereafter acquire resulting from the construction of additional facilities or the
alteration of existing facilities by either CITY or SDG&E in such a manner as to cause an
unreasonable interference with the use of said "SDG&E Facilities Area" by the other party. CITY
and SDG&E agree that their facilities shall not cause damage to each other's facilities by reason of
the construction, reconstruction or maintenance of said facilities or highway, by the parties
involved or their contractors. Should SDG&E engage in the construction, reconstruction or

maintenance of its facilities, upon the termination of such work, SDG&E shall restore the surface
of the improvement area to as near its original condition and appearance as reasonably possible.
2. Ninety (90) days prior to the anticipated commencement of any work within "SDG&E
Facilities Area", the party proposing the work shall send plans and specifications, including
alignment and location of all proposed work to the other party for their review and written
approval. Notices shall be addressed to :

3. In the event of damage caused by an act of God, war, or other casualty, or damage
caused under circumstances where it would be impractical or impossible to notify the other party
of the necessity for temporary interference with the other party's facilities, either party whose
facilities are affected may, without notice to the other party, enter upon the joint facilities area and,
notwithstanding temporary interference with the use or operation of the other Party's facilities,
make emergency repairs to restore service. The restoring party shall, however, take reasonable and
prudent measures to protect the installations of the other party and minimize such interference.
The restoring party shall, as soon as practically possible, notify the other party of such emergency
repairs. If permanent repairs are required after such emergency repairs have been made, notice
shall be given to the other party pursuant to Paragraph 2 above.
4. After the initial construction of SDG&E's gas pipeline, in the event that the future use
or alteration of said land for street or public improvements incidental thereto shall at any time or
times necessitate a rearrangement, relocation or reconstruction of any of SDG&E's facilities or the
acquisition of additional property easements, or, both, pursuant thereto, the same shall be
performed by SDG&E, or by any other party with the consent of SDG&E, at the cost of the CITY.
5. In the event that the future use of "SDG&E's Facilities Area" by SDG&E shall at any
time or times necessitate a rearrangement, relocation or reconstruction of the public improvements
incidental thereto; the same shall be performed at the cost of SDG&E.
6. Each party shall save, indemnify and hold harmless the other party against any liability,
loss, cost, damage and expense caused by or arising from (i) an act(s) or omission(s) of such party-,
its employees, agents, contractors, successors and assigns or (ii) the location and existence of its
above-described facilities, whether defective or otherwise; including, but not limited to, any such
loss, cost, damage, liability and expense arising from damage to or destruction of real and personal
property or injury to or death of any person. Liability, to a third party(ies) shall be divided between
the parties hereto in proportion to the measure of each parly's liability. Notwithstanding the
foregoing, each party shall hold harmless the other party against damage to or destruction of its
facilities caused by an act(s) of a third party (ies).

7. To the extent, if any, the terms of this Joint Use Agreement conflict or are inconsistent
with the terms of the Franchise Agreement between SDG&E and the CITY, the terms of the Joint
Use Agreement shall control.

BACKGROUND INFORMATION Prepare synopsis of facts, giving as many as
possible. Add additional sheets if necessary or attach copies of supporting documents.
An existing gas line in Cassia Road will presently interfere with the alignment of an
eighteen inch (18") recycled water line. The gas line will need to be relocated in the
sidewalk portion of the right-of-way instead of in the paved area.

To Whom It May Concern:
We have determined that the desilting basin located east of the intersection
of Cassia Road and Poinsettia Lane is adequately sized, according to City of
Carlsbad standards and County of San Diego standards. We made this
determination based on field measurements, the amount of disturbed area
that is tributary to the basin, and the Desilting Basin Capacity Table in the
Drainage Design Manual (pg. 128).
While we have determined that this basin is adequately sized for the entire
project, we recommend that several smaller desilting basins be constructed
west of Cassia to handle erosion once Cassia is paved. In light of the fact
that the current construction schedule coincides with a winter season that is
forecasted to be very wet, it is advisable to take extra precautions that will
help to minimize erosion to Cassia Road.
We have located and sized additional desilting basins within the tract, based
on the construction phasing plan. These basins would be added and
relocated as storm drain facilities are constructed.

Subject: Information regarding Poinsettia Hill open space (CDP 6-94-57) area calculations
Dear Bill,
As you may recall, the Poinsettia Hill open space area was negotiated subsequent to the City of Carlsbad's
initial approval of the project tentative map. The area to be restricted was roughly calculated as 13.6 acres
from the tentative map and was never surveyed or otherwise field verified.
It is not uncommon to find variations in the 10% range between a tentative map and the associated final
engineered map relative to distances and dimensions.
The original acreage was roughly calculated on a net basis at 13.6 acres. The final verified engineered
acreage is 13.115, or 3.57% less than the originally planimetered area.
A variation of this magnitude is well within the parameters normally found when moving from tentative to
final map levels of detail.
The builder of this project has an urgent need to move forward with grading to avoid rainy season
conflicts. We have worked the IOD agreement out with Deborah Bove and are simply awaiting your
concurrence so that the final acreage number can be entered into the agreement before recordation. The
City is awaiting word that this issue has been resolved before issuing grading permits.

Dear Bill:
This is to memorialize our conversation earlier today regarding the subject
project.
• The existing 18" (550HG) potable water line shall be realigned into future
Cassia Street, upsized to a 30" line and shall be connected to the proposed
30" (550HG) line in future Poinsettia Lane to the west as shown on
improvement plan Dwg. No. 341-5, Sheet 8. To the east, our plans will show
the alignment in Cassia Street to the point of connection of the existing line.
CMWD will design the line from that point to its ultimate connection to the
main in El Camino Real. The additional costs to upsize the pipe from 18" to
30" will be borne by CMWD.
• The existing 12" hi-line reclaimed water line shall also be realigned in future
Cassia Street, upsized to an 18" line and shall be connected to the proposed
18" line in future Poinsettia Lane as shown on Dwg. No. 341-5. Our plans
will show the alignment of the line off-site to the east, to the point of
connection with the existing 12" hi-line. CMWD will prepare the plans for the
design of the realignment from that point to its future connection in El Camino
Real. The additional costs to upsize the pipe from 12" to 18" will be borne by
CMWD.
• The existing 12" (375HG) potable line running parallel to and 10' south of the
projects southerly boundary line shall be realigned vertically as necessary in
Cassia Street and shall be connected to the 12" line in future Poinsettia Lane
to the west, as shown on Dwg. No. 341-5. To the east the new line will
connect to the existing line at a point where Cassia Street curves northerly
and the southerly right of way line departs from the existing easement for the
12" (375HG) line. During construction of the realignment, the 12" line may be
taken out of service for that portion being realigned.

• The design of Cassia Street will include the three waterlines, a sewer line and a storm drain
line within a forty foot curb to curb street section. The alignment of the utilities shall be as
follows, from south to north: southerly face of curb, 3 feet to the centerline of the 30"
(550HG) potable line, 7 feet to the centerline of the 12" (375HG) potable line, 10 feet to the
centerline of the sewer on centerline of the street, 7 feet to the centerline of the storm drain,
10 feet to the centerline of the 18" reclaimed waterline, 3 feet to the northerly face of curb.
• The project will be served off of the 30" (550HG) potable waterline.

Dear Bill:
I would like to thank you again for meeting with us on March 4, 1997, to discuss our upcoming
project. In this meeting, we discussed several issues regarding the design of the project. Please let
this letter serve as a recapitulation of the issues:
1) Private Submeters- we are in receipt of your letter dated March 6, 1997, in which it states
that the District Policy does not allow the use of private submeters. I would like to revisit this
issue under a separate letter as I believe a detailed study of this issue is warranted.
2) Reclaim Water Usage- 1 have attached a copy of a letter that John Patterson of Gillespie
Design Group, the project's Landscape Architect, sent to you on March 17, 1997. The letter
contains an Exhibit that details the areas that could be served by reclaim water. Both the current
and future pressure available with in the reclaim main(s) that will be our source needs to be taken
into account when reviewing the plan. Please feel free to respond to John or myself
3) Relocation of the 18" Water Main and 12" Reclaim Water Main- Our approved Tentative
Map CT 93-3 (copy enclosed) shows the relocation of these mains from our easterly boundary
into the Cassia Road extension (along the Project's southerly boundary). The mains would jog
northward at our westerly entry through our project to tie into the existing mains on our westerly
boundary adjacent to the City's future park site. In our meeting, you had discussed the possibility
of constructing the 18" main as a 30" main and locating both the reclaim and water mains totally
with in Cassia Road. This relocation would then keep both of the mains outside our project
boundary and with in public right of way. At our westerly boundary, the mains would tie into
new mains installed by Hillman Properties as a part of the Aviara III improvements. You further
indicated that the costs of these mains are subject to District reimbursement and/or fee credits. I
have attached an estimated breakdown of the cost of the relocation. Please note that this is a very
rough estimate based on the City's bonding unit costs and is subject to final engineering design
and plan check. All reimbursements would be based on actual costs incurred. Please let this letter
serve as our formal request for a reimbursement and/or fee credit agreement. As you are aware,
Hillman' s timing and coordination are a critical element of this arrangement and will require the
cooperation of the District to secure that all parties are committed to the design, construction and
timing of the relocation as you presented. With the construction of the main to a 30" pipe, we
will need the district's input on were the project would be best served for our point of
connection.
4) Advance Grading Permit- in order to ensure a timely construction of the new water mains
and to avoid any undue disturbance to the district's customers or those individuals that use the
water easement road to access their property, we would like to explore the possibility of the
District obtaining an advance grading permit for the construction of the Cassia Road extension. It
would be our intention to have the District secure the grading permit for any grading necessary to
create the future extension of Cassia Road to its ultimate grade elevation. This would be a crucial

would provide all the engineering design and plans to obtain the permit subject to the proper
reimbursement. We would further ask that the Advance Grading Permit then be assigned to
Western Pacific Housing-Poinsettia L.P. in order for us to perform the grading and to eventually
construct the mains as the District has planned.
For your information, these above issues were briefly discussed in a meeting at the City of
Carlsbad on March 6,1997, with Clyde Wickham of the Engineer Department and Mike Grim of
Planning Department.
It is our intent to submit our Grading and Improvement Plans to the City of Carlsbad for first

Henthom of Jack Henthora & Associates and myself, the enclosed Reclaimed Water Use
exhibit is for your review. The exhibit reflects landscape areas where we are proposing to
use reclaimed water. Areas to be irrigated with reclaimed water would include slopes and
landscape areas located outside perimeter lot fencing facing Cassia Street. .
Additionally, a landscape fire suppression zone measured 40' from our property line
extending into the open space lot would be irrigated with reclaimed water. All remaining
landscape areas would be irrigated using potable water.

Description: Subdivision and construction of a 160 unit condominium
residential project on a 36.2 acre site. The tentative map proposes to
subdivide the property into 34 lots, 18 are residential with the remainder
being divided between private streets, recreation lots, and 4 open space lots
totalling approximately 13.6 acres. The project proposes a total of 160
residential units in up to 4 unit configurations and an option to construct up
to 24 additional attached residential units or payment of impact fee to comply
with City inclusionary housing requirement, an offer to dedicate an open space
easement over proposed Lots 1, 33, 34, and a 1.4 acre portion of lot 32,
approximately 311,900 cubic yards of grading with the adjacent property to the
south proposed for use as a stockpile site for 102,400 cubic yards of that
total. Off-site improvements include extension of a local collector street to
the project site from El Camino Real, approximately .25 miles to the east, and
a connection to the existing unimproved access located along the site's
western property line to provide access to agricultural properties in the
area, and off-site revegetation of a property if such revegetation has not
been completed prior to commencement of streetscape installation for "A"
street,. See pages 5-6 for a detailed description of the project.

STANDARD CONDITIONS:
1. Notice of Receipt and Acknowledgement. The permit is not valid and
development shall not commence until a copy of the permit, signed by the
permittee or authorized agent, acknowledging receipt of the permit and
acceptance of the terms and conditions, is returned to the Commission
office.
2. Expiration. If development has not commenced, the permit will expire two
years from the date on which the Commission voted on the application.
Development shall be pursued in a diligent manner and completed in a
reasonable period of time. Application for extension of the permit must
be made prior to the expiration date.
3. Compliance. All development must occur in strict compliance with the
proposal as set forth below. Any deviation from the approved plans must
be reviewed and approved by the staff and may require Commission approval.
4. Interpretation. Any questions of intent or interpretation of any
condition will be resolved by the Executive Director or the Commission.
5. Inspections. The Commission staff shall be allowed to inspect the site
and the development during construction, subject to 24-hour advance notice.
6. Assignment. The permit may be assigned to any qualified person, provided
assignee files with the Commission an affidavit accepting all terms and
conditions of the permit.
7. Terms and Conditions Run with the Land. These terms and conditions shall
be perpetual, and it is the intention of the Commission and the permittee
to bind all future owners and possessors of the subject property to the
terms and conditions.

SPECIAL CONDITIONS:
The permit is subject to the following conditions:
1. Sensitive Resources. Prior to the issuance of the coastal development
permit, the applicant shall submit to the Executive Director for review and
written approval in consultation with the California Department of Fish and
Game, an enhancement plan for enhancement of approximately 4 acres of existing
disturbed habitat within the SDG&E power line easement and the northern slope
area. The plan shall include the following:
a. Planting, maintenance, and monitoring provisions consistent with the
recommendations presented in "A Biological Study for the Poinsettia
Hills Development Project" prepared by Anita Hayworth (April, 1992)
to be implemented within 90 days of the completion of project
grading. The program includes the planting of several sensitive
plant species i.e., wart-stemmed ceanothus, summer holly, and del mar
manzanita.
b. California native oak trees shall be incorporated into the
landscaping of the northeast corner of the site adjacent to the SDG&E
easement.
c. It shall be the responsibility of the applicant to notify Commission
staff as to when grading is completed and the projected date of
implementation of the proposed enhancement plan.
2. Recordation of Open Space Easement. Prior to the issuance of the
coastal development permit, the applicant shall submit to the Executive
Director for review and written approval, evidence that an irrevocable offer
to dedicate to a public agency or private association acceptable to the
Executive Director, an open space easement has been executed in accordance
with the terms of the project description as proposed by the applicant and
detailed on pages 5&6 of the staff report dated 9/28/94.
3. Grading and Erosion Control. Prior to the issuance of the coastal
development permit, the applicant shall submit final grading plans approved by
the City of Carlsbad which shall incorporate the following:
A. All grading activity shall be prohibited between October 1st and April
1st of any year. Prior to commencement of any grading activity, the
permittee shall submit a grading schedule which indicates that grading
will be completed within the permitted time frame designated in this
condition and that any variation from the schedule shall be promptly
reported to the Executive Director.
B. All permanent runoff and erosion control devices shall be developed
and installed prior to or concurrent with any on-site grading activities.

C. All areas disturbed, but not completed, during the construction
season, including graded pads, shall be stabilized in advance of the rainy
season. The use of temporary erosion control measures, such as berms,
interceptor ditches, sandbagging, filtered inlets, debris basins, and silt
traps shall be utilized in conjunction with plantings to minimize soil
loss from the construction site. Said planting shall be accomplished
under the supervision of a licensed landscape architect, shall provide
adequate coverage within 90 days, and shall utilize vegetation of species
compatible with surrounding native vegetation, subject to Executive
Director approval.
D. Maintenance of temporary erosion control measures is the
responsibility of the applicant, including replacement of any devices
altered or dislodged by storms.
E. The restriction on grading during the rainy season may be waived or
modified by the Executive Director in writing upon the applicant's
demonstration that all on-site temporary and permanent runoff and erosion
control devices are installed and the City Engineer has determined that
all necessary and adequate erosion control devices are in place to provide
protection of downstream resources.
4. Drainage/Runoff Control. Prior to the issuance of a coastal
development permit, the applicant shall submit final drainage and runoff
control plans, approved by the City of Carlsbad. Said plans shall be designed
by a licensed engineer qualified in hydrology and hydraulics, and assure no
increase in peak runoff rate from the developed site as a result of a ten-year
frequency storm over a six-hour duration (10 year, 6 hour rainstorm). Runoff
control shall be accomplished by such means as on-site detention/desilting
basin(s). Energy dissipating measures at the terminus of outflow drains shall
be constructed. The runoff control plan including supporting calculations
shall be submitted to and determined adequate in writing by the Executive
Director.
5. Brush Management Program. Prior to the issuance of the coastal
development permit, the applicant shall submit for review and approval of the
Executive Director, a brush management program. The plan shall include a site
plan showing a 100 foot distance beyond all planned structures on lots
adjacent to open space areas, designating those areas subject to clear-cut
removal and selective thinning. The plan shall indicate that clear-cut
vegetation removal for brush management purposes shall not be permitted within
proposed open space areas dedicated pursuant to Special Condition #2.
Therefore, this program shall establish a minimum 30 foot setback for
residential structures from such open space areas. Any approved clearing

shall be conducted entirely by manual means and shall be the absolute minimum
for reduction of fire hazards. A greater than 30 foot setback may be required
if the Fire Department indicates substantial clearing is necessary within the
30 foot to 100 foot setback area.
If documentation from the City of Carlsbad Fire Department is provided which
indicates the fuel modification requirements identified in the City of
Carlsbad's Landscape Technical Manual (60 foot fuel management zone
incorporating three 20 foot zones) are acceptable to mitigate fire hazard to
structures proposed adjacent to open space areas, those requirements can be
accepted in lieu of the above statewide standard. However, in no case shall
any clearcutting of vegetation be allowed in proposed open space Lot 1. The
requirements of the brush management program shall be recorded against each
lot adjacent to proposed open space areas.
6. Offsite Improvements and Stockpile Stability. Prior to the issuance
of the coastal development permit, the applicant shall submit for review and
approval of the Executive Director, off-site improvement plans and a stockpile
stability plan, approved by the City of Carlsbad. The plan shall indicate the
following:
a. No portion of the stockpile site shall encroach upon dual criteria
slopes. To ensure preservation of the existing mixed southern
chaparral, all areas of native vegetation adjacent to the stockpile
site shall be staked, fenced and flagged by a certified biologist,
prior to the issuance of any grading permits for the project. No
encroachment into these native areas is permitted.
b. Erosion control measures shall be used to ensure that no downstream
impacts to Batiquitos Lagoon would occur from runoff and
sedimentation associated with the storage of graded spoils.
Sand/gravel bags shall be installed along the perimeter of the site
after stockpiling, and hydroseeding shall occur upon completion of
grading. A hydroseeding schedule shall be submitted indicating the
seed mix, amounts, areas of application, and maintenance provisions
of the hydroseed program.
c. The offsite alignment of "A" Street south and west of the project
site shall be within the footprint of the stockpile site approved in
the City of Carlsbad's Hillside Development Permit No. 93-12,
Sfregola (May 16, 1994) and pursuant to (a) above.
7. Final Landscape Plans. Prior to the issuance of the coastal
development permit, the applicant shall submit a detailed landscape plan,
approved by the City of Carlsbad, that indicates the type, size, extent and
location of all plant materials, the proposed irrigation system and other

landscape features. Drought tolerant, fire resistant native plants compatible
with the surrounding open space shall be utilized to the maximum extent
feasible. The final landscaping plan shall be developed in consultation with
the Department of Fish and Game to avoid use of species inherently noxious to
the adjacent environmentally sensitive habitat area. Consultation with DFG
shall be limited with respect to interior landscapiong on lots not directly
adjacent to open space to guard against use of such species. Said plan shall
be reviewed and approved in writing by the Executive Director.
8. Revised Tentative Map. Prior to the issuance of the coastal
development permit, the applicant shall submit for review and written approval
of the Executive Director, a revised tentative map approved by the City of
Carlsbad, documenting that the project has been redesigned in conformance with
the California Department of Fish and Game and the U.S. Fish and Wildlife
Service review and approval. Said plan shall be in substantial conformance
with the site plan attached as Exhibit #3. Any change to the site plan from
that identified shall require an amendment to the coastal development permit.
