In accordance with the request of Rick Engineering Company, project civil engineer, and as modified
by the City of Carlsbad, this revised letter has been prepared to provide our opinion regarding the
precise grading of sideyard swales along residential units within all the villages within the subject
development.
It is our understanding that, due to the minimum 5 feet sideyard width and the surface drainage
requirements, drainage swales are planned for a location of a minimum of 3 feet from the structure
perimeter. Furthermore, the grade of the flow line of the swale to the house will be maintained at a
maximum of 21 percent and a minimum of 2 percent. Thus where the swale invert requires lowering
the soil elevation or ground at the footing, the footing will be deepened to accommodate minimum
foundation embedment. The maximum footing deepening will be V2 foot and the locations will be
shown on the plot plans.
Based on the above discussion, it is our opinion that the sideyard swales as planned, with the
deepened footing where necessary, are acceptable from a geotechnical engineering aspect. Geocon
Incorporated will be provided copies of the plot plans and will observe that the deepened footings are
excavated during the routine foundation excavation observation.

report. This update is required to meet the requirements by the City of Carlsbad in that a period of
three years has elapsed since the referenced preliminary geotechnical report was issued. In addition
this is our acknowledgment that mass grading of Villages L and M has been completed. During the
earthwork operations we have provided full-time testing and observation services under the direction
of an on-site engineering geologist. Based on our observations and test results, it is our opinion that
the grading was performed in substantial conformance with the referenced grading plans and project
geotechnical reports. Final reports documenting the as-graded conditions of the pads will be issued
as the grading for each village is completed.

As a part of this update, we have reviewed the referenced tentative maps indicating the planned
finish grade conditions.
It is our opinion that the conclusions and recommendations, as presented in the referenced

general conformance with the recommendation of the referenced geotechnical report.

SUPPLEMENTAL SLOPE STABILITY ANALYSES OF PROPOSED SLOPE
MODIFICATION
Gentlemen:
In accordance with your request, this correspondence has been prepared to present supplemental slope
stability analyses of the proposed modification to the slope along the south side of Carrillo Way (open
space Lot 163) between approximately Station 18 and 20. This analysis is intended to supplement our
original geotechnical investigation for the project as well as our "Stability Analyses of Proposed Slope
Modification, Villages Q & R", dated October 24, 1997, which addressed the slope area immediately
east of the subject analyses.
It is understood that due to the steepness of the natural terrain and the necessity to construct a
temporary 1:1 backcut for the buttressing of the slope in question, it is not practical to grade the
buttressed slope to 2:1 as shown on the plans, without significantly increasing the height of the slope
(80 feet to 90 feet vs. 50 feet) and removing a large area of native vegetation. It is, therefore, proposed
that the buttressed slope be modified such that the top of the buttressed slope is coincident with the
existing top of backcut. According to our measurements and a review of the modified slope plan
provided by Rick Engineering Company, this will result in a slope which varies in steepness from 2:1
to a maximum of 1.85:1 (Station 19+00 to 19+50).
Based on a review of the proposed slope modification in conjunction with the as-graded geologic
conditions exposed during the buttressing of the subject slope area, it is our opinion that the overall
stability of the buttressed slope is not impacted. An analysis of the fill portion of the steepened slope
yielded a factor of safety of 2.1. The analysis assumed that the steepest portion of the modified slope
had a height of 50 feet and was sloped at 1.85:1. The shear strength parameters used were the same as
those used previously for the easterly portion of this slope (see October 24, 1997, correspondence). In
addition, the surficial slope stability of the steepest portion of the proposed slope modification was
analyzed using reduced strength parameters and yielded a factor of safety of 1.8. Calculations
supporting both stability analyses are presented on Figures 1 and 2.

Mr. David Lother of Continental Ranch, Inc. has requested the annexation of 26 lots of proposed
C.T. 93-04, Rancho Carrillo Village "R". A Plat to illustrate the legal description is included
herewith as Attachment A. We understand that these 26 lots are within the area noted as
"Proposed Annexation Area" on Attachment B.
It appears that this same area is part of Sewer Watershed B on Figure 10 of the Rancho Carrillo
Final EIR. We understand that Watershed B will be provided sewer service by the City of
Carlsbad per the facilities shown on Figures 10 and 11. These items are enclosed altogether as
Attachment C. A least 26 lots in this area are not in Watershed B?
Mr. Lother has provided page 1 and page 23 of the City of Carlsbad Planning Commission
Resolution No. 3706. These pages are enclosed as Attachment D. Resolution No. 3706, Item
112 requires proof of an interagency agreement execution between CMWD and LCWD that
identifies the sewer responsibilities of each agency for the Phase 4 area and allows Phase 4 to
convey sewage through the LCWD sewer system. We have requested a complete copy of this
resolution from Continental Ranch, Inc. for review to determine the extent of Phase 4.
LCWD is willing to enter into such an agreement and to allow annexation of the Attachment A
area to LCWD pending CMWD approval for the Rancho Carrillo annexation and resolution of
sewer service to Carrillo Estates Unit No. 2.
Carlsbad Tract 73-29 - Carrillo Estates Unit No. 2
Enclosed for your information is a copy of an agreement (Attachment E) between LCWD and
Ponderosa Homes to provide sewer service to 111 homes to an area within the City of Carlsbad
north of Carrillo Estates No. 1 and west of Carrillo Ranch. Also enclosed is a companion
reimbursement agreement (Attachment F) between LCWD and Carlsbad for wastewater
treatment and disposal for the same tract.

It appears from Figure 10 and 11 of Attachment C that Carrillo Estates Unit No. 2 might be
taken off the LCWD system and be served by the proposed City of Carlsbad "North La Costa
Lift Station, Sewer, and Force Main." Please review sewer service planning for this area and
let LCWD know with regard to possible provision of sewer service by Carlsbad to Carrillo
Estates No. 2 and termination of the reimbursement agreement. Do the off-site facilities
required to be provided by Rancho Carrillo need to be sized to provide service for Carrillo
Estates No. 2 and have they been so sized?
Closing
We understand that Continental Ranch, Inc. is anxious to have an annexation considered at the
next meeting of the LCWD Board of Directors. In order for LCWD to proceed and in deference
to the Carlsbad Planning Commission requirement, LCWD requires a completed agreement or
letter of approval by April 2, 1997 from Carlsbad for the annexation to LCWD of the
Attachment A lots. LCWD considers it the responsibility of Continental Ranch, Inc. to
coordinate and provide this agreement and/or letter for Board consideration.
LCWD will separately require other developer related fees and agreements, as necessary for
sewer annexation. If the annexation is approved at a future LCWD meeting, LCWD staff will
forward the annexation recommendation to LAFCO for approval.

Dear Anne,
This letter supersedes the letter we transmitted to you dated May 13, 1996 and addresses
the additional concern;; raised about liability.
Paragraph 2.a. of our agreement which was entered into on April 4, 1995 ("Agreement")
states as follows:
"The title to the land shall pass from Developer to each Homeowner after
all construction work on the berm and wall is complete and, in the case of
Lot 578, after the work described in Paragraph 3 has been completed. The
title shall pass to each Homeowner free of any liens or encumbrances not
reasonably approved by Homeowners."
We are currently processing an application for an assessment district on our property and
when approved, a hen would be created on all land which we own. In order to avoid
placing a lien on property we will be transferring to you, we would like vo complete the
land transfer as quickly as possible. This would result in a land transfer prior to
completion of all construction work as identified in Paragraph 2.a of Agreement.
Further, Developer agrees to indemnify and save harmless the Homeowner from any and
all claims, demands, causes of action, damages, losses and liabilities arising out of the
performance of construction work as identified in Agreement or any revisions thereto.
Please indicate your concurrence that we may transfer the title to the land to you prior to
performance of construction work as identified in Paragraph 2.a., your concurrence that
we may enter your property to perform said work after title passes to you, and your
concurrence to the addition of the indemnification provision by signing below. All other
provisions of Agreement are in full force and effect.

1: The undersigned comprise all of the partners of CRV CARLSBAD LP, a
California limited partnership (the "Company"). The general partner of the Company is
Capstone Residential Venture I (GP/Carlsbad) LLC, a Delaware limited liability company.
The limited partners of the Company are Capstone Residential Venture I (LP) LLC, a
Delaware limited liability company, and Carrillo 70, LLC, a California limited liability
company.
2. The Company is organized and existing under and by the laws of the State

3. The Company is the Owner of 70 single family residential lots, known as
Haciendas at Rancho Carrillo, further described as Carlsbad Tract 93-04, Lots 166-210 and
214-238, located in the master plan community of Rancho Carrillo, City of Carlsbad,
County of San Diego, California.
4. The undersigned authorize the named representative of the Operating
Member of the Sole Member of the General Partner of the Company (the "Authorized

be relied upon without the need to obtain further consents or approvals from any other
partners of the Company.
6. The undersigned further ratify and approve all prior acts of any Authorized
Representative or any other partners, members, managers or other representatives of the
Company with respect to the matters set forth above.
7. This consent and authorization is in addition to and shall not limit the pre-
existing authority of any partner, manager, member, or other agent or representative of the
Company or any of its partners to take action with respect to matters set forth above.
8. This consent and authorization shall remain in effect until written notice of
its revocation from the requisite number of partners under the agreements governing the
Company.
9. This consent and authorization may be executed and delivered by facsimile
signature and in counterparts.
