Description/Explanation.
TENTATIVE TRACT MAP, CONDOMINIUM PERMIT, CONDITIONAL USE PERMIT
AMENDMENT, ENVIRONMENTAL IMPACT ASSESSMENT AND COASTAL
DEVELOPMENT PERMIT FOR THE EXPANSION OF THE EXISTING SEAPOINTE
RESORT. THE EXPANSION WILL INVOLVE THE CONSTRUCTION OF 17 TIMESHARE
UNITS IN A TWO STORY BUILDING ON THE !/2 ACRE PARCEL LOCATED SOUTH OF
AND ADJACENT TO THE EXISTING SEAPOINTE RESORT.
A CT (Tentative Tract Map), CP (Condominium Permit), CDP (Coastal Development Permit)
and an amendment to CUP (Conditional Use Permit) 93-04(A) are being applied for to allow for
an for the addition of 17 timeshare units to the existing Seapointe Resort. The expansion
involves the construction of a two story building along Island Way (formerly Descanso
Boulevard) on the 1A acre parcel located south of and adjacent to the existing Seapointe Resort.
The existing parking garage will be expanded by 19 standard parking spaces to accommodate the
additional parking needs. Entry to the additional units will be provided through the existing
parking garage.
This application is being processed as a new CT, CP and CDP because the previous CT has been
fmaled. After approval of this project the property line will be eliminated to merge this project
with the existing Seapointe Resort. All recreational facilities will be shared by the existing
Seapointe Resort and the expansion units. The CUP is therefore being processed as an
amendment because the CUP will address the overall project.

We, the undersigned, are all the members of the Board of Directors of GRAND PACIFIC
RESORTS, INC., a California corporation and by this writing approve the following resolutions and
consent to their adoption:
WHEREAS, the Corporation is the sole general partner of Carlsbad Seapointe Resort II, L.P.,
a California limited partnership ("Limited Partnership"); and
WHEREAS, the Limited Partnership owns the real property composed of approximately one-
half (1/2) acre commonly known as 6400 Surfside Lane, Carlsbad, California ("Property"); and
WHEREAS, the Limited Partnership wishes to construct a seventeen (17) unit timeshare
vacation ownership resort and related recreational amenities on the Property; and
WHEREAS, the Limited Partnership is required to obtain various approvals, permits,
easements and other documentation as required by the City of Carlsbad and other regulatory
agencies; and
WHEREAS, the Corporation acting as general partner of the Limited Partnership desires to
allow for only one officer's signature.
NOW THEREFORE, upon motion duly made seconded and unanimously carried, it was
RESOLVED, the Corporation is authorized, as general partner, to enter into any and all
documents necessary to obtain the required permits, approval, etc. from the City of Carlsbad and all
other required regulatory agencies authorizing construction of a seventeen (17) unit timeshare
vacation ownership resort and related recreational amenities on the Property; and it was
RESOLVED FURTHER, the officers of the Corporation are authorized and directed to
present a copy of the Limited Partnership's filed Form LP-1, Certificate of Limited Partnership, to the
City of Carlsbad and such other agency(ies) as may be required, to confirm the Corporation is general
partner of the Limited Partnership; and it was
