1. That Plaintiff seeks to take, acquire and condemn the rights, tide and interest in real
property as described and depicted in Exhibit "1" to Plaintiffs Complaint and Exhibit" 1" to Plaintiffs

KELLY Trustees under Declaration of Trust dated November 25,1985, of the sum of S410,000.00 and
other considerations set forth in Exhibit "A" attached hereto and incorporated herein by this reference,
for the laking of the real property and interests in real property, shall constitute full and final paymeni
for the condemnation and taking of said real property and interests in real property, and extinguishes all
defendants' claims which could have been made in this action, including, but not limited to compensation
for improvements, severance damages, interest, fees, costs, litigation expenses, precondemnation
damages, other damages, and all defendants' claims relating solely to this action; Defendants reserve any
rights and claims they may have relating to the Palomar Airport Road Assessment District.
4. That said payment as hereinabove specified shall terminate, cancel, and extinguish all
liens, leaseholds, and encumbrances of whatsoever nature on said real property;
5. That defendant SAN DIEGO GAS & ELECTRIC COMPANY filed a disclaimer and
having filed a disclaimer, said defendant is not entitled to any compensation herein;
IT IS FURTHER ORDERED, ADJUDGED AND DECREED:
6. That said total sum of S410,000.00 be distributed to Defendants RICHARD C. KELLY
and ROBERT PATRICK KELLY, Trustees under Declaration of Trust dated November 25, 1985, and

That the County Treasurer is herein authorized to issue a warrant to Plaintiff for the balance of

1 • At such time as die Kellys or their successors or assigns seek to construct an
extension of "A" Street as delineated on the Laurel Tree Apartments Project anproval and
as shown on the attached Exhibit "1" made a pan hereof to provide access to the
southeast comer of the subject property, (APN #212-040-49), the City of Carlsbad shaU
assist and support the Kellys/in obtaining the necessary permits from all regulatory
agencies (including but not limited to the United States Corps of Engineers, the United
States Fish and Wildlife Service, and the State of Califomia Department offish and
Game) for ihe construction of said "A" Street extension to a point approximately 50 feet
nordi of the nonh bank of Encinas Creek at the soudieast comer of the Kellys' property
With respect to the above referenced "A" Street extension only, the City shall be a co-
applicant for said permits. All costs associated widi the application and the permitrine
process, e,xcept for City Staff lime, shall be home by the Kellys or their successors or
assigns.
2. Until such time as "A" Street extension is constructed so as to provide access to
defendants' easterly remainder, access to defendants' easterly remainder shall remain as
It presently exists i.e., from Palomar Airport Road at Laurel Tree Road at the northeast
comer of the property. At such time as the said "A" Street extension is constmcted to
provide access to defendants' easteriy remainder, defendants wiJl relinquish their access
rights to Palomar Airport Road at Laurel Tree Road.
3 - Although the parties contemplate that die constmction of die "A" Street extension
will not constimte conversion of agriculmral lands to urban use sc as to require payment
ofthe City's LCP agricultural mitigation fee, if such extension does require such fees as
to the improvement of the road, the City shall pay those fees as pan of diis setdement
4. At such time as die City of Carlsbad accepts the Aviaia Parkway roadway
miprovements through the Kellys' propeny, die City of Carlsbad shaU quitclaim to die
Kellys, at no cost to die KeUys, die slope easements, the temporary construction
easements, and die drainage easements being taken pursuant to diis condemnation action
except for drainage easements between die banks of Encinas Creek and die drainage
easement designated as Parcel "1" herein. The Cily shall prepare die necessary deeds for
diese conveyances and will record die same with die County Recorder. The City will not
unreasonably withhold acceptance of die Aviara Parkway roadway improvements
5. ^ The Kellys and their successors and assigns will not be required to reimburse die
City of Carlsbad or die developer of the Laurel Tree Apartments project or any odier
party for any ofthe construction costs or right of way costs for "A" Sueei from Aviara
Parkway to a point approximately 70 feet soudi of die Kellys' southeriy property line
or for any right of way costs for "A" Street dirough die Ukegawa propeny to die soudi
property line of die Kellys' propeny. Notwidistanding die foregoinz, die Kellys will
contnbute a sum not to exceed S 10,000.00 for signaiization of die "A" Stree'7Aviara
Parkway intersection.
