SUBJECT: CARLSBAD WATER RECYCLING FACILITY
MINOR SUBDIVISION (MS 01-09)
The City Engineer has made a preliminary decision pursuant to Section 20.24.120 of
the City of Carlsbad Municipal Code, to approve the tentative parcel map of the
proposed minor subdivision, subject to the conditions listed below. The preliminary
conditions are:
Unless specifically stated in tfie condition, all of the following conditions,
upon the approval of this tentative parcel map, must be met prior to
approval of a final parcel map, building permit, or grading permit,
whichever is first.
General
1. This approval is granted subject to the approval of CUP 99-23 and CDP 99-45
and is subject to all conditions being satisfied pursuant to those approvals.
2. Developer shall submit to the City Engineer, a reproducible 24" x 36", photo
mylar and a digital file copy ofthe tentative parcel map reflecting the conditions
approved by the final decision making body. The reproducible shall be submitted
to the City Engineer, reviewed and, if acceptable, signed by the City's project
engineer and project planner prior to submittal of the building plans, final map,
improvement or grading plans, whichever occurs first. The digital file copy shall
be submitted in accordance with the established City format to the
satisfaction of the City Engineer.
3. Unless a standards variance has been issued, no variance from City Standards
is authorized by virtue of approval of this tentative parcel map.
4. Developer shall comply with all applicable provisions of federal, state, and local
laws and regulations in effect at the time building permits are issued.
5. If any condition for construction of any public facilities, or payment of any fees in-
lieu thereof, imposed by this approval or imposed by law on this Project are

challenged, this approval shall be suspended as provided in Government Code
Section 66020. If any such condition is determined to be invalid, this approval
shall be invalid unless the City Engineer determines that this Project without this
condition complies with the requirements of the law.
6. Developer shall and does hereby agree to indemnify, protect, defend and hold
harmless the City of Carlsbad, its Council members, agents, officers, and
representatives, from and against any and all liabilities, losses, damages,
demands, claim and costs, including court costs and attorney's fees incurred by
the City arising, directly or indirectly, from (a) City's approval and issuance ofthis
tentative parcel map, (b) City's approval or issuance of any permit or action,
whether discretionary or non-discretionary, in connection with the use
contemplated herein, including an action filed within the time period specified in
Government Code Section 66499.37 and (c) Developer's installation and
operation of the facility permitted hereby, including without limitation, any and all
liabilities arising from the emission by the facility of electromagnetic fields or
other energy waves or emissions.
7. There shall be one final parcel map recorded for this project.
8. The project is approved with the express condition that building permits will not
be issued for the development of the subject property unless the City Engineer
determines that sewer facilities are available at the time of application for such
sewer permits and will continue to be available until time of occupancy. This
note shall be placed on the non-title sheet of the final parcel map.
9. Concurrent with final parcel map processing, Developer shall prepare,
submit, and obtain approval of a covenant of easement ensuring reciprocal
access, and drainage over Parcel 1 for the benefit of Parcel 2. The
covenant of easement shall be prepared to the satisfaction of the City
Engineer.
Fees/Aqree/nente
10. Developer is required to pay all required fees and deposits prior to approval of
the final parcel map.
11. Developer shall pay the Local Drainage Area Fee prior to approval of the final
parcel map.
12. Developer shall pay park-in-lieu fees to the City prior to approval of the final
parcel map as required by Chapter 20.44 of the Carlsbad Municipal Code.

13. Developer shall cause property owner to execute and submit to the City Engineer
for recordation the City's standard form Geologic Failure Hold Harmless
Agreement.
14. Developer shall cause property owner to execute and submit to the City Engineer
for recordation the City's standard form Drainage Hold Harmless Agreement
regarding drainage across the adjacent property.
15. Prior to approval of any grading or building permits for this project. Developer
shall cause Owner to give written consent to the City Engineer to the annexation
of the area shown within the boundaries of the subdivision into the existing City
of Carlsbad Street Lighting and Landscaping District No. 1, on a form provided
by the City Engineer.
Grading
16. Prior to hauling dirt or construction materials to or from any proposed
construction site within this project. Developer shall apply for and obtain approval
from, the City Engineer for the proposed haul route.
17. Based upon a review of the proposed grading and the grading quantities shown
on the tentative parcel map, a grading permit for this project is required.
Developer shall apply for and obtain a grading permit from the City Engineer. A
Grading Permit cannot be issued until the final parcel map has been
recorded for this project.
Coastal Conditions
18. All grading activities shall be planned to ensure that grading is completed by
October 1^'. Grading activities shall be limited to the "dry season", April 1®* to
October 1®* of each year.

19. Developer shall cause Owner to make an irrevocable offer of dedication to the
City and/or other appropriate entities for all public streets and other easements
shown on the Tentative Map. The offer shall be made by a certificate on the final
map. All land so offered shall be offered free and clear of all liens and
encumbrances and without cost. Streets that already public are not required to
be rededicated.
20. Additional drainage easements may be required. Developer shall dedicate and

provide or install drainage structures, as may be required by the City Engineer,
prior to or concurrent with any grading or building permit.
21. Developer shall comply with the City's requirements of the National Pollutant
Discharge Elimination System (NPDES) permit, latest version. Developer shall
provide improvements constructed pursuant to best management practices as
referenced in the "California Storm Water Best Management Practices
Handbook" to reduce surface pollutants to an acceptable level prior to discharge
to sensitive areas. Plans for such improvements shall be submitted to and
subject to the approval of the City Engineer. Said plans shall include, but not be
limited to notifying prospective owners and tenants ofthe following:
A. All owners and tenants shall coordinate efforts to establish or work with
established disposal programs to remove and properly dispose of toxic
and hazardous waste products.
B. Toxic chemicals or hydrocarbon compounds such as gasoline, motor oil,
antifreeze, solvents, paints, paint thinners, wood preservatives, and other
such fluids shall not be discharged into any street, public or private, or into
storm drain or storm water conveyance systems. Use and disposal of
pesticides, fungicides, herbicides, insecticides, fertilizers and other such
chemical treatments shall meet Federal, State, County and City
requirements as prescribed in their respective containers.
C. Best Management Practices shall be used to eliminate or reduce surface
pollutants when planning any changes to the landscaping and surface
improvements.
22. Prior to the issuance of grading permits or building permits, whichever
occurs first, the applicant shall submit for City approval a "Storm Water
Pollution Prevention Plan" (SWPPP). The SWPPP shall be in compliance
with current requirements and provisions established by the San Diego
Region of the California Regional Water Quality Control Board. The
SWPPP shali address measures to reduce to the maximum extent possible
storm water pollutant runoff at both construction and post-construction
phases ofthe project. At a minimum, the SWPPP shall:
a) Identify existing and post-development on-site pollutants.
b) Recommend source control Best Management Practices (BMPs) to
filter said pollutants.
c) Establish specific procedures for handling spills and routine clean
up. Special considerations and effort shall be applied to employee,

customer and resident education on the proper procedures for
handling clean up and disposal of pollutants.
d) Ensure long-term maintenance of all post construct BMPs in
perpetuity.
e) Identify how post-development runoff rates and velocities from the
site will not exceed the pre-development runoff rates and velocities
for a 10-year 6-hour event. If maintaining post-development rates at
pre-development levels cannot be achieved, adequate justification,
subject to the City Engineer's approval, must be provided.
23. Developer shall install streetlights along all public street frontages abutting the
subdivision boundary in conformance with City of Carlsbad Standards.
24. Developer shall install sidewalks along all public streets abutting the subdivision
boundary in conformance with City of Carlsbad Standards.
25. Prior to building permit or grading permit issuance, whichever occurs first.
Developer shall apply for and obtain approval of the City Engineer, for the design
of the structural section for the access aisles with a traffic index of 5.0 in
accordance with City Standards due to truck access through the parking area
and/or aisles with an ADT greater than 500. The structural pavement design of
the aisle ways shall be submitted together with required R-value soil test
information and approved by the City Engineer as part of the building or grading
plan review whichever occurs first.
26. Developer shall incorporate into the grading/improvement plans the design for
the project drainage outfall end treatments for any drainage outlets where a
direct access road for maintenance purposes is not practical. These end
treatments shall be designed so as to prevent vegetation growth from obstructing
the pipe outfall. Designs could consist of a modified outlet headwall consisting of
an extended concrete spillway section with longitudinal curbing and/or radially
designed rip-rap, or other means deemed appropriate, to the satisfaction of the
City Engineer.
Final Parcel Map Notes
27. Developer shall show the gross and net acres for each parcel on final parcel
map.
28. Note(s) to the following effect(s) shall be placed on the final parcel map as non-
mapping data:

A. Building permits will not be issued for development of the subject property
unless the appropriate agency determines that sewer and water facilities
are available.
B. All the improvements within the subject property are privately owned and
maintained with the exception of the following:
1) Public waterlines
C. This subdivision contains a remainder parcel. No building permit shall be
issued for the remainder parcel until it is further subdivided pursuant to the
provisions of Title 20 of the Carlsbad Municipal Code.
D. Geotechnical Caution:
1. The owner of this property on behalf of itself and all of its
successors in interest has agreed to hold harmless and indemnify
the City of Carlsbad from any action that may arise through any
geological failure, ground water seepage or land subsidence and
subsequent damage that may occur on, or adjacent to, this
subdivision due to its construction, operation or maintenance.
Carlsbad Municipal Water District Conditions
29. Prior to approval of improvement plans or final parcel map. Developer shall meet
with the Fire Marshal to determine if fire protection measures (fire flows, fire
hydrant locations, building sprinklers) are required to serve the project. Fire
hydrants, if proposed, shall be considered public improvements and shall be
served by public water mains to the satisfaction of the Deputy City Engineer.
30. The Developer shall design and construct public facilities within public right-of-
way or within minimum 20-feet wide easements granted to the District or the City
of Carlsbad. At the discretion of the Deputy City Engineer, wider easements
may be required for adequate maintenance, access and/or joint utility purposes.
31. Prior to issuance of building permits. Developer shall pay all fees, deposits, and
charges for connection to public facilities. Developer shall pay the San Diego
County Water Authority capacitv charge(s) prior to issuance of Building Permits.
32. The Developer shall install potable water and recycled water services and meters
at a location approved by the Deputy City Engineer. The locations of said
services shall be reflected on public improvement plans.

33. The Developer shall install sewer laterals and clean-outs at a location approved
by the Deputy City Engineer. The locations of sewer laterals shall be reflected on
public improvement plans.
34. The Developer shall design and construct public water, sewer, and recycled
water facilities substantially as shown on the Tentative Map to the satisfaction of
the Deputy City Engineer. Proposed public facilities shall be reflected on public
improvement plans.
35. This project is approved upon the express condition that building permits will not
be issued for the development of the subject property, unless the Deputy City
Engineer has determined that adequate water facilities are available at the time
of occupancy. A note to this effect shall be placed on the Final Map, as non-
mapping data.
36. A fire flow system shall be required for this development and it shall be
constructed as a looped system. The Developer shall complete the looped water
system by tying into the existing waterline system on to the satisfaction of the
Deputy City Engineer.
Code Reminder
The project is subject to all applicable provisions of local ordinances, including but not
limited to the following:
37. The tentative parcel map shall expire twenty-four (24) months from the date of
the letter containing the final decision for tentative parcel map approval.
38. Developer shall exercise special care during the construction phase of this
project to prevent offsite siltation. Planting and erosion control shall be provided
in accordance with Carlsbad Municipal Code Chapter 15.16 (the Grading
Ordinance) to the satisfaction of the City Engineer.
The applicant may request a review of these preliminary conditions within ten (10) days
of the date of this preliminary approval. The request must be submitted in writing to the
City Engineer in accordance with Section 20.24.120 through 140 of the Carlsbad
Municipal Code.
The City Engineer has reviewed each of the exactions imposed on the Developer
contained in the conditions of approval and hereby finds that the exactions are imposed
to mitigate impacts caused or reasonably related to this project, and the extent and
degree of the exactions is in rough proportionality to the impact caused by the project.

Notice is hereby given that a Tentative Parcel Map has been filed on a property generally
located along the east side of Avenida Encinas just south of the Encina Treatment Plant,

STATEMENT OF THE MATTER: This project is a minor subdivision (four units or less),
which by subdivision ordinance, does not require a public hearing. A minor subdivision is
processed by City staff and must comply with all applicable codes, regulations, and
zoning.
Each property owner may request, in writing, the opportunity to be heard on the Tentative
Parcel Map. Such written request must be filed with the City Engineer within fifteen (15)
days of this notice. Failure to so file shall be deemed a waiver of your rights with regard to
this matter. Your comments and suggestions are appreciated.

SCHEDULE OF EXCLUSIONS FROIVl COVERAGE OF THIS GUARANTEE
Except to ttie extent that specific assurances are provided In Schedule A of this Guarantee, the Company assumes no liability for loss or damage by reason of the
following:
(a) Defects, liens, encumbrances, adverse claims or other matters against the title, w/hether or not shorn by the public records.
(b) (1) Taxes or assessments of any taxing authority that levies taxes or assessments on real property; or, (2) Proceedings by a public agency which may result in
taxes or assessments, or notices of such proceedings, whether or not the matters excluded under (1) or (2) are shown by the records of the taxing authority or by the
public records.
(c) (1) Unpatented mining claims; (2) reservations or exceptions in patents or in Acts authorizing the issuance thereof; (3) water rights, claims or title to water,
whether or not the matters excluded under (1), (2) or (3) are shown by the public records.
Notwittistanding any specific assurances which are provided in Schedule A of this Guarantee, the Company assumes no liability for loss or damage by reason of
the following:
(a) Defects, liens, encumbrances, adverse claims or other matters affecting the title to any property beyond the lines of the land expressly described in the description
set forth in Schedule (A), (C) or in Part 2 of this Guarantee, or title to streets, roads, avenues, lanes, ways or waterways to which such land abuts, or the right to main-
tain therein vaults, tunnels, ramps or any structure or improvements; or any rights or easements therein, unless such property, rights or easements are expressly and
specifically set forth in said description.
(b) Defects, liens, encumbrances, adverse claims or other matters, whether or not shown by the public records; (1) which are created, suffered, assumed or agreed
to by one or more of the Assureds; (2) which result in no loss to the Assured; or (3) which do not result in the invalidity or potential invalidity of any judicial or non-
judicial proceeding which is within the scope and purpose of the assurances provided,
(c) The identity of any party shown or referred to in Schedule A,
(d) The validity, legal effect or priority of any matter shown or referred to in this Guarantee,
GUARANTEE CONDITIONS AND STIPULATIONS
1. Definition of Terms.
The following terms when used in the Guarantee
mean:
(a) the "Assured": the party or parties named as
the Assured in this Guarantee, or on a supplemental
writing executed by the Company.
(b) "land": the land described or referred to in
Schedule (A)(C) or in Part 2, and improvements affixed
thereto which by law constitute real property. The term
"land" does not include any property beyond the lines of
the area described or referred to in Schedule (A)(C) or
in Part 2, nor any right, title, interest, estate or easement
in abutting streets, roads, avenues, alleys, lanes, ways
or waterways.
(c) "mortgage": mortgage, deed of trust, trust
deed, or other security instrument.
(d) "public records": records established under
state statutes at Date of Guarantee for the purpose of
imparting constructive notice of matters relating to real
property to purchasers for value and without knowledge,
(e) "date": the effective date,
2. Notice of Claim to be Given by Assured
Claimant.
An Assured shall notify the Company promptly in
writing In case knowledge shall come to an Assured
hereunder of any claim of title or interest which is
adverse to the title to the estate or interest, as stated
herein, and which might cause loss or damage for
which the Company may be liable by virtue of this
Guarantee. If prompt notice shall not be given to the
Company, then all liability of the Company shall termi-
nate with regard to the matter or matters for which
prompt notice is required; provided, however, that failure
to notify the Company shall in no case prejudice the
rights of any Assured under this Guarantee uniess the
Company shall be prejudiced by the failure and then
only to the extent of the prejudice,
3. No Duty to Defend or Prosecute.
The Company shall nave no duty to defend or prosecute
any action or proceeding to which the Assured is a
party, notwithstanding the nature oi any allegation In
such action or proceeding.
4. Company's Option to Defend or Prosecute
Actions; Duty of Assured Claimant to
Cooperate.
Even though the Company has no duty to defend
or prosecute as set forth in Paragraph 3 above:
(a) The Company shall have the right, at its sole
option and cost, to institute and prosecute any action or
proceeding, interpose a defense, as limited in (b), or to
do any other act which in its opinion may be necessary
or desirable to establish the title to the estate or interest
as stated herein, or to establish the lien rights of the
Assured, or to prevent or reduce loss or damage to the
Assured, The Company may take any appropriate action
under the terms of this Guarantee, whether or not it shall
be liable hereunder, and shall not thereby concede lia-
bility or waive any provision of this Guarantee. If the
Company shall exercise its rights under this paragraph,
it shali do so diligently.
(b) If the Company elects to exercise its options as
stated in Paragraph 4(a) the Company shall have the
right to select counsel of its choice (subject to the right
of such Assured to object for reasonable cause) to rep-
resent the Assured and shall not be liable for and will not
pay the fees of any other counsel, nor will the Company
pay any fees, costs or expenses incurred by an Assured
in the defense of those causes of action which allege
matters not covered by this Guarantee,
(c) Whenever the Company shall have brought an
action or interposed a defense as permitted by the pro-
visions of this Guarantee, the Company may pursue any
litigation to final determination by a court of competent
jurisdiction and expressly reserves the right, in its sole
discretion, to appeal from an adverse judgment or order.
(d) In ail cases where this Guarantee permits the
Company to prosecute or provide for the defense of any
action or proceeding, an Assured shall secure to the
Company the right to so prosecute or provide for the
defense of any action or proceeding, and all appeals
therein, and permit the Company to use, at its option,
the name of such Assured for this purpose. Whenever
requested by the Company, an Assured, at the
Company's expense, shall give the Company all reason-
able aid in any action or proceeding, securing evidence,
tbtalning witnesses, prosecuting or defending the
ction or lawful act which in the opinion of the Company
may be necessary or desirable to establish the title to
the estate or interest as stated herein, or to establish the
lien rights of the Assured. If the Company is prejudiced
by the failure of the Assured to furnish the required
cooperation, the Company's obligations to the Assured
under the Guarantee shall terminate.
5. Proof of Loss or Damage.
In addition to and after the notices required under
Section 2 of these Conditions and Stipulations have
been provided to the Company, a proof of loss or dam-
age signed and sworn to by the Assured shall be fur-
nished to the Company within ninety (90) days after the
Assured shall ascertain the facts giving rise to the loss
or damage. The proof of loss or damage shall describe
the matters covered by this Guarantee which constitute
the basis of loss or damage and shall state, to the extent
possible, the basis of calculating the amount of the loss
or damage. If the Company is prejudiced by the failure
of the Assured to provide the required proof of loss or
damage, the Company's obligation to such Assured
under the Guarantee shall terminate. In addition, the
Assured may reasonably be required to submit to exam-
ination under oath by any authorized representative of
the Company and shall produce for examination,
inspection and copying, at such reasonable times and
places as may be designated by any authorized repre-
sentative of the Company all records, books, ledgers,
checks, correspondence and memoranda, whether
bearing a date before or after Date of Guarantee, which
reasonably pertain to the loss or damage. Further, if
requested by any authorized representative of the
Company, the Assured shall grant its permission, in
writing, for any authorized representative of the Com-
pany to examine, inspect and copy all records, books,
ledgers, checks, correspondence and memoranda in
the custody or control of a third party, which reasonably
pertain to the loss or damage. All information desig-
nated as confidential by the Assured provided to the
Company pursuantto this Section shall not be disclosed
to others unless, in the reasonable judgment of the
Company, it is necessary in the administration of the
claim. Failure of the Assured to submit for examination
under oath, produce other reasonably requested
jformation or grant permission to secure reasonably
fecessary information from third parties as required

in the above paragraph, unless prohibited by law or
governmental regulation, shall terminate any liability of
the Company under this Guarantee to the Assured for
that claim,
6. Options to Pay or Otiierwise Settle Claims:
Termination of Liability.
In case of a claim under this Guarantee, the
Company shall have the following additional options:
(a) To Pay or Tender Payment of the Amount of
Liability or to Purchase the Indebtedness.
The Company shall have the option to pay or settle
or compromise for or in the name of the Assured any
claim which could result in loss to the Assured within
the coverage ofthis Guarantee, or to pay the full amount
of this Guarantee or, if this Guarantee is issued for the
benefit of a holder of a mortgage or a lienholder, the
Company shall have the option to purchase the indebt-
edness secured by said mortgage or said lien for the
amount owing thereon, together with any costs, reason-
able attorneys' fees and expenses incurred by the
Assured claimant which were authorized by the
Company up to the time of purchase.
Such purchase, payment or tender of payment of
the full amount of the Guarantee shall terminate ai! lia-
bility of the Company hereunder. In the event after
notice of claim has been given to the Company by the
Assured the Company offers to purchase said indebted-
ness, the owner of such indebtedness shall transfer and
assign said indebtedness, together with any collateral
security, to the Company upon payment of the purchase
price.
Upon the exercise by the Company of the option
provided for in Paragraph (a) the Company's obligation
to the Assured under this Guarantee for the claimed loss
or damage, other than to make the payment required in
that paragraph, shall terminate, including any obligation
to continue the defense or prosecution of any litigation
for which the Company has exercised its options under
Paragraph 4, and the Guarantee shall be surrendered to
the Company for cancellation.
(b) To Pay or Otherwise Settle With Parties Other
Than the Assured or With the Assured Claimant.
To pay or otherwise settle with other parties for or
in the name of an Assured claimant any claim assured
against under this Guarantee, together with any costs,
attorneys' fees and expenses incurred by the Assured
claimant which were authorized by the Company up to
the time of payment and which the Company is obligat-
ed to pay.
Upon the exercise by the Company of the option
provided for in Paragraph (b) the Company's obligation
to the Assured under this Guarantee for the claimed loss
or damage, other than to make the payment required in
that paragraph, shall terminate, including any obligation
to continue the defense or prosecution of any litigation
for which the Company has exercised its options under
Paragraph 4.
7. Determination and Extent of Liability.
This Guarantee is a contract of Indemnity against
actual monetary loss or damage sustained or incurred
by the Assured claimant who has suffered loss or dam-
age by reason of reliance upon the assurances set forth
in this Guarantee and only to the extent herein
described, and subject to the Exclusions From Coverage
of This Guarantee.
The liability of the Company under this Guarantee
B the Assured shall not exceed the least of;
a) the amffunt of liaoility stated in Schedule A or
fl Part 2;
(b) the amount of the unpaid principal indebted-
ness secured by the mortgage of an Assured mortgagee,
as limited or provided under Section 5 of these
Conditions and Stipulations or as reduced under Section
9 of these Conditions and Stipulations, at the time the
loss or damage assured against by this Guarantee
occurs, together with interest theron; or
(c) the difference between the value of the estate
or interest covered hereby as stated herein and the value
of the estate or interest subject to any defect, lien or
encumbrance assured against by this Guarantee.
8. Limitation of Liability.
(a) If the Company establishes the title, or
removes the alleged defect, lien or encumbrance, or
cures any other matter assured against by this
Guarantee in a reasonably diligent manner by any
metiiod, including litigation and the completion of any
appeals therefrom, it shall have fully performed its
obligations with respect to that matter and shall not be
liaDle for any loss or damage caused thereby.
(b) In the event of any litigation by the Company or
with the Company's consent, the Company shall have
no liability for loss or damage until there has been a final
determination by a court of competent jurisdiction, and
disposition of all appeals therefrom, adverse to the title,
as stated herein,
(c) The Company shall not be liable for loss or
damage to any Assured for liability voluntarily assumed
by the Assured in settling any claim or suit without the
prior written consent of the Company
9. Reduction of Liability or Termination of
Liability.
All payments under this Guarantee, except pay-
ments made for costs, attorneys' fees and expenses
pursuant to Paragraph 4 shall reduce the amount of
liability pro tanto.
10. Payment of Loss.
(a) No payment shall be made without producing
this Guarantee for endorsement of the payment unless
the Guarantee has been tost or destroyed, in which case
proof of loss or destruction shall be furnished to the
satisfaction of the Company.
(b) When liability and the extent of loss or damage
has been definitely fixed in accordance with these
Conditions and Stipulations, the loss or damage shall be
payable within thirty (30) days thereafter.
11. Subrogation Upon Payment or Settlement.
Whenever the Company shall have settled and
paid a claim under this Guarantee, all right of subroga-
tion shall vest in the Company unaffected by any act of
the Assured claimant.
The Company shall be subrogated to and be
entitled to all rights and remedies which the Assured
would have had against any person or property in
respect to the claim had this Guarantee not been issued.
If requested by the Company, the Assured shall transfer
to the Company all rights and remedies against any per-
son or property necessary in order to perfect this right
of subrogation. The Assured shall permit the Company
to sue, compromise or settle in the name of the Assured
and to use the name of the Assured in any transaction
or litigation involving these rights or remedies.
If a payment on account of a claim does not fully
[ver the loss of the Assured the Company shall be
ibrogated lo all rights and remedies of the Assured
after the Assured shall have recovered its principal,
interest, and costs of collection.
12. Arbitration.
Unless prohibited by applicable law, either the
Company or the Assured may demand arbitration pur-
suant to the Title Insurance Arbitration Rules of the
American Arbitration Association. Arbitrable matters
may include, but are not limited to, any controversy or
claim between the Company and the Assured arising out
of or relating to this Guarantee, any service of the
Company in connection with its issuance or the breach
of a Guarantee provision or other obligation. All arbitra-
ble matters when the Amount of Liability is $1,000,000
or less shall be arbitrated at the option of either the
Company or the Assured. All arbitrable matters when
the amount of liability is in excess of $1,000,000 shall
be arbitrated only when agreed to by both the Company
and the Assured. The Rules in effect at Date of
Guarantee shall be binding upon the parties. The award
may include attorneys' fees only If the laws of the state
In which the land is located permits a court to award
attorneys' fees to a prevailing party. Judgment upon the
award rendered by the Arbitrator(s) may be entered in
any court having jurisdiction thereof.
The law of the situs of the land shall apply to an
arbitration under the Title Insurance Arbitration Rules.

Company upon request,
13. Liability Limited to This Guarantee;
Guarantee Entire Contract.
(a) This Guarantee together with all endorsements,
if any, attached hereto by the Company is the entire
Guarantee and contract between the Assured and the
Company, In interpreting any provision of this
Guarantee, this Guarantee shall be construed as a
whole,
(b) Any claim of loss or damage, whether or not
based on negligence, or any action asserting such
claim, shall be restricted to this Guarantee.
(c) No amendment of or endorsement to this
Guarantee can be made except by a writing endorsed
hereon or attached hereto signed by either the
President, a Vice President, the Secretary, an Assistant
Secretary, or validating officer or authorized signatory of
the Company.
14. Notices, Where SenL
All notices required to be given the Company and
any statement in writing required to be furnished the
Company shall include the number of this Guarantee
and shall be addressed to the Company at 114 East Fifth
Street Santa Ana, California 92701.
