In keeping with the village theme for the area we propose to incorporate common park- ing for the three businesses involved. We request that the Planning Commission approve our proposal for comprehensive parking facilities as we have shown on our site plan. Mr. Sonneman \ has reviewed our site plan and has initialed approval for our comprehensive site plan subject to the provision that Sixpence is responsible for the cost of any improvements erected on his property. October 22, 1971 S LEASE 1. JOHN H. GRANT and MARY C. GRANT, hereinafter called "Lessor", hereby lease to STANDARD OIL COMPANY OF CALIFORNIA, hereinafter called "Lessee", those certain premises in the City of Carlsbad, County of San Diego, State of Calif - ornia, hereinafter called "Leased Premises", outlined in red on the attached sketch, marked Exhibit "A", and more particularly described in Exhibit "B", which are attached to this lease and hereby incorporated by reference with the same force and effect as a part hereof, together with all rights appurtenant thereto, including all rights of Lessor in and to public streets and other public rights of way adjacent to or abutting the leased premises. Lessee shall not make any additions, improve- ments or alterations to the leased premises without the written consent of Lessor thereto, and Lessee agrees to keep the leased premises and the immediate approaches thereto in good condition and repair at its own expense, and to commit no waste thereof during the life of this lease; and Lessee hereby waives any right Lessee may have to make repairs at the expense of Lessor. If Lessee shall fail to make any necessary repairs, then, in addition to all other remedies, Lessor may make such repairs to the leased premises, and Lessee shall on demandpay Lessor, the reasonable cost of such repairs. 5. Lessor hereby reserves the right to fully use the leased premises for driveway purposes, and ingress and egress over and across the leased premises to and from any premises owned or leased by Lessor adjoining the leased premises, and for placing, installing and maintaining thereon such signs as Lessor may desire. In the event Lessor exercises such right, Lessor shall pay that portion of Lessee's total tax obligation-, 0/-0 '3 in the same ratio as the Westerly 20 feet bears to the leased premises and shall pay all taxes on improvements located on the leased premises, and all maintenance of said Westerly 20 feet shall be at Lessor's expense. 6. Lessor shall have the right to remove from the leased premises at Lessor's own expense, all improvements now located on the leased premises. When and if Lessor shall so remove said improvements, Lessor shall have all of the salvage resulting therefrom as compensation for such work, in the event Lessor has not completed the removal of said improvements by January 31, 1972, Lessee shall have the right and obligation to remove all of said improvements prior to February 17, 1972. The cost of such removal by Lessee shall be assumed and paid for by Lessee. When and if Lessee shall so remove said improvements, Lessee shall have all the salvage resulting therefrom as compensation for such work. It is further agreed that if Lessee shall so remove said improvements, Lessee shall not be obligated to restore said improvements to their present condition at the expiration of Lessee's tenancy of the leased premises. 7. If any rent shall be due and unpaid, or if default shall be made in the performance of any of the terms, covenants or conditions herein contained, Lessor may at its option terminate this lease and reenter and take possession of the leased premises and remove and exclude Lessee and all t rn4t aTd diivr up the leased premises to Lessor peaceably and quietly at the -3- I expiration, or any sooner termination of this lease, in as good order and condition as the same are now, or may hereafter be put into, reasonable wear and tear excepted. 8. Lessee shall neither erect nor display on the leased premises any advertising signs not approved by Lessor, and Lessor reserves the right to remove at any time from the leased premises its advertising signs or displays theretofore installed thereon by Lessor. 9. Lessee shall neither sell nor assign this lease, or any part thereof, or any interest therein, or sublet said premises, in whole or in part, nor become associated with any other persons, directly or indirectly, as prthers or otherwise, with regard to Lessee's interest in, to or under the lease, without the written consent of Lessor thereto; and any consent to any such assignment or sublease shall not be construed to be a consent to any other or further assignment or subletting, as the case may be. Lessee shall not suffer any lien or encumbrance to.be placed upon Lessee's leasehold interest in the leased premises, or any part thereof, nor shall Lessee permit anyone to occupy the leased premises, or any part thereof, in place and stead of Lessee; nor shall Lessee occupy the same, or any part thereof, as trustee of an express or implied trust for any person whatsoever. The breach by Lessee of any of the foregoing provisions, or any assignment or sub- lease hereof, whether voluntary or by operation of law, or by any process or proceeding of any court, or by attachment, execution, proceedings in insolvency or bankruptcy, whether voluntary or involuntary, or receivership proceedings, shall constitute a breach of the covenant against the assignment of work a forfeiture of this lease. -4- 10." Lessee shall operate its said business on the leased premises at all times so as not to interfere in any way with the business of Lessor. Lessee grants Lessor the right to inspect Lessee's said business conducted on the leased premises, and any buildings or equipment used in' conjunction therewith, at any reasonable time or times. 11. Lessee agrees to pay direct to the taxing authorities of the city, county or state in which the leased premises are located, all real property taxes, including special taxes or assessments, and all property taxes on personal property located on the leased premises, levied or assessed upon or against the leased premises, during, the term hereof or any extension thereof. If Lessor's tax bills prior to the commencement date of the term hereof include property other than that covered by this lease, Lessor agrees to arrange with said taxing authorities to have the leased premises separately assessed. In the event suchseparate assessment cannot be obtained, Lessee shall pay that portion of Lessor's total tax obligation on land only in the same ratio as the area of the leased premises bears to the total area of the land covered by Lessor's tax bill, and shall pay all taxes on improvements made by Lessee and located on the leased premises. For any fraction of a tax year at the beginning or end of the term of this lease, or any extension. thereof, Lessee's obligation hereunder shall be prorated as of the commencement or end of the term of lease, or any extension thereof. For any such fraction of a tax year at the beginning of the term hereof, Lessee agrees to reimburse Lessor for -its ((C.) vs ftz'r reenL.iLiofl to Lessee of receipted copies of the bills covering the same, -5- together with an estimated segregation of such taxes obtained from the particular taxing authorities involved if such tax bills include property other than that covered by this lease. For any such fraction of a tax year at the end of the term hereof, or any extension thereof, Lessor agrees to reimburse Lessee for Lessor's portion of such taxes within sixty (60) days after presentation to Lessor of receipted copies of the bills covering the same. In the event any special tax or assessment is levied or assessed on the leased premises which becomes due. and payable during and the delinquency date for which falls within the term of this lease, or any extension thereof, which said tax or assessment may be legally paid in installments (whether by subjecting the leased premises to bond or otherwise), Lessee shall have the option to pay such tax or assessment in install- ments. In the event of such election Lessee shall be liable- only for those installments of such tax or, assessment plus interest if any, which become due and payable during - and the delinquency date for which falls within the term hereof, or any extension thereof. Lessor agrees to execute or join with Lessee in the execution of any application or other instrument that may be necessary to permit the payment of such special tax or assessments in installments. 12. Lessee, while in possession, shall have the prior right (1) to buy the whole or any part of the leased premises. or any larger parcel which includes the leased premises, if Lessor receives from a third party an acceptable bona fide offer to buy, or if Lessor offers to sell, such property, and (2) to lease the whole or any part of the leased premises or any larger r'rc? t An,jr'' t2r'f cr rc'eeiv.s from a third party ,an acceptable bona fide offer, or if Lessor -6- S , offers, to lease such property for a term commencing on or after the expiration of the term hereof or any extension thereof. In either such event, Lessor shall forthwith give Lessee written notice of such offer, together with a copy thereof, and Lessee shall have sixty (60) days from the receipt of such notice to buy or to lease such property, as the case may be, at the terms of such offer, or at such lesser terms as Lessor and Lessee may agree upon. If Lessee fails to exercise such option within such ixty (60) days, Lessor shall have sixty (60) days thereafter within which to sell or to lease, as the case may be, such property to the party and upon the terms stated in the notice to Lessee without resubmitting such offer to Lessee as herein- above provided. If Lessor sells such property to a third person, such sale shall be made subject to the terms and provisions of this lease, including, but without limiting the generalitybf the foregoing, the provisions of this paragraph The rights of Lessee under this paragraph may be exercised by any nominee Lessee may designate, whose financial responsibility Lessee hereby giarantees. 13. Lessee shall indemnify, defend and hold Lessor harmless from and against all expense, liability and claims for 'damage to property (including Lessees property) or injury to or death of persons (including Lessee) directly or indirectly resulting from anything occu:rring from any cause on or about or in connection with the use or occupancy of the leased premises or the means of ingress thereto or egress therefrom. 14. The provisions of this lease shall inure to the benefit of Lessee and of its successors and assigns and shall bind and inure to the benefit of the heirs, administrators, ' 15. Execution of this lease by Lessor constitutes MM I - an offer which shall not be deemed accepted by Lessee until Lessee has executed this lease and Standard Oil Company of California, Western Operations, Inc. has executed a sublease of even date herewith and delivered a duplicate original thereof to Lessor. 16. Until further notice, from Lessor, all payments to be made and notices to be given to Lessor hereunder shall be made or given to JOHN H. GRANT and MARY C. GRANT, 4056 Skyline Road, Carlsbad, California 92008. 17. Anything contained herein to the contrary notwithstanding the effectiveness of this lease, and the lease referred to in Paragraph 15 above, are contingent upon the re-zoning of the sublet premises and the contiguous parcel of real property described, in Exhibit 'C annexed hereto, and made a part hereof, to C-2 zoned parcels by the proper govern- mental authorities. INC., a California corporation (hereinafter referred to as "Chevron"), RICHARD F. JOHNSON (hereinafter referred to as "Johnson"), HAROLD BUTLER ENTERPRISES *362, INC., a Califor- nia corporation (hereinafter referred to as "Butler"), SIXPENCE INN OF CARLSRAD, LTD., a California limited partnership (herein- after referred to as "Sixpence*), and JOHN H. GRANT md MARY C. GRANT, husband and wife, (hereinafter referred to as "the Grants"). R S C I T A I. S: A. Chevron, Johnson, Butler and Sixpence (hereinafter indi- vidually referred to as a "Party" and collectively referred to as the "Parties") lease adjoining parcels of real property in the City of Carlsbad, County of San Diego, State of California. described as follows: (1) Parcel A is leased by Chevron, and subleased by Chevron to Johnson, and is described in Exhibit A attached hereto. (2) 'Parcel B is leased by Butler.and is described in Exhibit B attached hereto. V V (3) Parcel C is leased by Sixpence and is described in Exhibit C attached hereto. V V B. The Grants, who have an ownership interest in Sixpence, are the fee simple owners of the real property (portions of which are leased by each of the Parties) described in Exhibit D attached hereto, and are the sublessors of certain of the real property sub- leased to Butler which is described in Exhibit E attached hereto. Johnson is operating a service station on Parcel A, Butler is operating a restaurant on Parcel B, Sixpence is develop- ing a 109 guest room Motel on Parcel C,, and there are or will be parking facilities on each of Parcels A, B and C. The Parties do not anticipate that the granting of joint and reciprocal parking rights will interfere with the above operations inasmuch as peak usage of parking by the motel will be at night while peak usage of parking by the service station will be during the day. D. Section 21.44.160 of the Carlsbad Municipal Code provides for the joint use of parking facilities in certain circumstances. The Carlsbad Planning Commission, by Resolution No. 1868, dated September 23, 1981, determined that joint parking facilities are acceptable. 1. V • V lJkP) 1672. 4 E. Sixpence asked the City of Carlsbad to approve joint use of the parking facilities on parcels A, B and C in order to facili- tate the planned motel development, and the Planning Commission of the City of Carlsbad did, on the 23rd day of September, 1981, con- sider and approve joint use of said parking facilities on the con- dition that the Parties exchange mutual agreements to insure that '...__. the existing parking spaces will be available in the future. No party shall construct, or permit construction of any structure on the parking facilities within the parcel leased by it which will reduce in any way the available parking spaces as delineated on Exhibit F. Any Party may rearrange or construct new improvements on its parcel at any time so long as such rearrangement or construction does not reduce the number of available parking spaces. S. This Agreement and the rights and obligations of the Parties shall remain in full force and effect for so long as the lease dated June 12, 1962, between Chevron and Rudolph A. Sonneman and Jane C. Sonneman, remains in effect. Upon termina- tion or expiration of said lease, this Agreement, the licenses created hereunder, and the respective rights and obligations of. the Parties hereunder shall thereupon automatically terminate and be of no further force or effect. 9. No representations, warranties, covenantA or conditions, express or implied, whether by statute or otherwise, other than as set forth herein have been made by any Party or by the Grants. No waiver of any term, provision or condition of this Agreement, whether by conduct or otherwise in any one or more instances, shall be deemed to be, or shall constitute, a waiver of any other provi- sion hereof, whether or not similar, nor shall such waiver consti- tute a continuing waiver, and no waives shall be binding unless executed in writing by the signatory caking the waiver, iS. This Agreement shall be governed by and construed and enforced in accordance with and subject to the laws of the State of California. 16. Each signatory hereto agrees to execute and deliver, at any time and from time to time, upon the request of any another signatory, such further instruments or documents as way be neces- sary or appropriate to carry out the provisions contained herein, and to take such other action as such other signatory may reason- able request to effectuate the purposes of this Agreement. 17. This Agreement shall be binding upon and shall inure to the benefit of the signatories hereto and their respective heirs, legal representatives, successor c nd assigns. 18. Sixpence e'reby agrees to inUemnify, defend and hold Chevron and Sutleraharmiess against any and all claims for damage to the property of or injury to any customers, visitors, invitees, licensees and/or sublessees of Sixpence occuring in, upon or about the parcel leased by the indemnified party or parties and arising out of any negligent act or omission of any person or persons other than the indemnified party or its employees, agents, contractors, customers, visitors, invitees, licensees and/or sub- lessees, and from and against all costs, attorney's lees, expenses and liabilities incurred in the defence of any such claim or any action or proceeding brought thereon. Nothing contained in this paragraph 18, whether express or.implied, is intended to confer upon any person other than the Parties any rights or remedies under or by reason of this paragraph nor is anything in this paragraph intended to relieve or discharge the liability of any third persons to any Party, nor shall any provision give any third persons any right of subrogation or action over against any Party. 19.
