A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF CARLSBAD, CALI FORNIl., VACATING A PO~TION
OF EL CAMINO REAL NORTHEAST OF EI,M AVENUE.
The City COllncil of the City of Carlsbad, California,
does hereby resolve as follows:
1. That all publication and posting of notices
regarding the proposed vacation of a portion of El Camino Real
pursuant to Resolution of Intention No. 6700 hav~ been given as
required by law.
2. That .the City Council did hea~ the evidence offered
by all parsons interested in said proposed vacat-.ion <t'ld does find
from all the evidence submitted that a portion of El Camin~ Real
northeast of Elm A\'enue in the City of Carlsbad, County of San
Diego, State of Californj~, particularly described on Exhibit -An
attached hereto and by this reference incorporated herein, is
unnecessary for present or prospective street purposes and does
hereby make this order vacating said portion of El Camino Real.
3. That the Cc-uncil finds the aret, to be vacdted is
not suitable for bikeways.
4. That the vacation of said portion of "Bl Camino
Real is conditioned upon the Elm Properties constructing street
improvements a1011g the frontage of the proposed 'lacation wi thin
a year or at the option of Elm Properties securing such -
improvements at an earlier time provided that the improvements
shall be installed within one year.

1. Underground facilities and appurtenances for the transmission and

deem convenient or necessary. Grantee also has ~he right of ingress and egress, to,

Grantee further has the right, but not the duty to clear and keep this easement clear
from explosives, buildings, structures and materials.
The property in which this easement and right of way is hereby g1:anted is

The casement in the aforesaid property shall be a strip of land,

or constructed, any building or other structure, plant any tree, drill or dig any well,
within this easement.
Grantor shall not increase or decrease the ground surfa:e elevations within
this easement after installation of Grantee's facilities, without prior written co~sent
of Grantee, which consent shall not un~easonably be withheld.
Grantor further grants to Grantee the right to assign an) or all of the rights granted in this easement in whole or in part to The Pacific Telephone and Telegraph
Company and/or to other companies providing utility or communication facilities.
Grantee shall have the right but not the duty, to trim or remove trees and
brush along or adjacent to this easement and remove roots from within this easement
whenever Grantee deems it necessary. Said right shall not relieve Grantor of the duty
as owner to trim or remove trees and brush to prevent danger or [,azard to property or
persons.
CONDUITS CARRY HIGH VOLTAGE ELECTRICAL CONDUCTORS, therefore Grantor shall not
make or allow any excavation or fill to be made within this easement WITHOUT FIRST
NOTIFYING SAN DIEGO GAS & ELECTRIC CONPANY AND OBTAINING PERMISSION.

Recitals
WHEREAS, Elm Properties is the owner of that real propert~'
identified and described on Exhibit A attached hereto and
incorporatec, herein by this reference; and
W.~EREAS, Elm Properties has received approval for the
development of an integrated commercial center on said property;
and
WHEREAS, it is contemplated by Elm Properties that the
common areas of the ir.tegrated center shall be open and
available fjr use by all users of the improved cent.er; and
WHI:REAS, Elm Properties has leased a portion of said real
properl:y to the San D::.ego Trust & SaV'ings Bank, pursuant to
which a Meworandum of Lease was recorded on December 27, 1982;
and
WHEREAE, by the terms of said lease, Elm Properties has
grante:1 to San Diego Trust & Savings Bank the ,right to the use
of the COWlon areas of the above-described center for driving,
parking and pedestrian purposes; and
WHEREAB, by the terms of said lease, San Diego Trust &
Savinc;s Bank has granted to Elm Properties the right to the use

This Memorandum of Tenancy-In-Conmon Agreement and vptio~
(the ~Memorandum") is entered into this date by HOYT S. PARDEE
and c~~o~ K. PARD~E, husband and wife and EDWARD ~. FOGAL, a
~arried man (collectively, the "Contracting Parties"), as owners
of that certain real property 1~c3~ed in the County of San Diego,
state of California, as more specifically described in Schedule I
attached hereto (tre "Property"). Concurrently herewith, the
Contracting Parties have entered into a Tenancy-In-Common
Agr&ement and option pertaining to the Property (herein the
"Agreement"), the termE', provisicms, rights and obligations: of
wnich are hereby incorporated herein by this reference. The
Agrcenent provides, ~mong other things, (i) that the Property may
not be sold, assigned, or other~'~s~ transferred except in
accordance with the provisions of the Agreement and (ii)
reciprocal options to each Contracting Party to purchase the
interest jn the Property of the other Contracting Party.
The parties have executed apd recorded this instrument for
the purpose of imparting notice of the Agreement and the
respective rights and obligations of the Contracting Parties. In
the event of any inconsistency between this Memorandum and the
Agreement, the Agreement shall control. This Memorandum and the
Agreement shall bind a~d inure to the benefit of the parties
hereto, and t~eir respective heirs, successors and assigns,
subj ect, however, to the pro'Jisions of the Agreement on
assignment.
The Agreement shall terminate upon the earliest to occur of
the following events: (i) the sale of ~he Property to any of the
Contracting Parties or to any other party in accordance with the
terms of the Agreement, or (ii) or. May 31, 1990.

AFFECTING RFAL PROPERTI
This Easement Agreement and Covenant Affecting Real Property
("Covenant") is mAde as of ~ Ll , 1992, by Western FinancIal
Savings Bank, a California corporation ("Hestern"), who declares
and covenants as follows:
ARTICLE I.
RECITALS
This Covenant 1s made, declared, and granted upon the basis of
tho following facta:
A. Western i. the owner of eertain real property located in Carlsbad, Califo~a, wh1ch property is more particularly
described on attached Exhibit "A" (the "Weste:r:n Property").
B. western deSires to grant an easement for the ben~fit of
certain property adjacent to the Western Property, which adjacent
property is more particularly described on attached Exhih!t "B"
(the "Elm Property").
C. By this Covenant, Western intends to establIsh a mechanism whereby, at such time as the owner(B) of the Western
Property are granted access rights between the above referenced
easement and Elm Avenue, the easement granted herein shall vest in
favor of the owner(s) of the Elm Property.
ARTICLE II
PECLARATION
Western hereby covenants and declares that the Western
Property shall be he1d, conveyed, mortgaged, encumbered, leased,
rented, used, occupied, sold, and improved sUbject to the declarations, covenants, equitable servitudes, and easements set
forth in this Covenant. All of such declarations, covenants,
equitable servitud~s, and easements shall run with the land and
shall be binding upon Western and ite successors and assigns, and
all parties having or acquir1ng any right, title, or interest in
or to any part of the Western Property.

ARTICLE III
S;BANT QF EASEMENT
•
3.1. Easement 1n Favor of Elm Property. Western hereby
grants and conveys to the owner(a) of the E1II Property, and its
successors and ASsiqna, for the benefit of the Elm Property, A non-exclusive, appurtenant easement for ingress, egress, and
access, including pedestrian and vehicular traffic, over, upon, and across that certain portion of the Western Property described
and depicted on attached Exhibit "C" (the "Easement-). ~he
foregOing grant of easement shall constitute a contingent future
interest which is subject to the following conditions precedent
~"d shall be governed by the provisions of california Civil Code
Section 1110.
3.1.1. Such Easement shall not vest unless and until the
owner(s) of the Western Property are granted a non-exclusive, appurtenant easement (for the benefit of the Western Property, the
owner(s) of the Western Property, and its successors and assigns)
for ingress, egress, and access, including pedestrian and vehicular traffic, fro. the eastern boundary of the Easement to Em Avenue) s portion of which Easement will traverse the Elm Property (the "Elm Easement"). The £1. Easement must be ot the
same approximate width as the Easement.
3.1.2. The vest1ng of such Easement is further
conditioned on the owner(s) of the ElIIl property executing a
covenant of Maintenance in favor of the Western Prope~~y relating
to the Elm Easement providing substantially the same level of
maintenance relative to the Elm Easement as is to be provided
relative to the Easement pursuant to Article IV, below. The grant of the Elm Easement in favor" of the Western Property may be
subject to the same limitations and restrictions contained in Paragraph 3.3. of this Art1cle.
3.1.3. The Easement granted pursuant to Paragraph 3.1., above, must vest, if at all, on or before that date which is 20
years after the date of th1S Covenant. If such Easement has not
vested prior to such date by reason of the satisfaction of the
conditions precedent set forth in Paragraphs 3.1.1. and 3.1.2.,
above, such Grant of Easement shall fail and be of no further force or effect.
3.2. In addition to the conditions precedent to the vesting of the Easelllent set forth in Paragraphs 3.1.1. through 3.1.3.,
above, the grant of easement set forth in Paragraph 3.1., above,
shall additionally be subject to the following condition
subsequent And shall be governed by the provisions of California
Civil Code Section 1109. ~he real property upon which the Easement is located is subject to an Irrevocable Offer of
Dedication in favor of the City of Carlsbad, California. In the
ev~nt such Irrevocable Offer of Dedication is accepted, at any
time, whether before or after the vesting of the Easement, tha Easement Ahall terminate. Upon the occurrence of such condition . ;

(or allow to be utilized) their property, or the easement granted
by or in their favor (pursuant to Paragraph 3.1. of this Article),
In a manner w~ich i8 likely to materially interfere with the use
ancl/or enjoyment by any other person of any such easement. In addition to the foregOing, At no time sball any party erect any
vall, fence, or b~ier of any sort or kineS which prevents or
impairs the use of any such easeraent. Nothing in the precedIng sentence shall prohibit reasonable traffiC controls as may be
necessary to guide and control the orderly flow of traffic, both
pedestrian ancl vehicular, upon any such easement.
ARTICLE IV
MAINTENANCE

Easement maintain the Easement in good condition and repair (except for temporary closures necessary to allow repair or
maintenance to be undertaken). Such obligation shall include the
obliqation to keep the Easement paved and in a clean and unobstructed condition, and Western shall be responsible for the

Article IV.
ARTICLE V
GENERAL PROvISIONS
5.1. Successors and Assigns. The declarations, covenants,
equitable servitudes, and restrictions herein contained shall
apply to, bind, and inure to the benefit of the owners of the
Western Property and the Elm Property and their respectIve
successors And assigns.
5.2. Captions. The captions used in thIs Covenant are solely
for the conveniencll of the part~es and should not be construed as
being a part of this Covenant, nor used in the interpretation of
this Covenant.
