We understand that our review will pertain to an evaluation of Leighton and Associate’s stability analysis of the forty-eight foot high, slope at the site. The proposed scope of our services for the subject project, specifically, include the following: 0 Review of soils reports and related documents provided by the City of Carlsbad. 0 Engineering and geologic analysis of the data provided. 0 Preparation of a written report presenting our conclusions and recommen- dations. Ninyo & Moore Geotechnical Consultants is presently involved in several projects for the City of Carlsbad and Oceanside, and has performed extensive work in the area. The proposed work will be performed under the direction of the chief geotechnical engineer, Mr. Clifford Craft, RCE; and the chief engineering geologist, Mr. Thomas Gray, CEG. Expert witness testimony will be charged at $150.00 per hour, with a minimum charge of four hours. Direct project expenses (such as field equipment rental, consultants, permits, insurance, travel and subsistence) will be charged at cost plus 15 percent. Field vehicle usage will be charged at $6.00 per hour. Rates for laboratory testing and use of special equipment (such as computer, nuclear density gauge, seismograph, inclinometer and surveying equipment) will be determined for each assignment, and will be provided upon request. INVOICES/PREPAYMENTS Invoices will be rendered monthly unless otherwise arranged, and are payable upon receipt. A ser- vice charge of 1.5 percent per month will be charged on accounts not paid within 30 days to cover additional processing and carrying costs. Any attorney’s fees or other costs incurred in collecting any delinquent account will be paid by the client. A prepayment of 50 percent of the total fee is required for projects with a total fee of $l,OOO.OO or less. The balance of the fee must be paid at the time the report is released to the client. STATEMENT TO BE SENT TO: Client 9. CONDITIONS OF AGREEMENT BETWEEN CLIENT AND NINYO 8 MOORE (CONSULTANT): Client authorizes Consultant to perform the study described above. Client assures that right-of-entry to site is granted to Consultant. Client will protect his property, inside and out, including all plants and landscaping. and will locate all underground utilities and installations for Consultant, and Consultant shall not be responsible for damage lo plants, landscaping, utilities or other property not so protected or located. Client will reimburse Consultant at cost plus 15 percent for any repairs to damage that Consultant deems necessary to undertake. Fee is based upon the attached Fee Sch6dule and is due and payable upon presentation of an invoice. Carrying costs of l%% per month (16% annual percentage rate) will be added to any invoice unpaid by client after 30 days. Consultant resew% the right to charge any other reasonable costs associated with securing payment, including attorney’s fees. Each party authorizes the other to check the credit history of that party. Consultant agrees to provide professional counsel and technical advice regarding geotechnical conditions, and to use his best profes- sional judgement and perform his sewices using that degree of care and skill ordinarily exercised, under similar circumstances, by reputable soils engineers and/or engineering geologists practicing in southern California. NO warranty. expressed or implied, of merchan- tability or fitness, is made or intended in connection with the work lo be performed, or by the furnishings of oral or written reports by Consultant. Client agrees to pay to Consultant and to save Consultant harmless from all reasonable costsand attorney’s fees incurred by Consultant in enforcing any of the provisions hereof or in defending against any wrongful claim asserted against Consultant growing out of or caused hereby or by the work done pursuant hereto.
