Dear Guy,
I spoke with our legal counsel on Friday, April 1, 1977, regarding the
District allowing you rights of access, ingress and egress over, along
and across our pipeline easement from El Camino Real to D-1 anid D-2
Reservoirs. The original easement only allows our pipeline appurtenances
and a right to construct or repair said pipeline and appurtenances. It
will be necessary for you to contact all the owners that gave the Carlsbad
Municipal Water District their easement, and to have them give you an
easement for ingress and egress, subordinate to our original easement.
I am sure that when the time comes to write these easements, the District
and its staff will be happy to assist you in any way possible. Please
feel free to call the undersigned at any time.

Enclosed herewith is the original Grant Deed executed by the officers
of the Carlsbad Municipal Water District, granting to your company
the easement for the underground electrical service to the District's
neighbor lying westerly of the "D" Reservoir site. Pursuant to
our telephone conference, you will note that we have deleted any
reference to the relocation clause in the event our District re-
quires same.
