SMITH, COUNTY RECRDER FEES: 71.00 aap, @ WHEN RECORDED MAIL TO City of Carlsbad Citv Clerk's Office Ann.: city Clerk 1200 Carlsbad Village Drive Carlsbad, California 92008 (Space abovefor Recorder's Use) INITIAL AFFORDABLE HOUSING AGREEMENT IMPOSING RESTRICTIONS ON REAL PROPERTY This Initial Affordable Housing Agreement Imposing Restrictions on Real Property ("Agreement"), entered into this day of &rhy 2002, by and between the CITY OF CARLSBAD, a municipal corporation (herei after referred to as the "City"), and REAL ESTATE COLLATERAL MANAGEMENT COMPANY a Delaware corporation (hereinafter referred to as the "Developer"), is made with reference to the following: Diego, California (hereinafter referred to as the "Subject Property") described in "Attachment A. Developer is the owner of certain real property in the City of Carlsbad, County of San A", which is attached hereto and incorporated herein by this reference. B. The City has approved the Villages of La Costa Master Plan (MP 98-01) (the "Master Plan") and associated entitlements for the Master Development subject to certain Conditions of Approval, including a condition requiring at least fifteen percent (15%) of the units in the Master Development to be affordable housing as required by the City's Inclusionary Housing Ordinance (Carlsbad Municipal Code ("CMC") Chapter 21.85). The Master Plan allows for the development of a maximum of 2,390 residential units (hereinafter referred to as the "Master Development") on the Subject Property. C. The Master Development will consist of three separate villages: La Costa Greens, La Costa Oaks, and La Costa Ridge. As shown in the Master Plan, each village has several "Neighborhoods", or planning areas, establishing future development uses. D. The Master Plan states that the Developer will meet their inclusionary housing requirement for constructing, or causing to be constructed, a maximum of 180 apartment units in La Costa Greens (Neighborhood 1.15) of the Master Plan and as further described in "Attachment C" and the balance of the required units (up to 179) in La Costa Oaks (Neighborhood 3.6) of the Master Plan as further described in "Attachment D", or elsewhere as approved by the City. E. Developer is required by the Master Plan Conditions of Approval to enter into an Affordable Housing Agreement as required by the City's Inclusionary Housing Ordinance (CMC, Chapter 21.85). This Agreement is the initial Affordable Housing Agreement as required January 7,2002 1 by the Ordinance and as specifically referenced in Section 2.5.9 of the approved Villages of La Costa Master Plan, and shall be approved and executed prior to the final maps for the existing Master Tentative Maps (CT 99-03 and CT 99-04) and recorded upon recordation of the final maps for the Master Tentative Maps for the Subject Property. NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as follows: 1. Satisfaction of Affordable Housing Obligation and Conditions of Auuroval . Per the City's Inclusionary Housing Ordinance, an Affordable Housing Agreement together with an approved Site Development Plan is required to be approved and executed prior to the first final map and recorded upon first final map recordation for any residential development, including a a final map for a Master Tentative Map. For the Villages of La Costa, an exception to this requirement was granted with the approval of the Villages of La Costa Master Plan by the City Council. Due to the substantial benefit derived to the City of Carlsbad and the region through the timely grading and ultimate construction of Rancho Santa Fe Road and Poinsettia Lane, the Villages of La Costa will be permitted to final the Master Tentative Maps (CT99-03 and CT99- 04), which includes the creation of residential lots in Neighborhoods 3.8 and 3.9 of the La Costa Oaks village, with the approval of this initial Affordable Housing Agreement prior to an approved Site Development Plan. This initial Affordable Housing Agreement shall allow for no release of final maps for individual residential subdivisions, except for Neighborhoods 3.8 and 3.9 of the La Costa Oaks village, and no release of building permits by the City of Carlsbad for any housing units within the Villages of La Costa development until such time a Site Development Plan is approved by the City Council for one or more affordable housing developments required to comply with the Inclusionary Housing Ordinance and an amended Affordable Housing Agreement is executed and recorded against the Master Plan properties. The approved Site Development Plan for the affordable units and the amended Affordable Housing Agreement shall be required prior to the approval of the first final map for any individual neighborhood subdivision, except for Neighborhoods 3.8 and 3.9, within the Villages of La Costa Master Plan area. 2. Number of Affordable Dwelling Units - In order to satisfy the Conditions of Approval for the Master Plan and the requirements of the City's Inclusionary Housing Ordinance (CMC Chapter 21.89, Developer shall cause a minimum 359 units of the Master Development to be affordable to lower-income households (the "Affordable Units") based on the total development approval of 2,390 housing units. If the total number of housing units increases or decreases aboveibelow that which was approved and noted above, this Agreement shall be amended and the inclusionary housing requirement shall be revised accordingly. 3. Affordabilitv Requirements. The Affordable Units shall be available to households with incomes not exceeding 70% of the median income for San Diego County, adjusted for actual household size. Monthly Rents of the Affordable Units shall not exceed lil2th of 30% of 70% of median income for San Diego County, adjusted for assumed household size appropriate for the unit. 4. Affordable Housing Develouer. Developer has indicated that it will contract with a partnership consisting of Community Housing of North County and Mercy Housing to develop January 7,2002 2 and construct the Greens Affordable Units in La Costa Greens, Neighborhood 1.15. The City hereby approves such selection and has relied on that representation in approving this agreement. Developer shall obtain prior approval by the City of any other affordable housing developer and shall obtain City approval for the proposed development agreement for these units (the "Affordable Housing Development Agreement") prior to execution. 5. Schedule for Develouine Affordable Multifamilv Units. As required by the City's Inclusionary Housing Ordinance, Developer shall construct the Affordable Units prior to, or concurrent with, construction of the market-rate housing units within the subject development, or as set forth within an alternate schedule to be approved by the Community Development Director and/or City Council within a subsequent amended Affordable Housing Agreement. The following schedule for actions related to the subject project and affordable housing development shall apply per this initial Agreement: 5.1 Prior to the approval of the final maps for the Master Tentative Maps (CT 99-03 and 99-04) for the Master Development, this initial Agreement shall be approved and executed, and recorded upon recordation of the final maps for the Master Tentative Map for the Subject Property. 5.2 Prior to the recordation of the first final map for any individual residential subdivision within the Master Development, with the exception of Neighborhoods 3.8 and 3.9 as stated in Section 1 above, and prior to the issuance of the first residential building permit within the Master Development, the Developer shall receive City Council approval of one or more Site Development Plans for Affordable Units to comply with the Inclusionary Housing Ordinance and an amended Affordable Housing Agreement must be executed and recorded against the Master Plan properties which sets forth the schedule for development of the affordable units as related to the construction of market-rate units. The schedule attached as Attachment B will set forth the release of building permits for housing units in relative proportion to the number of affordable units approved by City Council within the required Site Development Plan(s). 6. Release of Subiect Prouertv From Ameement. The covenants and conditions herein contained shall apply to and bind the heirs, executors, administrators, successors, transferees, and assignees of all the parties having or acquiring any right, title or interest in or to any part of Subject Property to be developed for residential purposes and shall run with and burden the Subject Property until expiration in accordance with Section 12 hereof. This Agreement shall not burden or encumber non-residential portions of the Subject Property and shall not preclude development or issuance of non-residential permits in any manner. Until residential portions of the Subject Property are released from the burdens of this Agreement pursuant to this Section 5, the Developer shall expressly make the conditions and covenants contained in this Agreement a Notwithstanding anything to the contrary set forth in this Agreement, individual purchasers of part of any deed or other instrument conveying any interest in the Subject Property. single-family residential units pursuant to an approved public report in compliance with the California Subdivided Lands Act, and mortgage lenders holding deeds of trust on such individual units after sale to such purchasers, shall not be subject to the terms of this Agreement; and the terms of this Agreement shall be of no further force or effect and automatically released without further action with respect to such completed unit on the date of the recordation of a deed to the individual purchaser. As market rate units are eligible for release, this Agreement shall be fully January 7,2002 3 released for those eligible market rate residential units as designated in writing by Developer, which units may be located anywhere in the Master Development at the sole discretion of Developer. The Agreement shall be fully released as to the entire Subject Property upon issuance of certificates of occupancy for all Remaining Affordable Units. 7. Ri&t to Transfer Master Proiect. Developer shall have the right to sell, mortgage, hypothecate, assign or transfer ("Transfer") the Master Project in whole or in part to any person, partnership, joint venture, firm or corporation including, without limitation, any affiliate of Developer ("Transferee") at any time during the term of this Agreement. It is understood and agreed by the parties that portions of the Subject Property may be subdivided after the date of this Agreement. One or more of such subdivided parcels may be transferred for development in reliance upon the provisions of this Agreement. 8. Default. Failure of the Developer to cure any default in the Developer obligations under the terms of this Agreement within ninety (90) days after the delivery of a notice of default from the City (or where the default is of the nature which cannot be cured within such ninety (90) day period, the failure of the Developer to commence to cure such default within the ninety (90) day period or the Developer' failure to proceed diligently to complete the cure of such a default within a reasonable time period, but in no event greater than 180 days, will constitute a failure to satisfy the Conditions of Approval with respect to the Subject Property and the requirements of Chapter 21.85 of the CMC and the City may exercise any and all remedies available to it with respect to the Developer' failure to satisfy the Conditions of Approval and Chapter 21.85 of the CMC, including but not limited to, the withholding of building permits for the market rate units within the Master Development. 9. Force Maieure. Performance by any party of its obligation under this Agreement shall be excused during any period of delay caused at any time by reason of acts of God or civil commotion, riots, strikes, picketing or other labor disputes, shortage of materials or supplies, damage to work in progress by reason of fire, floods, earthquake or other casualty, restrictions imposed or mandated by governmental or quasi-governmental entities, enactment of conflicting laws, litigation, acts or neglect of other parties, or any other cause beyond the reasonable control of a party. Each party shall promptly notify the other parties of any delay hereunder as soon as possible after the same has been ascertained. The term of this Agreement and the time deadlines for such performance shall be extended by the period of any such delay. 10. Hold Harmless. Developer (or its successor or successors) will indemnify and hold harmless (without limit as to amount) City and its elected officials, officers, employees and agents in their official capacity (hereinafter collectively referred to as "Indemnitees"), and any of them, from and against all loss, all risk of loss and all damage (including expense) sustained or incurred because of or by reason of any and all claims, demands, suits, actions, judgments and executions for damages of any and every kind and by whomever and whenever made or obtained, allegedly caused by, arising out of or relating in any manner to Developer' actions or defaults pursuant to this Agreement, and shall protect and defend Indemnitees, and any of them with respect thereto. The provisions of this section shall survive any release or termination of this Agreement. January I, 2002 4 11. Insurance Requirements. Developer (or its successor or successors) shall obtain, at its (or their) expense, comprehensive general liability insurance for development of the Affordable Multifamily Units naming Indemnitees as additional named insureds with aggregate limits of not less than Five Million Dollars (%5,000,000), for bodily injury and death and property damage, including coverages for contractual liability and products and completed operations, purchased by Developer (or its successor or successors) from an insurance company duly licensed to engage in the business of issuing such insurance in the State, with a current Best's Key Rating of not less than A-:V, such insurance to be evidenced by an endorsement which so provides and delivered to the City Clerk prior to the issuance of any building permit for the Affordable Multifamily Units.. 12. Notices. All notices required pursuant to this Agreement shall be in writing and may be given by personal delivery or by registered or certified mail, return receipt requested, to the party to receive such notice at the addressed set forth below: TO THE CITY OF CARLSBAD: CITY OF CARLSBAD Housing and Redevelopment Department Attn: Housing and Redevelopment Director 2965 Roosevelt Street, Suite B Carlsbad. Integrated Agreement. This Agreement constitutes the entire Agreement between the parties and no modification hereof shall be binding unless reduced to writing and signed by the parties hereto. 14. Duration of Ameement. This Agreement shall remain in effect for 55 years following the date certificates of occupancy have been issued for all Affordable Units. This Agreement, and any section, subsection, or covenant contained herein, may be amended only upon the written consent of Developer and the Community Development Director. 15. Recording of Agreement. The parties hereto shall cause this Agreement to be recorded against the Subject Property in the official Records of the County of San Diego. 16. Severability. In the event any limitation, condition, restriction, covenant, or provision contained in this Agreement is to be held invalid, void or unenforceable by any court of January 7,2002 5 competent jurisdiction, the remaining portions of this Agreement shall nevertheless, be and remain in full force and effect. 17. Cooueration. The parties acknowledge and agree that this Agreement will require mutual good faith and cooperation in the timely implementation and performance of this Agreement and that time is of the essence herein. Each party covenants to the other to expeditiously proceed in good faith to implement this Agreement, including but not limited to, executing and recording any documents necessary to release any portion of the Subject Property, processing and approving the Site Development Plans for the Affordable Units, and finalizing the Affordable Housing Development Agreement for each Affordable Units project.
