17 In consideration of the City’s approval of building permits for development to occur on
18 property described as (see attached Exhibit “A”), I (We) Martin W. Huffman, Finbarr F.
19 Whooley, a general partnership the owner (s) of said property promise to indemnify and to hold
20 the City of Carlsbad and any of its agencies or employees harmless from liability for injuries to

persons, or damage to or taking of property, directly or indirectly caused by, or resulting from
operation of the Carlsbad Golf Practice Facility (the “Project”) located at 2711 Haymar Drive,
Carlsbad, California, including, but not limited to errant golf balls exiting the referenced site.
Approval of the Project by the City shall not constitute an assumption by the City of any
responsibility for such damage. City shall not be an insurer or surety for the design or
construction of the Project, nor shall any officer or employee thereof be liable or responsible for
27 any accident, loss or damage happening or occurring during the construction or use of the
28 Project.

It is further agreed that this agreement shall be binding on all heirs, successors or assigns

having an interest in all or any part of the property described herein.
