GRANT OF EASEMENT
SAN DIEGO GAS & ELECTRIC COMPANY, a corporation,
hereinafter called "Grantor", for valuable consideration,
grants to the CITY OF CARLSBAD, a municipal corporation in
the County of San Diego, State of California, hereinafter
called "Grantee", a temporary access easement and right of
way for vehicular and pedestrian access, over, and across,
Grantor's land situated in the City of Carlsbad, County of
San Diego, State of California, described as follows:
Those portions of Lots "F" and "HI' of Rancho Agua
Hedionda, in the City of Carlsbad, County of San Diego,
State of California, according to Map thereof No. 823, filed in the office of the County Recorder of said County of San Diego, November 16, 1896, described in Deeds to San Diego
Gas & Electric Company, recorded May 2, 1952 in Book 4456, Page 49; recorded January 21, 1953 in Book 4722, Page 350 iL
m. and recorded June 16, 1953 in Book 5055, Page 447, all being

t of Official Records of said County of San Diego.
4 The temporary easement herein granted shall be for
the purpose of access to the regional park area located within
the above described property and shall be over and across the
existing dirt road approximately located as shown on the plan
marked Exhibit "A", attached hereto and by this reference made I

Grantor reserves unto itself, its successors and
assigns, the right to use the subsurface, surface and air-
space thereover, of the hereinbefore described easement and
right of way, for the installation of such facilities as
it shall now or in the future deem necessary, provided, however,
that such reserved use rights shall not be exercised by
Grantor, its successors or assigns, in such a manner as to be
incompatible with Grantee's installation.
Grantee agrees to indemnify, save and hold harmless
Grantor from and against any and all liability, costs, claims,
damage or injury to Grantor's property and tenants of Grantor's
property and to all improvements and crops located on Grantor's
property caused by Grantee or Grantee's invitees, licensees or
guests.
This easement shall, at such time as permanent access
to the park area is established automatically be extinguished
and terminated. At such time as permanent access to the park
is established, Grantee agrees to quit claim to Grantor all
right, title and interest in the easement area within 90 days.
The terms, covenants and conditions of this grant
of easement and right of way shall be binding upon and inure to
the benefit of the successor or assigns of Grantor and Grantee.
