" __ - ._ SUBORDINATION AGREEMENT "#U6 F& NOTICE: THIS SUBORDINATION AGREEMENT RESULTS IN YOUR SECURITY INTEREST IN THE PROPERTY BECOMING SUBJECT TO AN ESTATE IN THE REAL PROPERTY TO WHICH YOUR SECURITY INSTRUMENT ATTACHES AND HAS THE POTENTIAL EFFECT OF REDUCING THE VALUE OF YOUR SECURITY INTEREST. THIS AGREEMENT, made this 27 day of August 192 by Mar Pointe Limited Partnership hereinafter referred to as "Owner, owner of the land and Bank of the West, hereinafter referred to a ItBeneficiary"; present owner and holder of the deed of trust here inafter described; WITNESSETH THAT WHEREAS, Mar Pointe Limited Partnership did execute deed of trust, dated February 9, 1990, to First Santa Clar Corporation, as trustee, covering Lot 1 of Carlsbad Tract 81-1 according to Map No. 11595, to secure a note in the sum of fiv million seven hundred fifty thousand ($5,750,000) dated February 9 1990, in favor of Bank of the West recorded in the office of th County Recorder of San Diego County on February 13 , 1990, as File Nc 90-080318 of Official Records of said county; and WHEREAS, Owner has executed, or is about to execute, 2 grantor, a grant of Easement dated March 19, 1990, in favor of tk City of Carlsbad as grantee herein referred to as "Easement Grantee, creating an Easement more particularly described in ExhibitA attach€ hereto; and 1 I1 .I ,b: .- 0 1-8 1 WHEREAS, Easement Grantee is willing to accept said Easemen provided the grant of Easement is a charge upon the above describe property prior and superior to the lien or charge of the deed of trus above mentioned and provided that beneficiary will specifically ar unconditionally subordinate the lien or charge of the deed of trus above mentioned to the lien or charge of the Easement created in favc of Easement Grantee; and WHEREAS, it is to the mutual benefit of the parties heret that Easement Grantee accept said Easement and Beneficiary is willir that the grant of Easement shall, when recorded, constitute a charc upon said land which is unconditionally prior and superior to the lic or charge of the deed of trust above mentioned.
