QUITCLAIM DEED For valuable consideration, the receipt and adequacy of which is hereby acknowledged, the Carlsbad Unified School District (“Grantor”), a public school district organized and existing pursuant to California law, does hereby remise, release and quitclaim to the Carlsbad Housing and Redevelopment Commission (“Redevelopment Commission”), a public redevelopment agency organized and existing pursuant to Section 33000 et seq. of the California Health and Safety Code, and to the City of Carlsbad (“City”), a California general-law municipal corporation, all of the Grantor’s right, title and interests, if any, to that certain real property located at 80 1 Pine Avenue in the City of Carlsbad, County of San Diego, State of California, more particularly described in Exhibit “A” attached hereto and incorporated herein by this reference (“Office Complex”), together with any and all fixtures, including appurtenances, connections and structures remaining in, on and under the Office Complex as of the date of this quitclaim deed. The interests herein granted shall vest in the Redevelopment Commission as a tenant in common with a 63% undivided interest and the City as a tenant in common having a 7% undivided interest. This quitclaim deed and the provisions set forth herein shall be binding upon and inure to @ the benefit of Grantor, Redevelopment Commission, City, and their respective heirs, administrators, personal representatives, executors, devisees, successors and assigns.
