LIMITED LIABILITY COMPANY RESOLUTION

NWB CARLSBAD LLC
The undersigned, being all of the Managers of NWB CARLSBAD LLC, a Washington
limited liability company, (the "Company") do hereby adopt the following preamble and
resolutions:
WHEREAS, The Company is in the process of developing a self-storage facility in
Carlsbad, California (the "Project").
WHEREAS, development of the Project is restricted by a Condition Use Permit/Special
Use Permit as referenced in a "Notice Of Restriction On Real Property" to be recorded by the
City of Carlsbad.
WHEREAS, the Company desires to acknowledge and accept the restrictions set forth in
the Condition Use Permit/Special Use Permit and authorize any one of the Managers of the
Company to sign the Notice of Restriction on Real Property on behalf of the Company.
BE IT RESOLVED, that as permitted by the Limited Liability Company Agreement of
NWB Carlsbad LLC, any one of the Managers set forth below is authorized to sign the Notice of
Restriction on Real Property and such signature shall bind the Company to the Notice Of
Restriction On Real Property.
This Resolution may be signed in counterpart.
IN WITNESS WHEREOF, the undersigned have adopted the forgoing effective the 24th
