2 A RESOLUTION OF THE BOARD OF DIRECTOS OF THE CARLSBAD
GOLF LODGING BUSINESS IMPROVEMENT DISTRICT, ADOPTING
THE RULE OF PROCEDURE, CARLSBAD MUNICIPAL CODE CHAPTER
4 1.20, AS MODIFIED AND AS CONCEPTUAL GUIDELINES TO
CONDUCT ITS MEETINGS

WHEREAS, at its Novenriber 27, 2012 meeting, the Carlsbad City Council adopted
Ordinance No. CS-194 forming the Carlsbad Golf Lodging Business Improvement District
(CGLBID); and
WHEREAS, tlie Board of Directors of the Carisbad Golf Lodging Business Improvement
11 District wishes to adopt rules of procedure.
12 NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Carisbad Golf

Lodging Business Improvement District as follows:

That the above recitations are true and correct.

2. That Chapter 1,20 of the Carisbad Municipal Code, entitled "City Council

jy Procedure" is hereby adopted by the Carisbad Golf Lodging Business Improvement District
18 Board as conceptual guidelines to conduct its meetings, with the exception of Sections
19 1.20.010, 1.20.025, 1.20.400-1.20.480, 1.20.550, 1.20.580, 1.20.600 and 1.20.610; and in those
adopted sections where it reads "city council" or "council" it shall read "board of directors of
the Carisbad golf lodging business improvement district" or "board"; where it reads "council
member" it shall read "board member"; and where it reads "city manager" it shall read "board

PASSED, APPROVED, AND ADOPTED at a regular meeting of the Board of
Directors of the Carlsbad Golf Lodging Business Improvement District on the 17th day of
2013, by the following vote to wit: April
AYES: Board Members Stiebeling, Glaser, Stripe
NOES: None.
ABSENT: None.
