RESOLUTION OF THE BOARD OF DIRECTORS OF THE
CARLSBAD TOURISM BUSINESS IMPROVEMENT DISTRICT,
SELECTING AGENCY TO PROVIDE OUTSIDE INTERACTIVE
(DIGITAL) MARKETING TO VISITCAR)LSBAD 2015-16
WHEREAS, on July 2, 2015, the Board theyCarlsbad Tourism Business Improvement
District (CTBID) entered mto an agreement with Carlsbad Convention and Visitors Bureau, a not
for profit public benefit corporation ("VisitCajpbad") to provide tourism marketing services for
Carlsbad for FY 2016; and
WHEREAS, as part of thfe'N^Cfc-lsbad cVtract with the CTBID, the CTBID Board
has requested that a Request for Plcposail^RFP) bqf issued for the outside interactive digital
marketing services and that the top !|qii;pposafts^ presented to the CTBID Board to select the
company to provide these-sefvicea
Tower33 Digital, Inc., Experiences for Mankind, and
Civilian, Inc. w^e pre^nte4/to the CTpiD Board at its August 11 Board meeting.
NOW, THEp:F0RE, BE IT RESOLVED by the Board of Directors ofthe Carlsbad
Tourism Business Imprb^emHt District/ as follows:
1. That the ^ove recitations are tme and correct.
2. ^<Cbat th6 CTBID BVd selects ^ to provide
tgractive (digital) marketing services to VisitCarlsbad in an amount not to
ex/Ceea 3>2i»,i i J. mifiexyent that VisitCarlsbad negotiates a contract with said
Provider in an amount greater than $218,113, VisitCarlsbad shall first seek to amend
its agreement with CTBID to increase its budget for outside Interactive (digital)
marketing services.
