HomeMy WebLinkAbout1977-06-07; City Council; Resolution 5109RESOLUTION NO. 51 O9 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD, CALIFORNIA, APPROVING AN AGREEMENT BETWEEN THE CITY OF CARLSBAD AND THE COUNTY OF SAN DIEGO, FOR THE COUNTY OF SAN DIEGG TO PROVIDE PARAMEDIC SERVICES WITHIN THE CITY OF CARLSBAD AND AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT. The City Council of the City of Carlsbad, California, does hereby resolve as follows: 1. That that certain agreement between the City of Carlsbad and the County of San Diego, for the County of San Diego to provide paramedic services within the City of Carlsbad, a copy of which is attached hereto marked Exhibit "A" and made a part hereof, is hereby approved. 2. That the Mayor of the City of Carlsbad is hereby authorized and directed to execute said agreement for and on behalf of the City of Carlsbad. FRAZEE, May ATTEST : IAMS, ity Clerk EXHIBIT "liJ)o RESOLUTION NO. 5109 CITY OF CARLSBAD - 1200 ELM AVENUE CARLSBAD, CALIFORNIA 92008 THIS AGREEMENT is entered into this 7th day of June, 1977 , by and between the COUNTY OF SAM DIEGO, a political subdivision of the State of California, hereinafter /'referred to as "County", and the CITY OF CARLSBAD, hereinafter referred to as "Contractor". W'I T N E S S E T H: WHEREAS, the County is expanding its emergency medical services system to include a paramedic program as . authorized under the Wedworth-Townsend Paramedic Act and has received federal support for this program under the Public Health Service of the United States Department of Health, Education and Welfare Grant No. 09-H-000581-02-0 MS H36-C; and WHEREAS, Contract,or possesses the appropriate professional qualifications to provide paramedic skrvices; an d 0 WHEREAS,, the Contractor has been designated by the County to perform the subject services; NOW THEREFORE, the parties do mutually agree as P fol1 ows : page 1 of 9 .I Section 1. AGREE:MENT PERI’ID This Agreement shall commence on and continue until terminated. r- - . .. . Section 2. . ADMINISTRATION County designates the Director of Public Health, 1600 Pacific Highway (A-21), San Diego, California 92101, or his/her designated representative to administer the Agreement on behalf of the County. The Contractor designates the . , or his/her desig-, nated representative to administer this Ajreement on behalf of the Contractor. All reports, proposals, t letters, notices, and/or other correspondence shall be sent to the attention of the designated repre sen ta ti ves at the i r re spec t i ve addresses. Section 3. SCOPE OF SERVICES Contractor shall provide paramedic services within the LIMITS OF THE CITY OF CARLSBAD. Section 4. CRITERIA I Contractor shall have overall ‘responsibility for the development and operation of paramedic services in acc:ordance with the County criteria described in Attachment A. 1. COUNTY FIJRNISHED EQUIPMENT AND SERVICES Subject to the performance by the Contractor in a manner acceptable to the County, County agrees to provide to the Contractor the following: A. Certain items of medical equipment described by * on Attachment 5. Necessary communication equipment to operate B. the paramedic service as described by * on Attachment B. C. Replacement and maintenance of communication equipment. Section 6. CONTRACTOR FURNISHED PERSONNEL, EQUIPMENT AND REPORTS Subject to performance in a manner acceptable to the County, Contractor agrees to: A. Maintain and operate.one .fully equipped, supplied and manned MICU available for providing paramedic services seven days a week, twenty-four hours per day, on a year-round basis in accordance with criteria e. established by San Diego County. B. Staff the MICU with at least two paramedics at a.ll times. For purposes of this Agreement, paramedics shall be individuals certified by the County's Health Officer to operate as paramedics in page 3 of 9 '. '. ; .* . Naintain and replace, as needed, all medical equipment items contained in Attachment B. E. Insure that al-1 certified paramedics complete the continuing education required by the County. F. 'Submit reports in accordance with Section 19. Section 7. OTHER COMTRACTOR RESPONSIBILITIES Contractor further agrees to: - , A. Provide suitable protected facilities for housing the MICU ambulance. B. lblaintdin the MICU ambulance in a fully operational condition. C. Develop mutual aid agreements for providing ambulance service in the area in the event the ambulance is not operable, or away from the area of responsibility, D. Notify the Division of Emergency Medical Services jmmediately whenever any condition exists which adversely affects providing L) satisfactory ambulancc service. Section 8. INDEPENDENT CONTRACTOR Contractor is, for all purposes arising out of this Agreement, an independent Contractor, and no employee of Contractor is, for any purpose arising out of this Agreement, an employee of the County. ,. page 4 of 9'. -. INTEREST OF CONTRACT02 - Contractor covenants that Contractor presently has no interast, including but not limited to,. oth2r - projects or independent contracts, and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with ihe performance of services required to be performed under this Agreemznt. Contractor further covenants that in the performance of this Agreement no persons having any such interest shall be employed or retained by Contractor under this Agreenent-. . - Section 10. CC~4Pi~lSATIOr'.l . This is a no-cost agreement. County will make no reimbursements as. a result of this Agre2ment. Section 11. MODIFICATiO~lS AND EXTENSIO3S $ The Agreement may be modified at any time by th2 written consent of the part-ies. This 'document, however, fuily expresses all understandings of the parties concerning the matters covered herein. No addition to or alteration of the terms of this Agreement, and no verbal understanding of the parties, its officers, agents or employees! shall be valid unless made in the form of a written amendment to this Agreement, and duly approved and executed by the parties' authorized representatives. 1 page 5' of 9 1- . .- . .. Section 12. PROPERTY TITLE Title to expendable and 'ncn-exp2ndable property whose cost was borne in whole by County under this . Agreement will remain vested in the County upon termination of this Agreement. ,A Section 13. ASSIGWABILITY --I The Contractor shall not assign any intere'st in the Agreement, and shall not transf2r any interest in the same without prior written consent of County the re to. Section 14. TERMIt4ATION AND DEFAULT A. This Agreement nay be terminated for any reascn by either party giving sixty (60) days' written notice to other party's I designated representative, except as defined in "14.B" and "15" below. 8. County nay terminate this Agreement for 4 L default upon five (5) days' written notice if Contractor breeches'this Agreement or if Contractor refuses or fails to timely perform any of its duties under this Agreement. 1 Section 15. TERPlINATION OF HEW AWARD In Ithe event of termination prior to June 30, \ 19717, by HE14 of subject award with County, funding provided to Contractor under this Agreement shall 'likewise terminate at such time. In the event of such termination, County shall immediately inform Contractor's representative by telephone . and confirm such teraination in writing. Section 16. INDE?I?IITY . Contractor agrees to indernnify and hold harmless County, its officers, agents, and employees from and against all loss or expense (incfuding costs and attorney's fees) due to bodily injury, personal injury, professional/m?dica? malpractic2, ificludi-ng death at any time rgsulting therefrcrr, sustained by any person or persons or on account of danage to property, including loss of use thereof, arising out of or in conssquence of the performance of this Agresment, provided such injuries to persons or damages to property are due or claimed to be due to negligen,ce of the Contractor, its officers, P physicians, agents or employees. Contractor shall b have workers' compsnsation coverage for its employees under this Agreement. Section 17. AFFIRMATIVE ACTION - . Contractor and any subcontractors performing under this Agreement shall comply with the Affirmative Action Program for Vendors, as set forth in Article 111 (commencing at Section 84') of the San Diego County Administrative Code. RECORDS Contractor shall maintain' accura'te books and - accounting records relativg to this Agreement. - . Section 19. REPOFtTS A. Comply with the ambulance report system of b !;an Diego County by cornpleting a Prz-Hospital Report Form on every call made by the HICU or ambulances. B. Be selected by a local jurisdiction as the agency to provide -.I paramedic services for that jurisdiction." 4. Agree to abide by County Paramedic Program Standards. 5. Agree to respond only to emergency calls. 6. Insure that a back-up system of basic 'life support will be availabl to the Mobile Intensive Care Units. 7. Enter into mutual aid agreements with 'adjoining paramedic units. 8. Guarantee a maximum response time of 15 minutes in rural areas and 10 minutes in urban areas. .. 9. Agree to continuing education responsibilities as established by . the program. 10. Insure that paramedic services will continue to be provided as I stipulated for a minimum of two years following certification. 11. Submit a feasible plan of promotability (vertical ladder) to provide incentive for paramedics to remain in the program. ' 12.
