RESOLUTION NO. 88-142
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD, CALIFORNIA, APPROVING THE PURCHASE OF A
STRUCTURE FIRE PUMPER.

WHEREAS, it is desirable for the Structure Fire Pumper to be 5
WHEREAS, the City of Carlsbad desires to purchase a Structure Fir
6 using Section 3.28.160 Cooperative Purchasing;
7 WHEREAS, the purchase of the Structure Fire Pumper from Beck Fire
8 is in the best interest of the City.

Ex PURCHASE AGREEMENT TERMS AND CONDITIONS BETWEEN BECK FIRE APPARATUS AND CITY OF CARLSBAD, CALIFORNIA
1.01 DEFINITIONS
1.010 The word "City" shall mean the "City of Carlsbad, California" authorized representative.
1.011 The term "authorized representative" shall mean the Fire Chief and designee, and no other person. For the purpose of this agreement, t Chief of the Carl sbad Fire Department or his designee shall serve as te advisor to the Purchasing Officer, and shall assist and advise on all te matters pertaining to the materials? design, engineering principles equipment specified herein.
1.012 The word "Contractor" shall mean "Beck Fire Apparatus" and its aut representatives.
1.02 PRE-CONSTRUCTION CONFERENCE
The purchaser and contractor will participate in a pre-construction con to review and discuss the construction details after receipt of the order contractor but before construction commences.
All plans and specifications must be approved by the Department prior t of contract. Manufacturer must supply all expenses for motel, mei transportation for two (2) representatives of the Department to the where the apparatus is being built for two (2) inspection trips at t convenient to the Department as directed by the Fire Chief.
1.03 INSPECTION AND ACCEPTANCE
1.030 The City of Carlsbad, through its authorized representative, shall judge as the acceptability of materials, equipment and/or workmanship fl under this agreement.
1.031 All material, equipment and workmanship furnished must be in cor with specifications, and will be subject to inspection and acceptancc right is reserved to reject and return at the risk and expense of the con any portion of any shipment or schedule which may be defective or which f comply with specification without invalidating the other items li: schedul e.

1.033 An inspection by authorized representatives will be held Contractor's facility:
A. For a pre-construction conference.

1.04 DISPUTES
Except as otherwise provided in this agreement, any dispute arising und agreement which is not disposed of by agreement shall be decided by the Carlsbad through its authorized representatives who shall reduce his deci writing and mail, or otherwise furnish a copy thereof to the vendor< decision shall be final and binding on both parties.
1.05 CONTRACTOR'S SPECIFICATIONS
The Contractor must provide two (2) sets of specifications which apparatus assembly drawings, complete wiring diagrams and other infor Scaled drawings shall show both sides, rear and top views, location and compartments and hose beds, discharge gates, suction intakes, control valves, lights, overall dimensions of body, midship pump and water tank information shall be submitted at the preconstruction conference. specifications differ in any respect from the specifications contained attached exhi bits, the City shall be the sole judge of acceptance or re of same.
1.06 MANUALS
Literature from the pump manufacturer, including a pump curve, st i ncl uded.
The following items shall be delivered with each of the completed apparal
Two (2) detailed lubrication charts. Two (2) detailed wiring diagrams. Two (2) Parts Manuals. Two (2) Service Manuals. Two (2) Operators Manuals.
1.07 WARRANTIES
At the time of delivery, the Contractor shall deliver to the City one I of each of the certificates or forms properly completed and cover apparatus delivered:
A. Chassis manufacturer's certified warranty.
B. Accessory item information and warranties.
C. Beck apparatus warranties.
At the time of acceptance of this agreement, the vendor shall compl fol 1 owing :

If during a period of one (1) year from the final acceptance, there is a failure in any part of the apparatus or e due to defective material or workmanship, including latent defects, replace such part without cost to the City."

1.08 DELIVERY
Delivery shall be on the 2nd inspection trip, in Cloverdale, CA. Any c del ivery shall be included in the cost of the apparatus.
A competent delivery engineer shall arrive in Carlsbad two weeks after of the apparatus and shall instruct the Fire Department personnel in th operation and maintenance of the apparatus. The delivery engineer shal in the area for the period of time deemed necessary by the Fire Ch unless unusual circumstances prevai 1 , not to exceed two (2) days. The engineer shall be a full time employee of that company manufactur apparatus. The City is to provide a letter of self-insurance bet Contractor delivers the apparatus.
1.09 TESTING AND SPECIAL PROVISIONS
In addition to complying with the aforementioned detailed specificatic apparatus, as delivered shall comply with the following applicable pri listed in the latest edition of the National Fire Protection Asso Pamphlet 1901.
"Provisions applying to apparatus equipped with a fire pump." "Provisions applying to apparatus equipped with a hose body." "Provisions applying to apparatus equipped with a water tank." "Acceptance tests and requirements. I'
In all cases the detailed fire apparatus specifications, and detail apparatus chassis specifications, shall govern construction.

1.10 DELIVERY SCHEDULE
After receipt of purchase order, the agreed upon delivery date is establ.

1.11 FINAL ACCEPTANCE
Final acceptance will be recognized as payment in full from the City. TI will retain ten percent (10%) of the total purchase price until final accl is authorized by the Carl sbad Fire Department representative. The together with its authorized representative, will be the sole judge oi acceptance.
1.12 PAYMENT SCHEDULE AND TERMS
The City agrees to purchase from the Contractor a 1,000 G.P.M. Class "A" Beck Model FV-122TSB on a Ford C-8000 cab and chassis designed and built specifications contained in proposal dated April 11, 1988. The full p price for the 1,000 G.P.M. Class "A" Pumper, Beck Model FV-122TSB on a 8000 cab and chassis is $133,066.00.
Payments shall be made based upon the following schedule:
A. At delivery of the complete vehicle, after preliminary acc test: 90% of balance due.
B. Accompanying written notification of final acceptance of vehi later than two (2) weeks after delivery, the remaining 10% due.
C. Purchase Price: $133,066.00 Sales Tax: 7,983.96 TOTAL : $141,049.96
1.13 NOTICE
All notices, requests, demands and other communication shall be in writ sent by registered mai 1 , certified mail , or hand del i very addressed party's principal place of business.
