A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF CARLSBAD, CALIFORNIA, APPROVING AN AGREEMENT BETWEEN THE CITY OF CARLSBAD AND CARLSBAD PRINTING COMPANY FOR SPEEDY COPY SERVICE.

SPEEDY COPY SERVICE
THIS AGREEMENT, made and entered into this day of
1988, by and between the CITY OF CARLSBAD, California, a municipal corporat
hereinafter referred to as Yity" and CARLSBAD PRINTING COMPANY, herein;
referred to as "Contractor".
WITNESSETH
WHEREAS, the City does find that the proposal tendered by the Contra
for speedy copy services was a responsible proposal and of high standards;
WHEREAS, the City of Carlsbad does further find and determine that it w
be in the best interests of the City that said proposal be accepted and
contract be awarded to the Contractor;
NOW, THEREFORE, for and in consideration of the mutual covenants
promises of the parties hereto and upon the express terms and condit
thereinafter set forth, it is agreed by and between them, and each with
other, as follows:
1. This Agreement shall consist of and include the following docul
attached hereto, as Exhibit A, Bid Proposal.
2. The Contractor agrees to furnish all labor and materials for spl
copy services submitted in proposal dated May 20, 1988.
3. The Contractor shall provide pick up and delivery service, if requ.
by the City.
4. The Contractor shall furnish finished copies within 4 - 5 days a.
originals are received by Contractor.
5. The Contractor shall obtain and pay for a City of Carlsbad busir
license at the time of signing this Contract.

6. The Contractor shall comply with all Federal, State, County and
Statutes, Ordinances and Regulations, including Workers' Compensation and
Immigration Reforms Control Act of 1986.
7. This Agreement shall be for a period of one (1) year commencin
July 1, 1988 and ending on June 30, 1989. At the end of one (1) year, the
has the right to re-bid or renew the Agreement for three (3) additional one
year periods .
8. The Contractor shall also take and maintain during the life of
Agreement, Workers' Compensation Insurance covering all of Contractor's emplo
in a company satisfactory to the City and shall furnish to the City a certifi
issued by such company prior to the beginning of this Contract.
9. It is expressly understood and agreed that the Contractor herein nl
in the furnishing of all labor and materials provided in this Contract, is ac.
as an independent Contractor and not as an agent, servant or employee of
City.
10. This Agreement or any part thereof shall not be assigned by Contra1
without prior written consent of the City.
11. This Agreement may be amended or modified only by written agreen
signed by both parties, and failure on the part of either party to enforce
provision of this Agreement shall not be construed as a waiver of the righl
compel enforcement of such provision or provisions.
12. The Contractor shall be aware of the requirements of the Immigrat
Reform and Control Act of 1986 and shall comply with those requiremen
including but not limited to verifying the eligibility for employment of
agents, employees, sub-contractors and consultants that are included in t
Agreement.

13. Once each year, after the first six (6) months of this Agreement,
written request by the Contractor and approval of the Purchasing Officer,
prices shall be subject to change in accordance with the Consumer Price In
San Diego as published by the U.S. Department of Labor, based on one-half of
percentage change in the index from the first month of this Agreement to
succeeding anniversary thereof.
14. This Agreement may be terminated by either party by giving thirty
days written notice to the other, and this Agreement shall terminate forth’
thirty (30) days following the date such notice is given.
IN WITNESS WHEREOF, the parties hereto have executed this agreement in
day and year first above written.
