INC. FOR TELEPHONE SYSTEM MAINTENANCE. ~ I ~ ~ I BE IT RESOLVED by the City Council of the City of Carls California as follows: 1. That certain agreement between the City of Carl and ATEL Communications, Inc. of San Diego for maintenanc telephone system, a copy of which is attached,: hereto incorporated herein by reference, is hereby approved. 2. The Mayor of the City of Carlsbad is hereby author and directed to execute said agreement for and on behalf of City of Carlsbad. LE#VIS, Mal ATTEST: ALE* (SEAL) dT6iii~)ClerIc x 0 0 I b AGREEMENT FOR TELEPHONE SYSTEM MAINTENANCE This Agreement, made and entered into this 25 day of fl~~~s 1 4 - 1988, by and between the City of Carlsbad, California, a municipal corpora. hereinafter referred to as "City", and Ate1 Communications, Inc., herein; referred to as "Contractor". RECITALS City has purchased and installed three (3) NEC Neax 2400 IMS (SIM) telephone switches; and The warranty on the three (3) NEC Neax 2400 IMS (SIM) telephone swi. has expired; and City requires the services of a qualified firm to provide nece: maintenance of their telephone system; and Contractor possesses the necessary ski1 1 s and qual i fications to prc the services required by the City; NOW, THEREFORE, in consideration of these recitals and the mutual cover contained herein, City and Contractor agree as follows: 1. Contractor shall provide maintenance service of the City's telel system, the components of which are described on Exhibit "A", attache this Agreement. Said services shall include all equipment, labor materials. Contractor shall provide regular service on minor failure i Monday through Friday, excluding holidays, within twenty-four (24) t. from receipt of service request. Contractor shall provide emers service on major failures within two (2) hours from receipt of reql Major failure is defined as 50% of the incoming/outgoing service as I' working" and/or no station-to-station service within the,system. Emerg services shall be provided on a seven-day a week, 24-hour a day basi no additional charge. If on-site services are required, Contractor s \ 0 e be "on-site" within the time frame stated above. Maintenance ser' described in this Section shall be provided at the following cost: Site I (City Hall) $768 per month Site I1 (Safety Center) $552 per month Site I11 (Las Palmas) $393 per month 2. Contractor and City agree that this Agreement does not cover damage: or failure of, the system resulting from causes other than wear and from normal use, including misuse, negligence, accident, theft, al brown-outs and power surges, fire, flood, wind, lightning and other of God. Contractor shall, at no cost , provide City with a complete inventor working instruments operating off all three switches within thirty days of execution of this Agreement. 4. Contractor shall provide service on the three (3) Control Key PL Se Telephone Accounting System equipment, Monday through Friday, exclu holidays, within twenty-four (24) hours from receipt of service requ Maintenance services described in this Section shall be provided at following cost: $195 per year per system 5. Contractor shall provide regular service on the additional telephone 1 and their respective station equipment which are operating externally the three NEC switches as shown on Exhibit "B". Maintenance serv described in this Section shall be provided at the following cost: $36 per year per 1 ine \ 0 0 6. Contractor shall maintain public liability insurance for injuries incll accidental death, to any one person in an amount no less than One Mil Dollars (51,000,000.00) and subject to the same limit for each persc account of one accident, in an amount not less than One Million Dol ($1,000,000.00) ; and property damage insurance in an amount not 1 ess One Million Dollars ($1,000,000.00). 7. Contractor shall maintain a business license to operate in the Cit Carl sbad. 8. Contractor shall serve as the City's sole source for reporting trol Upon receipt of a trouble report, Contractor shall determine whether problem is equipment re1 ated or 1 ine re1 ated. Equipment re1 ated prot shall be fixed in accordance with the time frames established in Sec 1 of this Agreement. If a line problem, Contractor shall report tro to Pacific Bel 1 and ensure completion of necessary repairs. 9. Contractor shall provide "walk-throughs" for purposes of estimating c of adds, moves or changes at no charge to City if the walk-through required does not exceed thirty (30) minutes. If the time required exc 30 minutes, the Contractor's time shall be billed in accordance with rates set forth in Section 13. 10. Contractor's labor charges for work not covered by this mainten Agreement shall be $60 for the first hour (with a minimum charge of hour) , and $45 for each additional hour to be bi 1 led in 15-mi increments. No increase in these rates can occur during the term of Agreement nor during the second year if said Agreement is automatic renewed. All other training and services provided by Contractor shall be billt the cost of $45 per hour. 13. The term of the maintenance Agreement shall be one (1) year, commen on September 1, 1988, and shall be automatically extended by Information Systems Director for successive one (1) year periods no exceed a total of three (3) years unless cancelled by either part writing at least thirty (30) days prior to the annual renewal date. so renewed, the maintenance charges in Section 1 and Section 4 increase, but in no even shall such increase exceed eight percent ( If an increase is to occur, Contractor shall notify City in writinl such increase at least thirty (30) days prior to the annual renewal d 14. At any time during the term of this Agreement, City may cancel Agreement if Contractor fails to perform in accordance with the provi s of this Agreement. If Contractor fails to perform in accordance with provisions of this Agreement, City shall serve written notice to Contra1 via registered mail of City’s intent to cancel , and unless within ten days after service of such notice such violation is not corrected, I T * 0 shall notify via registered mail of cancellation to occur thirty days I service of notice. 15. Contractor may not transfer, assign, or subcontract this Agreement wi prior written consent of City. 16. Contractor shall submit monthly invoices for the maintenance serv. Any charges for services not covered by the maintenance charges sha separately invoiced. Payment shall be made in full by City within tl (30) days after receipt of invoice. 17. City will allow employees of Contractor reasonable access to the se addresses at hours consistent with the requirements of service. 18. It is expressly understood and agreed that the Contractor herein nam acting as an independent Contractor and not as an agent, serval employee of the City. 19. Maintenance provided under terms of this Agreement shall incorporat additions to the system. If additions or changes to the system considered significant, then an adjustment in the maintenance rates ! be negotiated and agreed upon by the Information Systems Director Contractor. .> 0 e 20.
