That the bid of PRINTMASTERS OF CARLSBAD, 5631 Palmer Way #K, C CA 92008, regarding the annual letterhead/envelope/business card printing on recycle is hereby approved. 2. That an Agreement between the City of Carlsbad and Printmasters of Carl1 printing services for the period of one year commencing January 1, 1991 through Decer 1991 with the option to renew for two one (1) year periods, a copy of which is attached "B, and made a part hereof, is hereby approved. 3. That the Mayor of the City of Carlsbad is hereby authorized and dirc execute said Agreement for, and on behalf of the City of Carlsbad. .... RAUTENKw&= 1 (SEAL) 13 14 15 16 17 18 20 21 22 23 24 25 26 27 28 1 2 I, w w 7, Exhibit "E AGREEMENT This AGREEMENT, made and entered into this day of , 1991, k and between the CITY OF CARLSBAD California, a municipal corporation, hereinafter referred 1 as "City'' and PRINTMASTERS OF CARLSBAD, hereinafter referred to as "Contractor." Witnesseth WHEREAS, the City does find that the proposal tendered by the Contractor for annui printing of letterhead/envelopes/business cards on recycled paper was a responsive propos; and of high standards; WHEREAS, the City does further find and determine that it would be in the best interesi of the City that said proposal be accepted and the contract be awarded to the Contractor; NOW, THEREFORE, for and in consideration of the mutual covenants and promises ( the parties hereto and upon the express terms and conditions thereinafter set forth, it is agree by and between them, and each with the other, as follows; 1. This Agreement shall consist of and include the following document attache hereto, as Exhibit "A', Bid Proposal. 2. The Contractor agrees to furnish all labor and materials for the printing ( letterhead/envelopes/business cards submitted in proposal dated November 2, 1 990. 3. 4. The Contractor shall provide pick-up and delivery service if required by the Cit! The Contractor shall furnish printed matter within five (5) working days after "proo is approved by the City. 5. The Contractor shall obtain and pay for a City of Carlsbad business license at th time of signing this Agreement. 0 e L 6. The Contractor shall comply with all federal, state, county and city statutes ordinances and regulations, including worker’s compensation and the Immigration Reforn Control Act of 1986, 7. This Agreement shall be for a period of one (1) year commencing on January 1 1991 and ending on December 31, 1991. At the end of one (1) year, the City has the right to re bid or renew the Agreement for two (2) additional one (1) year periods. 8. The Contractor shall also take and maintain during the life of this Agreement worker’s compensation insurance covering all of Contractor’s employees in a company satisfactory to the City and shall furnish to the City a certificate issued by such company prioi to the beginning of this Contract. 9. It is expressly understood and agreed that the Contractor herein named in the furnishing of all labor and materials provided in this Agreement, is acting as an independent Contractor and not as an agent, servant or employee of the City. 10. This Agreement [of any part thereof shall not be assigned by Contractor without prior written consent of the City. 11. This Agreement may be amended or modified only by written agreement signed by both parties, and failure on the part of either party to enforce any provision of this Agreement shall not be construed as a waiver of the right to compel enforcement of such provision or provisions. 12. The Contractor shall be aware of the requirements of the Immigration Reform and Control Act of 1986 and shall comply with those requirements, including but not limited to verifying the eligibility for employment of all agents, employees, sub-contractors and consultants that are included in this Agreement. 2 m e x 13. Once each year, after the first six (6) months of this Agreement, upon written request by the Contractor and approval of the Purchasing Officer, said prices shall be subject tu change in accordance with the Consumer Price Index, San Diego as published by the U.S. Department of Labor, based on one-half of the percentage change in the index from the first month of this Agreement to each succeeding anniversary thereof. 14. This Agreement may be terminated by either party by giving thirty (30) days written notice to the other, and this Agreement shall terminate forthwith thirty (30) days following the date such notice is given. IN WITNESS WHEREOF, the parties hereto have executed this Agreement in the day and year first above written.
