FOR THE PREPARATION OF A COMMU- 4 Ii CARLSBAD AND APPROPRIATING FUNDS. 5 6 7 8 WHEREAS, The City Council of the City of Carlsbad, Califor determined a need for the preparation of a Community Design and Land Use Barrio Carlsbad in conjunction with the General Plan; and 9 WHEREAS, a Master Plan is being prepared for the Village Redeve 10 12 Redevelopment Area. Coordinated planning efforts are crucial to the ultimate SI I.1 Area and a significant portion of the Barrio Area is either within and adjacer both the Barrio and Village; and l3 I WHEREAS, a strong planning effort for the Barrio Area will e1 l4 I 15 I1 development which will have a spill-over effect into the Village Redevelopment F l6 ll WHEREAS, Moore Iacofano Goltsman, Inc. has been determined to 17 I-g involvement with prior community meetings, and their understanding of the is: 18 consulting source because of their familiarity with the General Plan Upda need to be addressed; and 2o I1 WHEREAS, the City wishes to maintain consistency and continuity 21 1 methodology utilized by Moore Iacofano Goltsman, Inc. in earlier phases of the 22 23 24 WHEREAS, the Community Design and Land Use Plan needs to be 25 26 in an expeditious manner to coincide with the pending conclusion of the Gen Update. RAUTENKRANZ, City Clerk (SEAL) -2 - 0 0 EXHIBIT 1 F. .- AGREEMENT THIS AGREEMENT, made and entered into as of the 30th day 0: SEPTEMBER , 19 93 , by and between the CITY OF CARLSBAD, municipal corporation, hereinafter referred to as I8CITYtt, and MOOR IACOFANO GOLTSMAN, INC., hereinafter referred to as ttCONSULTANTt8 RECITALS CITY requires the services of a consultant to assist Cit planning staff in preparing a Community Design and Land Use Pla for Barrio Carlsbad; and CONSULTANT possesses the necessary skill and qualifications to provide the services required by the CITY; NOW, THEREFORE, in consideration of these recitals and tk mutual covenants contained herein, CITY and CONSULTANT agree a follows: 1. CONSULTANT'S OBLIGATIONS The CONSULTANT shall assist CITY staff in preparing Community Design and Land Use Plan for Barrio Carlsbad as i extension of the General Plan Update, Specific tasks shall incluc all items as outlined in Attachment A, attached and made a pal hereof. 2. CITY OBLIGATIONS The CITY shall make payment to the CONSULTANT as provided paragraph 6, IIPayment of Fees" of the Agreement. -1- Rev. 6/ 10/ 7- a 0 - The CITY shall make available to the CONSULTANT all current11 held plans, maps and background information. The CITY shall coordinate all meetings, including CIT'I hearings and associated noticing. The CITY shall provide the CONSULTANT with any goals, policies, standards, recommendations, or any other pertinenl information deemed necessary to prepare a Community Design and Lan Use Plan for Barrio Carlsbad as an extension of the Update of th General Plan. 3. PROGRESS AND COMPLETION The work under this contract will begin within five (5) day after receipt of notification to proceed by the CITY and b completed as agreed upon by both parties following th establishment of a schedule for completion of all tasks as outline in Attachment A. Extensions of time may be granted if requested k the CONSULTANT and agreed to in writing by the Planning Direct01 The Planning Director will give allowance for documented a1 substantiated unforeseeable and unavoidable delays not caused by lack of foresight on the part of the CONSULTANT, or delays causc by CITY inaction or other agencies' lack of timely action. 4. FEES TO BE PAID TO CONSULTANT The total shall not exceed the fee payable according Paragraph 6, "Payment of Fees," and shall be $49,800.00. No 0th compensation for services will be allowed except those ite covered by supplemental agreements per Paragraph 8, "Changes Work. Il ... -2- Rev. 6/ 10, t 0 0 5. DURATION OF CONTRACT This agreement shall extend for a period of six (6) months from date thereof. The contract may be extended for one (1) additional one (1) year period or part thereof, based upon satisfactory performance and the CITY'S needs. 6. PAYMENT OF FEES Payment of fees shall be made within thirty (30) days aftel receipt and approval of a monthly invoice submitted by CONSULTAN': to CITY. The CONSULTANT shall be paid for up to ninety percent 0: the compensable services for completion of the work as set forth i: Paragraph 1, @@Consultant Obligations@'. The final ten percent shal be paid, not to exceed the maximum amount provided for in Paragrap: 4, "Fees to be Paid to Consultantt1, to CONSULTANT within thirt (30) days of the Planning Director issuing the Notice of Completio of the contract as outlined in Paragraph 3," @@Progress an Completion1@. Monthly invoice shall bill CITY for each task completed ar for the percentage of each task partially completed in tk preceding month. All invoices shall be detailed and include written description of the tasks completed and tasks partial1 completed, and the total amount of requested payment as set fort in the schedule of fees (Attachment B). 7. FINAL SUBMISSIONS Within fifteen (15) days of completion and approval of t: Community Design and Land Use Plan, CONSULTANT shall deliver to t CITY a camera-ready copy and Word Perfect diskette of writt materials prepared during the course of the project, as well camera-ready copy of graphics and illustrations prepared for t -3- Rev. 6/10/ c 0 0 . project. CONSULTANT is preparing materials to support city staff in preparing the Cornunity Design and Land Use Plan (guidelines, concept maps and supporting drawings and illustrations), not thr plan itself. 8. CHANGES IN WORK If, in the course of the contract, changes seem merited by thc CONSULTANT or the CITY, and informal consultations with the othe: party indicate that a change in the conditions of the contract i warranted, the CONSULTANT or the CITY may request a change i contract. Such changes shall be processed by the CITY in th following manner: A letter outlining the required changes shall b forwarded to the CITY by CONSULTANT to inform them of the propose changes along with a statement of estimated changes in charges o time schedule. A supplemental agreement shall be prepared by th CITY and approved by the CITY according to the procedures describe in Carlsbad Municipal Code Section 3.28.172. Such supplementa agreement shall not render ineffective or invalidate unaffectc portions of the agreement. 9. COVENANTS AGAINST CONTINGENT FEES The CONSULTANT warrants that their firm has not employed c retained any company or person, other a bona fide employee workix for the CONSULTANT, to solicit or secure this agreement, and th; CONSULTANT has not paid or agreed to pay any company or persol other than a bona fide employee, any fee, commission, percentage brokerage fee, gift, or any other consideration contingent upon, ( resulting from, the award or making of this agreement. For breal or violation of this warranty, the CITY shall have the right annul this agreement without liability, or, in its discretion, -4- Rev. 6/ 10/ r 0 -0 - - deduct from the agreement price or consideration, or otherwise recover, the full amount of such fee, commission, percentage, brokerage fees, gift, or contingent fee. 10. NONDISCRIMINATION CLAUSE The CONSULTANT shall comply with the state and federal law: regarding nondiscrimination. 11. TERMINATION OF CONTRACT In the event of the CONSULTANT'S failure to prosecute deliver, or perform the work as provided for in this contract, th CITY may terminate this contract for nonperformance by notifyin the CONSULTANT by certified mail of the termination of th CONSULTANT. The CONSULTANT, thereupon, has five (5) working day to deliver said documents owned by the CITY and all work i progress to the Planning Director. The Planning Director shal make a determination of fact based upon'the documents delivered 1 CITY of the percentage of work which the CONSULTANT has performt which is usable and of worth to the CITY in having the contrac completed. Based upon that finding as reported to the CIr Manager, the Manager shall determine the final payment of tl contract. 12. DISPUTES If a dispute should-arise regarding the performance of wo under this agreement, the following procedure shall be used resolve any question of fact or interpretation not otherwi settled by agreement between parties. Such questions, if tk become identified as a part of a dispute among persons operati under the provisions of this contract, shall be reduced to writi by the principal of the CONSULTANT or the CITY Planning Directc -5- Rev. 6/ 10, - 0 0 - - A copy of such documented dispute shall be forwarded to bot1 parties involved along with recommended methods of resolution whicl would be of benefit to both parties. The City Planning Director 01 principal receiving the letter shall reply to the letter along wit1 a recommended method of resolution within ten (10) days. If thc resolution thus obtained is unsatisfactory to the aggrieved party a letter outlining the dispute shall be forwarded to the Cit Council for their resolution through the Office of the Cit Manager. The City Council may then opt to consider the directe solution to the problem. In such cases, the action of the Cit Council shall be binding upon the parties involved, althoug nothing in this procedure shall prohibit the parties seekir remedies available to them at law. 13. SUSPENSION OR TERMINATION OF SERVICES This agreement may be terminated by either party upc tendering thirty (30) days written notice to the other party. : the event of such suspension or termination, upon request of' tl CITY, the CONSULTANT shall assemble the work product and put sal in order for proper filing and closing and deliver said product ' CITY. In the event of termination, the CONSULTANT shall be pa for work performed to the termination date: however, the tot shall not exceed the lump sum fee payable under paragraph 4. T CITY shall make the final determination as to the portions of tas completed and the compensation to be made. 14. STATUS OF THE CONSULTANT The CONSULTANT shall perform the services provided for herc in CONSULTANT'S own way as an independent contractor and in pursl of CONSULTANT'S independent calling, and not as an employee of 1 -6- Rev. 6/ 10, - e 0 - CITY. CONSULTANT shall be under control of the CITY only as to the result to be accomplished, but shall consult with the CITY as provided for in the request for proposal. The CONSULTANT is an independent contractor of the CITY. The payment made to the CONSULTANT pursuant to the contract shall be the full and complete compensation to which the CONSULTANT i: entitled. The CITY shall not make any federal or state ta withholdings on behalf of the CONSULTANT. The CITY shall not b required to pay any workers' compensation insurance on behalf o the CONSULTANT. The CONSULTANT agrees to indemnify the CITY fo any tax, retirement contribution, social security, overtim payment, or workers' compensation payment which the CITY may b required to make on behalf of the CONSULTANT or any employee of th CONSULTANT for work done under this agreement. The CONSULTANT shall be aware of the requirements of tl' Immigration Reform and Control Act of 1986 and shall comply wil those requirements, including, but not limited to, verifying tl eligibility for employment of all agents, employees, subcontractol and consultants that are included in this agreement. 15. CONFORMITY TO LEGAL REOUIREMENTS The CONSULTANT shall cause all drawings and specifications - conform to all applicable requirements of law: federal, state a: local. CONSULTANT shall provide all necessary supporti documents, to be filed with any agencies whose approval necessary. The CITY will provide copies of the approved plans to a other agencies. ... -7- Rev. 6/ lo/ 0 0 f 16. OWNERSHIP OF DOCUMENTS All plans, studies, sketches, drawings, reports, and specifications as herein required are the property of the CITY, whether the work for which they are made be executed or not. Ir the event this contract is terminated, all documents, plans, specifications, drawings, reports, and studies shall be deliveret forthwith to the CITY. CONSULTANT shall have the right to make ont (1) copy of the plans for his/her records. 17. REPRODUCTION RIGHTS The CONSULTANT agrees that all copyrights which arise fro creation of the work pursuant to this contract shall be vested i CITY and hereby agrees to relinquish all claims to such copyright in favor of CITY. 18. HOLD HARMLESS AGREEMENT The CITY, its officers, and employees shall not be liable fc any claims, liabilities, penalties, fines, or any damage to good: properties, or effects of any person whatever, nor for person; injuries or death caused by, or resulting from, any intentional ( negligent acts, errors or omissions of CONSULTANT or CONSULTANT agents, employees, or representatives. CONSULTANT agrees ' defend, indemnify, and save free and harmless the CITY and i officers and employees against any of the foregoing clain . liabilities, penalties or fines, including liabilities or claims reason of alleged defects in any plans and specifications, and a cost, expense or attorney's fees which are incurred by the CITY account of any of the foregoing. 19. ASSIGNMENT OF CONTRACT The CONSULTANT shall not assign this contract or any pi -8- Rev. 6/10, - 1 0 e - thereof or any monies due thereunder without the prior written consent of the CITY. 20. SUBCONTRACTING If the CONSULTANT shall subcontract any of the Work to be performed under this contract by the CONSULTANT, CONSULTANT shall be fully responsible to the CITY for the acts and omissions oj CONSULTANT'S subcontractor and of the persons either directly 0' indirectly employed by the subcontractor, as CONSULTANT is for th acts and omissions of persons directly employed by consultant Nothing contained in this contract shall create any contractua relationship between any subcontractor of CONSULTANT and the CITY The CONSULTANT shall bind every subcontractor and ever subcontractor of a subcontractor by the terms of this contrac applicable to CONSULTANT'S work unless specifically noted to th contrary in the subcontract in question approved in writing by tk CITY. 21. PROHIBITED INTEREST No official of the CITY who is authorized in such capacity ( behalf of the CITY to negotiate, make, accept, or approve, or tal part in negotiating, making, accepting, or approving of th: agreement, shall become directly or indirectly interestc personally in this contract or in any part thereof. VERBAL AGREEMENT OR CONVERSATION No verbal agreement or conversation with any officer, agent, or employee of the CITY, either before, during or after thc execution of this contract, shall affect or modify any of the term or obligations herein contained nor entitle the CONSULTANT to an: additional payment whatsoever under the terms of this contract. 23. SUCCESSORS OR ASSIGNS Subject to the provisions of Paragraph 18, "Hold Hamles Agreement," all terms, conditions, and provisions hereof shal insure to and shall bind each of the parties hereto, and each o their respective heirs, executors, administrators, successors, an assigns. 24. EFFECTIVE DATE This agreement shall be effective on and from the day and yea first written above. 25. CONFLICT OF INTEREST The consultant shall not file a conflict of interest statemel with the city clerk in accordance with the requirements of the Cil of Carlsbad conflict of interest code. 26. INSURANCE The CONSULTANT shall obtain and maintain policies of generi liability insurance, automobile liability insurance, and a combin1 policy of worker's compensation and employers liability insuran from an insurance company authorized to do business in the State California which meets the requirements of City Council Resoluti No. 91-403 in an insurable amount of not less than one milli dollars ($1,000,000) each, unless a lower amount is approved by t City Attorney or the City Manager. IO, 1993 - Page BARRIO CARLSBAD COMMUNITY DESIGN PROCESS Scope of Services and Budget September IO, 1993 The overall objectives of the Community Participation Program for the Barrio Carlsbad Community Design Process are to: (i) Assist City staff in preparing an implementable Community Plan for the Barrio area; (ii) Educate and involve a diverse citizenry in the planning process; (iii) Provide a catalyst for Barrio area residents to discuss and articulate their views and opinions toward creating a visionary, yet realistic plan for the area's future. The following tasks are proposed to help achieve these objectives. The budget for these tasks i: included on the last page of this document. Information gathered in the interviews will be used to develop press information and to prepare for the upcoming community workshops. MIG will meet with City staff to identify interview participants, discuss potential questions, and review the draft and final interview questionnairc MIG will conduct 15 - 20 interviews which should last no longer than 45 60 minutes. A brief summary memorandum that details the results of the interviews will also be prepared. 1.2 Press Releases, Ads, Flyers This component of the outreach effort will ensure a high level of partici- pation in the Barrio Community Design process. For maximum progran effectiveness, the publicity effort will concentrate on distribution of information through local media channels, serving both English and non English speaking residents. A press release, announcement flyer, and newspaper ad will be released in advance of the two Community Workshops and the Community Presentation/Open House. In addition, special noticedflyers will be sent to targeted neighborhood groups and organizations to encourage their participation in the design process. 1.3 Project Area Orientation Tour The orientation tour will be scheduled prior to the first community workshop to familiarize City Staff, and City Council and Planning Commission members with the Barrio project area. Participants will be invited to take a walking tour of the project area led by members of the Barrio Carlsbad Associaticln to solicit their opinions about the areas' assets (strengths), liabilities, (weaknesses) and opportunities. This information will be used in preparing the Self-Guided Walking Tour Booklet (see Task 3.2) and. in preparing for Workshop #2, Alternative Planning Concepts. MIG will assist City staff in developing the walkin tour route and necessary materials (City stafswill take the primary lead this particular task). 9 e City of Carlsbad .. . Barrio Carlsbad Community Design Process 0 Proposed Scope of Work and Budget - MI Revised Sept. 10,1993 - Page Task 2: Project Presentation MIG will prepare an existing conditions slide presentation for the first Community Workshop. This presentation will summarize preliminary background information on the Barrio community area, including existing and projected data on population, housing, employment, land use, City services, etc. MIG will combine live action color slides and text, chart, table, and map slides to illustrate this background information and data. In addition, MIG will update the slide presentation twice: one update will be made and presented at the second Community Workshop and the second update will be presented at the Community Presentation/Open House. The slide show can be easily material. transferred to videotape to allow for a wider distribution of the presentation Task 3: Community Workshops (2) 3.1 Workshop Materials Preparation MIG will prepare workshop materials such as agendas, handouts, and comment sheets to be used at the workshops. In addition, MIG will prepare a "kit of parts" to facilitate hands-on involvement of participant: during the second Community Workshop, Alternative Planning Concepi Specific details on the hands-on exercise will be prepared and develope( with City staff later in the Community Design process. 3.2 Self-Guided Walking Tour Booklet To further orient community members to the plan area, MIG will develc an "easy-to-read-and-use" walking tour booklet. The booklet will be prepared and widely distributed to community members and other interested persons in an effort to further familiarize the comm nity to the area and solicit their comments regarding area visions, goals and issues. The booklet will include a tour route map, descrip- tive text and pictures, and space for comments and questions. Informa- tion contained in the booklet will be developed with input from the firs1 workshop. It will be made available to community members between Community Workshop #1 and #2. 3.3 Workshop Facilitation MIG will conduct two Community Workshops as part of the communit design process. The fist workshop will be a kick-off event and includ the background/project slide presentation (Task 2) and a discussion of visions, goals, and issues for Barrio project area. . The second worksh will occur after the community has had a chance to participate in the self-guided walking tour; it will focus primarily on the development of alternative planning concepts. Task 4: Community Presentationlopen House MIG will organize and conduct the Community Presentation/Open House. This event will provide the community with an opportunity to review the draft community concept plan for the Barrio area. This meeting is the culmination of the Barrio Carlsbad Community Design process in that it will bring together the materials from the previous two workshops, written comments from resident participating in the walking tour, and graphics prepared by the City and MIG. The format of this meeting is part presentation and part "open house." After presenting the draft concept plan, open house participants will be encouraged to walk around the meeting space to view the various graphics and illustrations prepared by the City and MIG. City and MIG staff will be stationed near the graphics to answer questions and receive additional feedback regarding the draft concept plan. Community comments will be summarized, presented to City Council and incorporated into the second phase of the project, Plan Preparation. Task 5: Project Management 5.1 Project Staff Meetings (4) MIG will meet with City staff to review project progress and plan for upcoming meetings and activities. One meeting will take place befol each workshop/meeting (3) and one meeting (1) will be scheduled to review outreach strategy and materials preparation. 5.2 City Council MeetingdPresentations (2) Working closely with City staff, MIG will conduct one kick-off'meeting to present the overall process to the Council and one additional meeting present the results of Phase I and seek direction from the Council for Phase TI. IO, 1993 - Page PHASE 11: PLAN PREPARATION The details of this phase will be worked out at the conclusion of Phase I, so that specific activities and work scope items can respond fully to Phase I results. Task 1: Community Planning and Design Concept Development 1.1 Planning and Design Guidelines Working closely with City staff, MIG will develop and illustrate responsi to community design priorities and alternative planning concepts developed during and after Community Workshop #2. The guidelines will also include information gleaned from researching other cities to see how they have responded to similar issues, etc. The guidelines along wil the concept maps and drawings and illustrations developed in Task 1 wil help form the foundation of the site development plan to be prepared by City staff at the conclusion of this community design effort. 1.2 Concept Map(s) MIG will work closely with City staff to prepare concept map(s) which begin to capture what residents felt were neighborhood focal points and desired land uses and activities within the project area. 1.3 Drawings and Illustrations MIG will work closely with City staff to prepare a series of drawings anl illustrations which begin to describe the types of architecture, building design and landscaping preferred by community residents. This informe will be included with the concept maps in the Planning and Design Guidelines document.
