That an Agreement between the City of Carlsbad and Corporate Expre 9 Activity Road, Suite A, San Diego CA 921 26 for the period of one year commencing Mti 10 11 through April 30, 1996 and may be renewed by the City Manager for three one (1) yea 12 a copy of which is attached as Exhibit "3" and made a part hereof, is hereby approved 13 3. That the Mayor of the City of Carlsbad is hereby authorized and diri 14 execute said Agreement for, and on behalf of the City of Carlsbad. 15 PASSED, APPROVED AND ADOPTED at a Regular Meeting of the Crty Council oi 16 of Carlsbad on the 25th day of APRIL , 1995, by the following vote, to NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of ( California, as follows: 1. That the bid of Corporate Express, 8940 Activity Road, Suite A, San C 921 26 for the annual contract for office supplies is hereby accepted. 17 AYES: Council Members Lewis, Kulchin, Finnila, Hall 18 19 20 21 22 23 24 25 26 27 NOES: None ABSENT: Council Member Nygaard ATTEST: ALETHA L. RAUTEN (SEAL) 28 0 0' EXHIBIT AGREEMENT THIS AGREEMENT, made and entered into this 26th day of APRIL , 1995, and between the CITY OF CARLSBAD, California, a municipal corporation, hereinafter referr to as "City" and Corporate Express , hereinafter referred to as "Contractc WITNESSETH WHEREAS, the City does find that the proposal tendered by the Contractor for ofl supplies was a responsive proposal and of high standards; WHEREAS, the City does further find and determine that it would be in the best intere of the City that said proposal be accepted and the contract be awarded to the Contractor; NOW, THEREFORE, for and in consideration for the mutual covenants and promises the parties hereto and upon the express terms and conditions thereinafter set forth, it is agre by and between them, and each with the other as follows: 1. This Agreement shall consist of and include the following document attach hereto, asAttachment "A" and "B", Bid Proposal. 2. The Contractor agrees to furnish all office supplies listed as submitted in propo: dated March 30, 1995. 3. The Contractor shall provide delivery service as required by the City. Delivery \ be within three working days after receipt of order. Back orders will be filled wit1 five working days for contracted items and within ten working days for off contr; items. Orders will be picked up a minimum of three times per week. 4. The Contractor will provide monthly and yearly usage reports sorted by C Department. The Contractor will provide Material Data Safety Sheets as requirf 5. The Contractor shall obtain and pay for a City of Carlsbad business license pr to signing this Agreement. 6. This Agreement shall be for a period of one (1) year commencing on May 1, 19 and ending on April 30, 1996. At the end of one (1) year, the City has the ric to re-bid or renew the Agreement for three (3) additional one (1) year periods. 7. It is expressly understood and agreed that the Contractor herein named in t furnishing of all labor and materials provided in this Contract, is acting as independent Contractor and not an agent, servant or employee of the City. 8. This agreement or any part thereof shall not be assigned by Contractor withc prior written consent of the City. 1 e 0' 9. This Agreement may be amended or modified only by wriien agreement sign€ by both parties, and failure on the part of either party to enforce any provision I this Agreement shall not be construed as a waiver of the right to comp enforcement of such provision or provisions. 10. The Contractor shall be aware of the requirements of the Immigration Reform ar Control Act of 1986 and shall comply with those requirements, including but nc limited to veriiing the eligibility for employment of all agents, employees, SUI contractors and consultants that are included in this Agreement. 11. Once each year, after the first six (6) months of this Agreement, upon writtf~ request by the Contractor and approval of the Purchasing Officer, said prices sh, be subject to change in accordance with the Consumer Price Index, San Die{ 'as published by the U.S. Department of Labor, based on one-half of tl percentage change in the index from the first month of this Agreement to eac succeeding anniversary thereof. 12. This Agreement may be terminated by either party by giving thirty (30) da written notice to the other, and this Agreement shall terminate forthwith thirty (2 days following the date such notice is given.
