HomeMy WebLinkAbout1995-10-03; City Council; Resolution 95-2870 0 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 RESOLUTION NO. 9 5 - 2 8 7 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD, CALIFORNIA, APPROVING THE EXTENSION AND AMENDMENT NO. 1 TO AN AGREEMENT WITH THE CARLSBAD CHAMBER OF COMMERCE TO PROVIDE PROFESSIONAL SERVICES RELATED TO THE PROMOTION OF THE CITY OF CARLSBAD WHEREAS, the City Council of the City of Carlsbad has determined that it is desirable and necessary to amend an agreement between the City of Carlsbad and the Carlsbad Chamber of Commerce to promote tourism and provide services to visitors to the City; and WHEREAS, continued services are needed to promote tourism and provide services to visitors to the City, and the Crty Council has further determined that the Carlsbad Chamber of Commerce and its subdivision, the Carlsbad Convention and Visitors Bureau, possess the necessary skills to provide these services to the City of Carlsbad; and WHEREAS, the Carlsbad Chamber of Commerce has agreed to provide these services under the existing terms and conditions of the original agreement and the Extension and Amendment to that agreement attached hereto. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad, California as follows: 1. That the above recitations are true and correct. 2. That the Extension and Amendment No. 1 , attached hereto as Attachment 1 , and made a part hereof, is hereby approved. That the Mayor is hereby authorized to execute the attached Extension and Amendment to the original agreement between the City of Carlsbad and the Carlsbad Chamber of Commerce to provide professional services related to the promotion of the City of Carlsbad. RAUTENKRANZ, City Clerk (SEAL) ., . \' P rl $2 e e AlTACHMENT f 1 EXTENSION AND AMENDMENT NO. 1 OF AGREEMENT BETWEEN THE CITY OF CARLSBAD AND THE CHAMBER OF COMMERCE TO PROVIDE PROMOTIONAL SERVICES REQUIRED BY THE CITY OF CARLSBAD The agreement dated October 27, 1994 between the CITY OF CARLSBAD, municipal corporation and the CARLSBAD CHAMBER OF COMMERCE to provic promotional services required by the City of Carlsbad is hereby extended throu! December 31, 1995. All other provisions in the original agreement shall remain in full force and efft except that Section 2. COMPENSATION is amended to read as follows: For the services described above the City will Compensate the Chamber in amount not to exceed $256,250 to be paid as described below: A. The total budget for the Convention and Visitor's Bureau shall be $291,2 The City will compensate the Chamber up to $256,250 as described bel( Administrative and Operation Costs $1 47,500 Programs 108,750 Total City Contribution $256,250 B. Payments for administrative and operation costs shall be made to Chamber in equal monthly installments by the 15th of each month for 15 months beginning October, 1994 and ending December, 1995. monthly pzyment will be $9,833.33. C. Payments for programs will be released to the Chamber up to a maxirr of $108,750. The disbursement of these funds are broken down into categories as follows: Unrestricted Program Funds $77,500 Matching Program Funds 31,250 Total Program Funds $1 08,750 E r - ., e e ' 'J Unrestricted program funds will be released to the Chamber as needed the maximum of $77,500. Funds will be released following the Cio receipt of a statement designating which programs funds will be applied 1 Within the unrestricted category, $8,750 is to be spent by the Conventic and Visitor's Bureau for local Community Promotion. The Chamber \I provide the City a list of community events and activities to which the funds will be applied during the first quarter of this contract. The remainil $68,750 can be utilized for programs as selected by the Chamber. Restricted program funds, not to exceed $31,250, will be released to t Chamber on a dollar for dollar basis as matching funds, in the form cash, are received by the Chamber. Payment of the program expenses \ be released at any time, upon receipt of a list from the Chamber indicati whsre matching funds came from.
