HomeMy WebLinkAbout2017-03-28; City Council; Resolution 2017-051RESOLUTION NO. 2017-051 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD, CALIFORNIA, APPROVING AMENDMENT NO. 2 TO THE PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF CARLSBAD AND TERI BLACK & COMPANY, LLC, FOR EXECUTIVE RECRUITING SERVICES. EXHIBIT 1 WHEREAS, the City Council ofthe City of Carlsbad, California has determined that it is necessary and in the public's interest to approve Amendment No. 2 to the Professional Services Agreement ("Agreement") dated July 12, 2016 with Teri Black & Company, LLC, for executive recruiting services; and WHEREAS, the current not to exceed amount of the Agreement is $100,000; and WHEREAS, Amendment No. 2 increases the annual limit of the Agreement to an amount not to exceed $200,000 based on an increase in the volume of work performed by Teri Black & Company, LLC. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad, California, as follows: 1. That the above recitations are true and correct. 2. That Amendment No. 2 to the Professional Services Agreement with Teri Black & Company, LLC, (attached hereto as Attachment A) for executive recruiting services is hereby approved and the annual compensation is increased to an amount not-to-exceed amount to two hundred thousand dollars ($200,000) per Agreement year. 3. The Administrative Services Director is authorized to appropriate up to $200,000 in various funds for contractual services. 4. That the Mayor on behalf of the City of Carlsbad is authorized and directed to execute Amendment No. 2. PASSED, APPROVED AND ADOPTED at a Regular Meeting of the City Council of the City of Carlsbad on the 28th day of March, 2017, by the following vote, to wit: AYES: M. Hall, K. Blackburn, M. AMENDMENTN0.2TOAGREEMENTFOR EXECUTIVE RECRUITING SERVICES TERI BLACK & COMPANY, LLC r--"")l e· r· I MJJis _Amendment No.2 is entered into and effective as of the ~ day of '.~ ?V\ , 2017, amending the agreement dated July 12, 2016 (the "Agreement") by and between the City of Carlsbad, a municipal corporation, ("City"), and Teri Black & Company, LLC, ("Contractor") (collectively, the "Parties") for executive recruiting services. RECITALS A. On August 30, 2016 the Parties executed Amendment No. 1 to the Agreement to amend Section 5 of the Agreement to increase the not-to-exceed compensation payable for the Services to be performed per Agreement year form $28,750 to $100,000 and to amend the scope of services; and B. The Parties desire to further modify and fund Section 5 of the Agreement to increase the not-to-exceed compensation payable for the Services to be performed to $200,000; and C. The Parties have negotiated and agreed to an amended scope of services, "Exhibit" A to include additional recruitments during the initial term of the contract. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows: 1. Section 5 of the Agreement, as may have been amended from time to time, is hereby amended and funded in an amount not-to-exceed two hundred thousand dollars ($200,000) per agreement year. 2. In addition to those services contained in the Agreement, as may have been amended from time to time, Contractor will provide those services as described in the amended scope of services hereby attached as "Exhibit A". 3. City will pay Contractor for all work associated with those services described in "Exhibit A" on a time and materials basis not-to-exceed two hundred thousand dollars ($200,000). Contractor will provide City, on a monthly basis, copies of invoices sufficiently detailed to include work performed, rates, and related activities and costs for approval by City. 4. All other provisions of the Agreement, as may have been amended from time to time, will remain in full force and effect. 5. All requisite insurance policies to be maintained by Contractor pursuant to the Agreement, as may have been amended from time to time, will include coverage for this Amendment. The individuals executing this Amendment and the instruments referenced in it on behalf of Contractor each represent and warrant that they have the legal power, right and actual authority to bind Contractor to the terms and conditions of this Amendment. The scope of work presented represents a comprehensive Community and Economic Development Director recruitment that includes the following services: • Develop ideal candidate profile in consultation with the clienUstakeholders • Design and execute advertising and marketing campaigns • Produce and distribute recruitment brochure (traditional & electronic mail) • Conduct extensive personal outreach activities • Conduct screening interviews • Develop and deliver written report to client (highlighting the results of the recruitment and subsequent screening interviews) • Design and facilitate candidate interviews with the client • Conduct background and reference checks (top candidate) • Assist client with final selection deliberations • Assist with negotiations and transition details PROFESSIONAL FEES The professional fee for the Community and Economic Development Director recruitment will be $19,000 for the Scope of Work articulated in this quote. This fee includes all onsite visits for the purpose of meeting with the Client and stakeholders as well as facilitating panel interviews and selection deliberation. Placement Guarantee If a candidate selected and appointed by the City of Carlsbad terminates employment for any reason before the completion of the first year of service as a result of a comprehensive TBC recruitment, the firm will provide Carlsbad with the necessary consulting services required to secure a replacement. Professional consulting services will be provided at a discounted rate of 25-50% of the original fee.1 Expenses will be covered by the Client. 1 To be negotiated at the time of re-engagement and will be dependent on scope of work needed to refill the position. Fee for Additional Placements Because of the challenging market for top talent, our clients are increasingly taking advantage of selecting more than one outstanding candidate from a single recruitment that will benefit the organization in a different capacity. In these instances, a $5,000 placement fee will apply and will include completion of background check records review as well as reference checking. LEAD CONSULTANT/PRIMARY CONTACT Teri Black will serve as the lead consultant and primary contact for this recruitment. Julie Yuan-Miu (Senior Recruiter) and TBC support staff will also be engaged in the successful completion of this assignment.
