HomeMy WebLinkAbout2017-09-12; City Council; Resolution 2017-181RESOLUTION NO. 2017-181 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CARLSBAD, CALIFORNIA, APPROVING A PROFESSIONAL SERVICES AGREEMENT FOR THE PREPARATION OF TECHNICAL STUDIES, PERMIT APPLICATIONS, CONSTRUCTION PLANS, SPECIFICATIONS, AND COST ESTIMATES WITH GHD, INC. FOR AN AMOUNT NOT TO EXCEED $563,060 FOR THE KELLY DRIVE AND PARK DRIVE ROAD DIET AND MULTIUSE TRAIL IMPROVEMENTS, PROJECT NO. 6075. EXHIBIT 1 WHEREAS, the City Council of the City of Carlsbad, California has determined that it is necessary and in the public interest to improve Kelly Drive and Park Drive; and WHEREAS, under Carlsbad Municipal Code section 3.28.060, the Department of Public Works solicited Statements of Qualifications (SOQs) from consultants for the preparation of technical studies, permit applications, construction plans, specifications and cost estimates for the Kelly Drive and Park Drive Road Diet and Multiuse Trail Improvements, Project No. 6075 (Project), and received a total of eight SOQs from qualified consulting firms; and WHEREAS, subsequent to a review of the SOQs, staff selected GHD, Inc. as the most qualified consultant for the Project; and WHEREAS, staff and GHD, Inc. have negotiated the scope of work and the associated fee in an amount not to exceed $563,060 to provide professional services; and WHEREAS, $2,360,000 in TransNet Local funding and $300,000 in General Capital Construction funding has previously been appropriated for the Project. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Carlsbad, California, as follows: 1. That the above recitations are true and correct. 2. That the mayor is authorized and directed to execute the Professional Services Agreement with GHD, Inc. for an amount not to exceed $563,060 for the Kelly Drive and Park Drive Road Diet and Multiuse Trail Improvements, Project No. 6075 which is attached hereto as Attachment A. (SEAL) TRAN1600 AGREEMENT FOR KELLY AND PARK ROAD DIET AND MULTI-USE TRAIL SERVICES GHD AG EEMENT is made and entered into as of the I '3-t::v\ day of --=r-,~ , 20.Q, by and between the CITY OF CARLSBAD, a municipal n, ("City"), and GHD, a California corporation, ("Contractor"). RECITALS A. City requires the professional services of a consultant that is experienced in professional design services. B. Contractor has the necessary experience in providing professional services and advice related to professional design services. C. Contractor has submitted a proposal to City and has affirmed its willingness and ability to perform such work. NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained herein, City and Contractor agree as follows: 1. SCOPE OF WORK City retains Contractor to perform, and Contractor agrees to render, those services (the "Services") that are defined in attached Exhibit "A", which is incorporated by this reference in accordance with this Agreement's terms and conditions. 2. STANDARD OF PERFORMANCE While performing the Services, Contractor will exercise the reasonable professional care and skill customarily exercised by reputable members of Contractor's profession practicing in the Metropolitan Southern California Area, and will use reasonable diligence and best judgment while exercising its professional skill and expertise. 3. TERM The term of this Agreement will be effective for a period of three (3) year from the date first above written. The City Manager may amend the Agreement to extend it for two (2) additional one ( 1) year periods or parts thereof. Extensions will be based upon a satisfactory review of Contractor's performance, City needs, and appropriation of funds by the City Council. The parties will prepare a written amendment indicating the effective date and length of the extended Agreement. 4. TIME IS OF THE ESSENCE Time is of the essence for each and every provision of this Agreement. 5. COMPENSATION The total fee payable for the Services to be performed during the initial Agreement term will be five hundred sixty-three thousand sixty dollars ($563,060). No other compensation for the Services will be allowed except for items covered by subsequent amendments to this Agreement. If the City elects to extend the Agreement, the amount shall not exceed seventy five thousand dollars ($75,000) per Agreement year. The City reserves the right to withhold a ten percent (10%) retention until City has accepted the work and/or Services specified in Exhibit "A". Incremental payments, if applicable, should be made as outlined in attached Exhibit "A". City Attorney Approved Version 2/29/16 TRAN1600 6. PREVAILING WAGE RATES Any construction, alteration, demolition, repair, and maintenance work, including work performed during design and preconstruction such as inspection and land surveying work, cumulatively exceeding $1,000 and performed under this Agreement are subject to state prevailing wage laws. The general prevailing rate of wages, for each craft or type of worker needed to execute the contract, shall be those as determined by the Director of Industrial Relations pursuant to the Section 1770, 1773 and 1773.1 of the California Labor Code. Pursuant to Section 1773.2 of the California Labor code, a current copy of applicable wage rates is on file in the office of the City Engineer. Contractor shall not pay less than the said specified prevailing rates of wages to all such workers employed by him or her in the execution of the Agreement. Contractor and any subcontractors shall comply with Section 1776 of the California Labor Code, which generally requires keeping accurate payroll records, verifying and certifying payroll records, and making them available for inspection. Contractor shall require any subcontractors to comply with Section 1776. 7. STATUS OF CONTRACTOR Contractor will perform the Services in Contractor's own way as an independent contractor and in pursuit of Contractor's independent calling, and not as an employee of City. Contractor will be under control of City only as to the result to be accomplished, but will consult with City as necessary. The persons used by Contractor to provide services under this Agreement will not be considered employees of City for any purposes. The payment made to Contractor pursuant to the Agreement will be the full and complete compensation to which Contractor is entitled. City will not make any federal or state tax withholdings on behalf of Contractor or its agents, employees or subcontractors. City will not be required to pay any workers' compensation insurance or unemployment contributions on behalf of Contractor or its employees or subcontractors. Contractor agrees to indemnify City within thirty (30) days for any tax, retirement contribution, social security, overtime payment, unemployment payment or workers' compensation payment which City may be required to make on behalf of Contractor or any agent, employee, or subcontractor of Contractor for work done under this Agreement. At the City's election, City may deduct the indemnification amount from any balance owing to Contractor. 8. SUBCONTRACTING Contractor will not subcontract any portion of the Services without prior written approval of City. If Contractor subcontracts any of the Services, Contractor will be fully responsible to City for the acts and omissions of Contractor's subcontractor and of the persons either directly or indirectly employed by the subcontractor, as Contractor is for the acts and omissions of persons directly employed by Contractor. Nothing contained in this Agreement will create any contractual relationship between any subcontractor of Contractor and City. Contractor will be responsible for payment of subcontractors. Contractor will bind every subcontractor and every subcontractor of a subcontractor by the terms of this Agreement applicable to Contractor's work unless specifically noted to the contrary in the subcontract and approved in writing by City. 9. OTHER CONTRACTORS The City reserves the right to employ other Contractors in connection with the Services. 10. INDEMNIFICATION Contractor agrees to indemnify and hold harmless the City and its officers, officials, employees and volunteers from and against all claims, damages, losses and expenses including attorneys fees arising out of the performance of the work described herein caused by any negligence, City Attorney Approved Version 2/29/16 2 TRAN1600 recklessness, or willful misconduct of the Contractor, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable. The parties expressly agree that any payment, attorney's fee, costs or expense City incurs or makes to or on behalf of an injured employee under the City's self-administered workers' compensation is included as a loss, expense or cost for the purposes of this section, and that this section will survive the expiration or early termination of this Agreement. 11. INSURANCE Contractor will obtain and maintain for the duration of the Agreement and any and all amendments, insurance against claims for injuries to persons or damage to property which may arise out of or in connection with performance of the services by Contractor or Contractor's agents, representatives, employees or subcontractors. The insurance will be obtained from an insurance carrier admitted and authorized to do business in the State of California. The insurance carrier is required to have a current Best's Key Rating of not less than "A-:VII"; OR with a surplus line insurer on the State of California's List of Approved Surplus Line Insurers (LASLI) with a rating in the latest Best's Key Rating Guide of at least "A:X"; OR an alien non-admitted insurer listed by the National Association of Insurance Commissioners (NAIC) latest quarterly listings report. 11.1 Coverage and Limits. Contractor will maintain the types of coverage and minimum limits indicated below, unless the Risk Manager or City Manager approves a lower amount. These minimum amounts of coverage will not constitute any limitations or cap on Contractor's indemnification obligations under this Agreement. City, its officers, agents and employees make no representation that the limits of the insurance specified to be carried by Contractor pursuant to this Agreement are adequate to protect Contractor. If Contractor believes that any required insurance coverage is inadequate, Contractor will obtain such additional insurance coverage, as Contractor deems adequate, at Contractor's sole expense. The full limits available to the named insured shall also be available and applicable to the City as an additional insured. 11.1.1 Commercial General Liability Insurance. $2,000,000 combined single-limit per occurrence for bodily injury, personal injury and property damage. If the submitted policies contain aggregate limits, general aggregate limits will apply separately to the work under this Agreement or the general aggregate will be twice the required per occurrence limit. 11.1.2 Automobile Liability. (if the use of an automobile is involved for Contractor's work for City). $1,000,000 combined single-limit per accident for bodily injury and property damage. 11.1.3 Workers' Compensation and Employer's Liability. Workers' Compensation limits as required by the California Labor Code. Workers' Compensation will not be required if Contractor has no employees and provides, to City's satisfaction, a declaration stating this. 11.1.4 Professional Liability. Errors and omissions liability appropriate to Contractor's profession with limits of not less than $1,000,000 per claim. Coverage must be maintained for a period of five years following the date of completion of the work. 11.2 Additional Provisions. Contractor will ensure that the policies of insurance required under this Agreement contain, or are endorsed to contain, the following provisions: 11.2.1 The City will be named as an additional insured on Commercial General Liability which shall provide primary coverage to the City. City Attorney Approved Version 2/29/16 3 TRAN1600 11.2.2 Contractor will obtain occurrence coverage, excluding Professional Liability, which will be written as claims-made coverage. 11.2.3 This insurance will be in force during the life of the Agreement and any extensions of it and will not be canceled without thirty (30) days prior written notice to City sent by certified mail pursuant to the Notice provisions of this Agreement. 11.3 Providing Certificates of Insurance and Endorsements. Prior to City's execution of this Agreement, Contractor will furnish certificates of insurance and endorsements to City. 11.4 Failure to Maintain Coverage. If Contractor fails to maintain any of these insurance coverages, then City will have the option to declare Contractor in breach, or may purchase replacement insurance or pay the premiums that are due on existing policies in order to maintain the required coverages. Contractor is responsible for any payments made by City to obtain or maintain insurance and City may collect these payments from Contractor or deduct the amount paid from any sums due Contractor under this Agreement. 11.5 Submission of Insurance Policies. City reserves the right to require, at any time, complete and certified copies of any or all required insurance policies and endorsements. 12. BUSINESS LICENSE Contractor will obtain and maintain a City of Carlsbad Business License for the term of the Agreement, as may be amended from time-to-time. 13. ACCOUNTING RECORDS Contractor will maintain complete and accurate records with respect to costs incurred under this Agreement. All records will be clearly identifiable. Contractor will allow a representative of City during normal business hours to examine, audit, and make transcripts or copies of records and any other documents created pursuant to this Agreement. Contractor will allow inspection of all work, data, documents, proceedings, and activities related to the Agreement for a period of three (3) years from the date of final payment under this Agreement. 14. OWNERSHIP OF DOCUMENTS All work product produced by Contractor or its agents, employees, and subcontractors pursuant to this Agreement is the property of City. In the event this Agreement is terminated, all work product produced by Contractor or its agents, employees and subcontractors pursuant to this Agreement will be delivered at once to City. Contractor will have the right to make one (1) copy of the work product for Contractor's records. 15. COPYRIGHTS Contractor agrees that all copyrights that arise from the services will be vested in City and Contractor relinquishes all claims to the copyrights in favor of City. CONFLICT OF INTEREST Contractor shall file a Conflict of Interest Statement with the City Clerk in accordance with the requirements of the City of Carlsbad Conflict of Interest Code. The Contractor shall report investments or interests in all four categories. 18. GENERAL COMPLIANCE WITH LAWS Contractor will keep fully informed of federal, state and local laws and ordinances and regulations which in any manner affect those employed by Contractor, or in any way affect the performance of the Services by Contractor. Contractor will at all times observe and comply with these laws, ordinances, and regulations and will be responsible for the compliance of Contractor's services with all applicable laws, ordinances and regulations. Contractor will be aware of the requirements of the Immigration Reform and Control Act of 1986 and will comply with those requirements, including, but not limited to, verifying the eligibility for employment of all agents, employees, subcontractors and consultants whose services are required by this Agreement. 19. DISCRIMINATION AND HARASSMENT PROHIBITED Contractor will comply with all applicable local, state and federal laws and regulations prohibiting discrimination and harassment. 20. DISPUTE RESOLUTION If a dispute should arise regarding the performance of the Services the following procedure will be used to resolve any questions of fact or interpretation not otherwise settled by agreement between the parties. Representatives of Contractor or City will reduce such questions, and their respective views, to writing. A copy of such documented dispute will be forwarded to both parties involved along with recommended methods of resolution, which would be of benefit to both parties. The representative receiving the letter will reply to the letter along with a recommended method of resolution within ten ( 10) business days. If the resolution thus obtained is unsatisfactory to the aggrieved party, a letter outlining the disputes will be forwarded to the City Manager. The City Manager will consider the facts and solutions recommended by each party and may then opt to direct a solution to the problem. In such cases, the action of the City Manager will be binding City Attorney Approved Version 2/29/16 5 TRAN1600 upon the parties involved, although nothing in this procedure will prohibit the parties from seeking remedies available to them at law. 21. TERMINATION In the event of the Contractor's failure to prosecute, deliver, or perform the Services, City may terminate this Agreement for nonperformance by notifying Contractor by certified mail of the termination. If City decides to abandon or indefinitely postpone the work or services contemplated by this Agreement, City may terminate this Agreement upon written notice to Contractor. Upon notification of termination, Contractor has five (5) business days to deliver any documents owned by City and all work in progress to City address contained in this Agreement. City will make a determination of fact based upon the work product delivered to City and of the percentage of work that Contractor has performed which is usable and of worth to City in having the Agreement completed. Based upon that finding City will determine the final payment of the Agreement. Either party upon tendering thirty (30) days written notice to the other party may terminate this Agreement. In this event and upon request of City, Contractor will assemble the work product and put it in order for proper filing and closing and deliver it to City. Contractor will be paid for work performed to the termination date; however, the total will not exceed the lump sum fee payable under this Agreement. City will make the final determination as to the portions of tasks completed and the compensation to be made. 22. COVENANTS AGAINST CONTINGENT FEES Contractor warrants that Contractor has not employed or retained any company or person, other than a bona fide employee working for Contractor, to solicit or secure this Agreement, and that Contractor has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage, brokerage fee, gift, or any other consideration contingent upon, or resulting from, the award or making of this Agreement. For breach or violation of this warranty, City will have the right to annul this Agreement without liability, or, in its discretion, to deduct from the Agreement price or consideration, or otherwise recover, the full amount of the fee, commission, percentage, brokerage fees, gift, or contingent fee. 23. CLAIMS AND LAWSUITS By signing this Agreement, Contractor agrees that any Agreement claim submitted to City must be asserted as part of the Agreement process as set forth in this Agreement and not in anticipation of litigation or in conjunction with litigation. Contractor acknowledges that if a false claim is submitted to City, it may be considered fraud and Contractor may be subject to criminal prosecution. Contractor acknowledges that California Government Code sections 12650 et seq., the False Claims Act applies to this Agreement and, provides for civil penalties where a person knowingly submits a false claim to a public entity. These provisions include false claims made with deliberate ignorance of the false information or in reckless disregard of the truth or falsity of information. If City seeks to recover penalties pursuant to the False Claims Act, it is entitled to recover its litigation costs, including attorney's fees. Contractor acknowledges that the filing of a false claim may subject Contractor to an administrative debarment proceeding as the result of which Contractor may be prevented to act as a Contractor on any public work or improvement for a period of up to five (5) years. Contractor acknowledges debarment by another jurisdiction is grounds for City to terminate this Agreement. 24. JURISDICTION AND VENUE Any action at law or in equity brought by either of the parties for the purpose of enforcing a right or rights provided for by this Agreement will be tried in a court of competent jurisdiction in the County of San Diego, State of California, and the parties waive all provisions of law providing for a change of venue in these proceedings to any other county. SUCCESSORS AND ASSIGNS It is mutually understood and agreed that this Agreement will be binding upon City and Contractor and their respective successors. Neither this Agreement nor any part of it nor any monies due or to become due under it may be assigned by Contractor without the prior consent of City, which shall not be unreasonably withheld. 26. ENTIRE AGREEMENT This Agreement, together with any other written document referred to or contemplated by it, along with the purchase order for this Agreement and its provisions, embody the entire Agreement and understanding between the parties relating to the subject matter of it. In case of conflict, the terms of the Agreement supersede the purchase order. Neither this Agreement nor any of its provisions may be amended, modified, waived or discharged except in a writing signed by both parties. Of equal importance would be a thorough understanding of the City's expectations in relation to the project objectives, priorities, and schedule. Project specific criteria/requirements will also be discussed such as; limitations with regard to the alteration of specific infrastructure or existing conditions and movements, the extent that the various portions of the facility need to remain in use during construction, and school and local event dates that may restrict the ability to perform certain site investigation, to name a few. Deliverables: Kickoff Meeting Agenda Kickoff Meeting Minutes 1.2 Project Management Plan GHD will develop a detailed Project Management Plan (PMP) that is shared with all team members especially the City of Carlsbad (City). This document provides a detailed plan for the execution of the project. It shall also include the roles and responsibilities of each team member and an independent Quality Control plan that includes each task. The PMP is a living document and will be updated as required by the project needs. Deliverables: Up to Two (2) Monthly status reports accompanying monthly invoices 1.5 Value Engineering Value Engineering is a process to improve the value of the project in accordance with the City's needs at the lowest overall cost. The Value Engineering process consists of several steps: • Information: Gather information to better understand the project. • Function Analysis: Analyze the project to understand and clarify the required functions. • Creative: Generate ideas on all the possible ways to accomplish the required functions. • Evaluation: Synthesize ideas and concepts and select those that are feasible for development into specific value improvements. • Development: Select and prepare the 'best' alternative(s) for improving value. These steps will be integral with the design development. They will be presented and discussed at a Value Engineering Presentation at the Team Meeting and documented/summarized in the Team meeting minutes. Deliverables: Value Engineering Presentation 1.6 Project Coordination and Management Scheduling and Resource Planning is a continuous process that requires daily attention. GHD's Project Manager conducts weekly meetings to ensure appropriate staff members are assigned/scheduled based upon project needs as they change throughout the project design phases. Project coordination also includes communication with all design disciplines, including subconsultants to ensure that the appropriate level of coordination between disciplines is taking place. Project Management and Coordination Preliminary Engineering (Phase 1) will be for a duration of two (2) months. Kelly Drive & Park Drive Road Diet & Multi-Use Trail 2 Page 109 TASK 2 INVESTIGATIONS 2.1 Utility Investigation and Data Collection Utility investigation and data collection will be initiated immediately after project NTP and will include direct coordination with utility companies in the area and collection of as-built information. All known utilities, in the project area, will be contacted, informed of the project and asked to identify their facilities within the project area. Subsurface Utility Engineering (SUE) services consist of utility locating. All utility information collected will be included in an electronic reference file for use during design development. Deliverables: Correspondence with utility companies As-built plans AutoCAD Utility reference file to be used in project development 2.2 Topographical Survey Topographical data collection will be initiated upon project NTP and will include aerial mapping as well as ground topographical survey to supplement the aerial data. Ground survey will include gravity utility and stormdrain inverts, detailed topo information for curb ramps, edge conditions and tie-ins, etc. Surface mapping will be established with one-foot contours at 30-scale up to 75 feet outside of the project area. The effort also includes establishment of a boundary survey to establish record boundary right-of-way mapping. All surveys will be based on City of Carlsbad standards and delivered in an AutoCAD format using NAO '83 horizontal and NGVD '29 vertical datum including. Deliverables: AutoCAD base file with one-foot contours, topographical features and right-of-way boundaries. 2.3 Preliminary Design Preliminary design will include the following ; • Preliminary layout of project improvements suitable for demonstrating incorporation of project objectives and providing maximum limits of construction for development of environmental and stormwater consideration and review. Kelly Drive & Park Drive Road Diet & Multi-Use Trail 3 Page 110 g • it • The design will provide multi-modal user enhancements to Kelly Drive and Park Drive utilizing complete streets and creating new trail linkage from El Camino Real to the north side of Agua Hedionda Lagoon. • Limit impervious surfaces so as not to exceed thresholds requiring substantial changes in design as required, to meet storm water regulations. • All common areas shall be considered for enhancement. • Evaluate other possible improvements within the project area for existing conditions not specifically identified for improvement. Deliverables: Preliminary Design Sheets Documentation of existing and proposed impervious area quantities 2.4 Cost Feasibility Study The cost effectiveness and feasibility of the preliminary design concepts will be evaluated as the preliminary design is developed. The determination of effectiveness and/or comparative cost analysis will be used to refine or eliminate alternatives. Deliverables: Documentation of cost analysis performed during preliminary design process PHASE 2 -FINAL ENGINEERING TASK 3 PROJECT MANAGEMENT 3.1 Team Meetings GHD's Project manager will schedule and facilitate Team Meetings with the City's Project Manager, GHD's Project Manager and key team members that involved with the topics that are to be discussed/coordinated. Deliverables: Up to ten (10) Team Meeting Agendas Up to ten (10) Team Meeting Minutes including Action items Kelly Drive & Park Drive Road Diet & Multi-Use Trail 4 Page 111 3.2 Public Information Meetings GHD will facilitate Public/Stakeholder informational meetings. The meetings will be primarily be for dissemination of information regarding the project and will account for previously identified project improvement conceP,tS, subsequent project refinements, opportunities for additional improvements, benefits to the community and assets that require protection and/or other constraints. Deliverables: Facilitation of up to three (3) information dissemination meetings. Documentation of meeting events and outcomes 3.3 Monthly Status Reports Prior to each invoice, GHD's Project Manager will review project progress for consistency with the PMP, develop a Status Report and ensure that the billing is commensurate with the work progress and the estimated fee for services rendered to date. Deliverables: Up to Ten (10) Monthly status reports accompanying monthly invoices 3.4 Constructability Review A Constructability review is intended to facilitate an efficient project development process to ensure the project design is cost effective, to minimize potential change orders during construction and to provide a buildable and biddable construction bid package while meeting project goals. Emphasis of the constructability review process for this project will include: • Environmental impacts • Right-of-way impacts • Stormwater requirements • Permit requirements • Overall project cost Deliverables: Constructability review memorandum , including project design recommendations 3.5 Project Coordination and Management Scheduling and Resource Planning is a continuous process that requires daily attention. Project coordination also includes communication with all design disciplines to ensure that the appropriate level of coordination between disciplines is taking place. Project Management and Coordination Preliminary Engineering (Phase 2) will be for a duration of twelve (12) months. TASK 4 TECHNICAL STUDIES AND ENVIRONMENTAL CLEARANCE 4.1 Biological Resources Technical Study The GHD team will complete the required biological resources technical study in order to demonstrate project consistency with the Carlsbad Habitat Management Plan (HMP) and support California Environmental Quality Act (CEQA) review for the project. Conduct a general biological survey to map vegetation communities/habitat types; assess the suitability of habitat for special-status plant and animal species; preliminarily map potential jurisdictional waters and wetlands; and identify other sensitive biological resources present or with potential to occur. The survey will include the approximate improvement areas and additional areas within 50 feet surrounding the impact areas to account for potential changes in design, staging, and/or storage areas. If potential jurisdictional resources are confirmed present, we will conduct a formal jurisdictional delineation in accordance with current methodologies and regulatory guidance provided by the U.S. Army Corps of Engineers (USACE), Regional Water Quality Control Board (RWQCB), California Department of Fish and Wildlife (CDFW), and California Coastal Commission (CCC). The delineation will accurately map and quantify areas of potential jurisdiction, including waters of the U.S. regulated by the USACE pursuant to Clean Water Act (CWA) Section 404, waters of the State regulated by the RWQCB pursuant to CWA Section 401, streambed and riparian habitat regulated by the CDFW pursuant to California Fish and Game Code (CFG Code) Sections 1600 et seq., and Coastal Wetlands regulated by the CCC pursuant to the California Coastal Act, given the location within a Deferred Certification Area within the City's Local Coastal Plan (LCP). Deliverables: Two (2) draft and one (1) final Biological resources technical report to support HMP consistency determination and CEQA review for the project by the City. Assumptions: Analysis of only one version of the site plan and project description in preparing the draft report. Preparation of two iterations of the draft report in responding to City comments prior to preparing the final report. Kelly Drive & Park Drive Road Diet & Multi-Use Trail 6 Page 113 4.2 Cultural Resources Technical Study Obtain a records search from the South Coastal Information Center; contact the Native American Heritage Commission (NAHC) for a Sacred Lands File search and list of Native American contacts; contact the local Native American community, as identified by the NAHC; review historic maps and aerial photographs of the project area; conduct a field survey, assuming 50 feet on each side of centerline, approximately 1.1 mile long; include a Native American monitor during the fieldwork. Deliverables: · Two (2) draft and one (1) final Cultural resources report detailing the methods and results of the study, as well as recommendations. Assumptions: Two iterations of the draft report in responding to City comments prior to preparing the final report. 4.3 Geotechnical Investigation Report The geotechnical investigation will consist of up to three (3) borings, up to ten (10) feet deep each. Materials sampling and testing will conducted on materials samples from each of the borings to include R-Value, in situ moisture content and soluble sulfate content. The geotechnical investigation will also include three (3) percolation tests, used to determine design infiltration rates. Deliverables: One (1) draft and one (1) final Geotechnical Memorandum Report presenting a summary of findings, conclusions, and recommendations Assumptions: Previous Geotechnical Reports within the project area are available for review 4.4 Hydraulics & Hydrology Report GHD will review the City's Drainage Master Plan, and conduct a Hydraulics and Hydrology records and information search for off-site and regional stormwater information and previous reports pertaining to the Agua Hedionda Creek Watershed. Offsite tributary flows will be based on record documentation and if found to exist will be incorporated in to the design for the pertinent flood event frequencies. GHD will develop an existing on-site hydrology model that will be used as a base condition for the subsequent development of the hydraulic model and ultimately the project stormdrain design. The focus of the design development of an efficient stormwater system in coordination with other design disciplines that is in conformance with all City and regional water quality guidelines and requirements including MS-4 permit requirements as specified by the California Regional Water Quality Control Board. Kelly Dnve & Park Dnve Road Diet & Multi-Use Trail 7 Page 114 Deliverables: One (1) draft and one (1) final Hydraulic & Hydrology Report including a standard project requirement checklist (E-36) Assumptions: Improvements to the existing Agua Hedionda Creek channel and lateral connections is not a part of this project. Any upsizing or relocation of catch basins will be designed tie into the existing storm drain system within the street right of way. Flood retention or attenuation will be based on requirements outlined in the BMP Manual and design elements of the SWQMP for Low Impact Development (LID) and Hydromodification and incorporated in the BMP design. 4.5 Storm Water Quality Management Plan (SWQMP) GHD will utilize the "Green Streets" approach to water quality treatment. We will follow City guidelines outlined in their MS4 permit and City BMP Manual to establish water quality BMP design to treat runoff from the public right of way to the maximum extent practicable. Preferred methods of treatment to retain the 24 hour 85th percentile storm volume will be assessed and BMP design will be based on infiltration rate results provided by the Geotechnical Engineer. If infiltration is not feasible, GHD will design treatment BMPs for Bio-filtration. GHD will determine if the project is subject to hydromodification and if it deemed so, will provide pollutant control measures to comply with hydromodifciation requirements. Deliverables: One (1) draft and one (1) final SWQMP Assumptions: SWQMP will follow guidelines outlined in the City's BMP Manual BMP design will be based on infiltration rates provided by the Geotechnical Engineer "Green Streets" method of water quality treatment is the preferred approach to water quality treatment Water Quality BMP design plans will be based on the recommendations in the SWQMP. 4.6 Stormwater Pollution Prevention Plan (SWPPP) GHD will prepare a SWPPP and all associated exhibits and Permit Registration Documents (PRD's) in accordance with the Construction General Permit Order 2009-009-DWQ (CGP) for Discharges of Storm Water Associated with Construction Activity (effective July 17, 2012). The CGP requires that Kelly Drive & Park Drive Road Diet & Multi-Use Trail 8 Page 115 the person(s) performing certain tasks listed under this proposal be trained as a Qualified Stormwater Practitioner (QSP) and Qualified Stormwater Developer (QSD). Deliverables: SWPPP and filing NOi in SMARTS Assumptions: An advanced treatment system (ATS) is not necessary. One site visit to assess the project site for developing BM P's will be required. No extensive site- or client specific training is required for conducting this inspection. GHD's SWPPP format is acceptable and only one round of review and revision will be required. The permit application fee will be paid by the City and is excluded from GHD's estimated fee. 4. 7 Other Studies Based on the nature of the proposed project and setting, we will develop an analysis of the most relevant topics including air quality/greenhouse gases (GHG) and construction noise. Construction-related criteria air pollutant and GHG emissions will be calculated based on the potential worst-case daily construction activity. The results of the air quality and GHG/climate change analyses will be provided within the IS and the modeling outputs will be included as an appendix to the CEQA document. The construction-related noise levels will be estimated and potential impacts assessed related on nearby noise-sensitive land uses and sensitive biological habitat. Deliverables: One (1) Air quality memorandum and one (1) construction noise memorandum Assumptions: The type of CEQA summary document that will be required cannot be determined until the initial analysis is complete however, this scope of services assumes that a Mitigated Negative Declaration (MND) will be adequate to comply with CEQA. 4.8 Draft Mitigated Negative Declaration/Initial Study Develop an Initial Study that will follow the City's standard format and will include a description of the project, an IS checklist, and supporting figures. The IS checklist will include detailed discussions of environmental resource or issue areas that may be significantly affected by the project, as well as measures to mitigate those impacts to less than significant levels, as applicable. In addition, brief Kelly Drive & Park Drive Road Diet & Multi-Use Trail 9 Page 116 explanations of why the project would not result in significant effects on other issues would be provided The GHD team will incorporate information and mitigation measures from the City's Trails Master Plan JS/MND as applicable. Based on the nature of the proposed project and setting, the JS will emphasize analysis of the most relevant topics including air quality/greenhouse gases (GHG), biological resources, cultural resources, and construction noise. Deliverables: An Initial Study (IS), pursuant to CEQA, in support of the project. Assumptions: Two iterations of the draft report in responding to City comments prior to preparing the final report 4.9 Final Mitigated Negative Declaration The GHD team will respond to appropriate comments received on the content of the Draft MND/JS during public review of the document and will prepare a Mitigation Monitoring and Reporting Program (MMRP). Deliverables: Final mitigated Negative Determination Mitigation Monitoring and Reporting Program (MMRP) Assumptions: Two iterations of the draft report in responding to City comments prior to preparing the final report TASK 5 PUBLIC OUTREACH 5. 1 Meeting Preparation The GHD team, while developing preliminary engineering concepts, will work with the City to identify project elements and information that would be most appropriate to disseminate in a public meeting forum. The team will develop simplified graphics, oblique three dimensional models, animations that include walk-th roughs and fly-overs, and in other graphic, mapping and support exhibits that will help stakeholders understand the proposed project elements and decision points. We will also develop cross sections, oblique cross sections, elevations, overview three dimensional models and other graphic communication products. Cross sections will utilize base map conditions and other engineering recommendations to produce an accurate representation on what is being proposed. Kelly Drive & Park Drive Road Diet & Multi-Use Trail 10 Page 117 Pre-event efforts will also include flyers, press releases, on-line support and other logistics including Spanish translation services. KTUA will work with the Communications Department on generating interest in the input meetings and will provide the needed collateral to generate this interest and notification Deliverables: Exhibits, including handouts, poster boards, etc. Flyers, press releases (if required), on -line support and other logistics including Spanish translation services. 5.2 Project Postings, Brochures, Collateral and Media GHD will work with the City to identify the stakeholders and pre-event efforts, to include flyers, press releases, on-line support and other logistics including Spanish translation services. The GHD team will also work with the Communications Department on generating interest in the informational meetings and will provide the needed collateral to generate this interest and notification. Deliverables: Bi-lingual Flyers (English/Spanish) Press releases On-line support 5.3 Public Meetings The GHD team will provide a brief project presentation emphasizing the following aspects of the project including traffic calming and acknowledgement of the various land uses including residential, parks, school, and others. The presentation will be followed by a question and answer period at each meeting and will be available after the presentation at the various exhibits afterwards to answer any additional questions or provide additional information as necessary. Spanish translation services will also be available at the meetings. Post-event support will include meeting summaries and GIS based maps with site specific concerns/comments if appropriate. This level of design will include the plan set, typical sections, preliminary details, an outline of specifications, and a construction cost estimate. Deliverables: 50% Plan set (see Plan Set Sheet List) Outline of Specifications Preliminary Construction Cost Estimate Assumptions: Comments will be limited to one (1) round of consolidated comments to be addressed at the 90% submittal 6.2 90% Project Development and PS&E Submittal The GHD team will develop the design and associated plan set to the 90% level for all disciplines. This level of design will include the plan set, typical sections, design details, traffic control plans, specifications, and a construction cost estimate. Deliverables: 90% Plan set (see Plan Set Sheet List) Technical Specifications Construction Cost Estimate Assumptions: Comments will be limited to one (1) round of consolidated comments to be addressed at the 100% submittal 6.3 100% Project Development and PS&E Submittal The GHD team will develop the design and associated plan set to the 100% level, ready for bidding. This level of design will include the plan set, typical sections, design details, traffic control plans, specifications, and a construction cost estimate. Deliverables: 100% Plan set (see Plan Set Sheet List) Kelly Drive & Park Drive Road Diet & Multi-Use Trail 12 Page 119 Technical Specifications Construction Cost Estimate Assumptions: 100% Plans are to be stamped and signed and are 'Ready for Construction' TASK 7 PERMITTING AND PROCESSING 7.1 CWA Section 404 Permit GHD team will prepare the following draft materials as part of the 404 permit: cover letter, Pre- Construction Notification, PJD, mitigation proposal, and supporting information. We will also compile documentation for Endangered Species Act compliance (e.g., Biological Resources Report/HMP Consistency), National Historic Preservation Act Section 106 compliance (e.g., Cultural Resources Technical Report), CEQA documentation, and a complete description of the project. Deliverable: CWA Section 404 Permit Assumptions: The project will qualify under Nationwide Permit (NWP) 14 (Linear Transportation Projects) or alternative NWP instrument issued by the USAGE. Notification could be required by the USAGE for the activities covered under the NWP A Standard Individual Permit would not be required by the USAGE based on the amount of proposed discharge, dredge, and fill activities (If it is determined that a Standard Individual Permit will be necessary, a scope amendment will be required) 7.2 CWA Section 401 Request for Water Quality Certification Based on information available to HELIX, it is assumed that no isolated waters of the State subject to Waste Discharge Requirements pursuant to the State Porter-Cologne Water Quality Control Act are expected to occur at the project site or be impacted by the project activities. Issuance of a 401 certification by the RWQCB or demonstration that the RWQCB did not take action on the certification request is a material part of fulfilling the conditions of the CWA Section 404 Nationwide Permit. The GHD team will prepare the following draft materials as part of the 401 certification request: cover letter, Request for Water Quality Certification application form, PJD, mitigation proposal, and supporting information. We will also compile the CEQA documentation, Water Quality Management Plan (WQMP) prepared by others, Hydrology and Hydraulics Study, Storm Water Pollution Prevention Plan, and detailed description and plans for Best Management Practices, which will also be included in the submittal. Deliverable: Kelly Drive & Park Drive Road Diet & Multi-Use Trail 13 Page 120 CWA Section 401 Certification Assumptions: The project will require the preparation and submittal of a 401 Water Quality Certification application to the RWQCB for impacts to waters of the State No isolated waters of the State subject to Waste Discharge Requirements pursuant to the State Porter-Cologne Water Quality Control Act are expected to occur at the project site or be impacted by the project activities 7.3 California Fish and Game Code Section 1602 Notification of Lake or Streambed Alteration The GHD team will prepare the following draft materials as part of the 1602 agreement request: cover letter, Notification of Lake or Streambed Alteration application form, mitigation proposal, and supporting information. We will compile biological resources documentation for California Endangered Species Act (CESA) complianc_e (e.g., Biological Resources Report/HMP Consistency) and CEQA documentation. Deliverable: Notification of Lake or Streambed Alteration for a standard 5-year Section 1602 Streambed Alteration Agreement Assumptions: The project will require the preparation and submittal of a Notification of Lake or Streambed Alteration for a standard 5-year Section 1602 Streambed Alteration Agreement 7.4 Coastal Development Permit The GHD team will prepare the following draft materials as part of the CDP request: cover letter, CDP application form, coastal consistency analysis, public noticing documentation, mitigation proposal, and supporting information. We will compile biological resources documentation for CEQA documentation, which will be required by the CCC before the CDP can be issued. Deliverable: Coastal Development Permit (CDP) Assumptions: A Coastal Development Permit (CDP) application to the California Coastal Commission is required 7.5 Mitigation Proposal and Conceptual Mitigation Plan The GHD team will assist the City in identifying potential opportunities to fulfill compensatory mitigation requirements for impacts to jurisdictional resources. This task includes up to 40 hours Principal Kelly Drive & Park Drive Road Diet & Multi-Use Trail 14 Page 121 Regulatory Specialist and GIS Specialist time to perform research of potential opportunities and prepare a conceptual mitigation plan for any proposed on-site creation, restoration, and enhancement mitigation. Deliverable: Mitigation Plan Concept for submittal to appropriate regulatory agencies Assumptions: Development of the final mitigation plans is included in Task 6 There will only be one set of comments from the City on the draft permit application. TASK 8 RIGHT OF WAY ENGINEERING 8.1 Prepare Exhibit Showing Existing and Proposed Right of Way After the 50% design submittal, and upon finalization of the proposed Right of Way limits, GHD will prepare an exhibit showing both the existing and proposed Right of way. Upon approval by the City the ROW Right of Way Document Preparation and other acquisition activities will commence. Deliverable: ROW Exhibit 8.2 Right of Way Coordination Meetings GHD will schedule and facilitate two (2) Right of Way coordination meetings. These meetings will include input from the City, Street and roundabout design, planning, stormdrain , water quality, and environmental disciplines. GHD will develop the Agenda and provide meeting minutes documenting the results of the meetings. Deliverable: Two (2) Right of Way coordination meetings including agendas and meeting minutes 8.3 Prepare USPAP Simple Appraisal for one (1) Property The GHD team will mail a notification letter and acquisition policies brochure to the property owner requesting permission to conduct an on-site inspection of the property, advising them of their right to accompany the appraiser at the time of the inspection and requesting information regarding the property appraised which could influence the appraised value. Appraiser will review title information pertaining to respective ownerships and will review drawings and other pertinent information relative to the parcel. Appraiser will inspect the property personally with the owner (if possible) and document the inspection with photographs for use in the report. Kelly Drive & Park Drive Road Diet & Multi-Use Trail 15 Page 122 Appraiser will inventory all improvements affected by the proposed taking including notes on their manner of disposition. Appraiser will perform market research to support the selected appraisal methodologies and will document and confirm comparable sales information. Appraiser will prepare a narrative appraisal report that conforms to the Uniform Standards of Professional Appraisal Practice (US PAP). The appraisal study and report are intended to serve as an acquisition appraisal and will be prepared in a summary format consistent with the specifications for narrative appraisal reports. We will receive and analyze the completed appraisal reports and will reconcile the real estate and fixtures and equipment conclusions as necessary. Procure and review a fixtures & equipment appraisal to establish the fair market value for the advertising billboard. Deliverable: One (1) USPAP Simple Appraisal to be used as an acquisition appraisal 8.4 Document Preparation and Acquisition Activities The GHD team will establish and maintain complete and current ownership files. Receive and analyze title information, approved appraisal reports , and legal descriptions in sufficient detail to negotiate with property owners and other parties. We will prepare all offer letters, summary statements, and lists of compensable items of fixtures and equipment, in accordance with state or federal regulations and approval of client, present written purchase offers to owners or their representatives in person, when possible. Services also include follow-up and negotiate with each property owner, as necessary; prepare and submit recommended settlement justifications to client for review and approval; review any independent appraisal secured by property owner; and coordinate reimbursement of appraisal fees (up to $5,000) with client. Ongoing negotiations and settlement discussions will continue for eight (8) weeks after the initial offer or if settlement or impasse is reached sooner. Prepare and assemble acquisition contracts, deeds, and related acquisition documents required for the acquisition of necessary property interests. Legal descriptions to accompany easements or to accompany partial acquisition deeds are not included in this Scope of Work. Maintain a diary report of all contacts made with property owners or representatives and a summary of the status of negotiations indicating attitude of owners, problem areas, and other pertinent information. Copies of all applicable written correspondence will be maintained in files. Prepare an impasse letter for any parcel where, after diligent attempts to settle by negotiation, it appears eminent domain will be needed or prudent to acquire the needed interest. Kelly Drive & Park Drive Road Diet & Multi-Use Trail 16 Page 123 Transmit executed acquisition documents to client. Each transmittal package shall include a fully executed and properly notarized deed(s), fully executed acquisition contract with attachments and a brief settlement memorandum which summarizes the pertinent data relative to the transaction. Deliverable: Right of Way acquisition documents for one (1) parcel. PHASE 3 -BIDDING AND CONSTRUCTION TASK 9 BID SUPPORT SERVICES 9.1 Attend pre-bid meeting GHD will be attend the pre-bid meeting with individuals that can provide support and to help appropriately answer questions. Deliverable: Attendance at one (1) pre-bid meeting 9.2 Preparation of Bid Addenda GHD will prepare one (1) bid addendum between the pre-bid meeting and bid opening. Support will include coordination with the City and documentation required for the addendum. Deliverable: One (1) Bid Addendum Deliverable: The Bid Addendum will consist of the addition of the pre-bid meeting minutes and minor corrections/revisions of the contract documents. 9.3 Responses to Bidder Questions GHD will coordinate with the City and prepare one (1) set of responses to bidder questions.
