RESOLUTION OF THE BOARD OF DIRECTORS
OF CARLSBAD MUNICIPAL WATER DISTRICT
AUTHORIZING ESTABLISHMENT OF MASTER
CHARGE ACCOUNT WITH SOUTHWEST BANK
WHEREAS, it is deemed to be to the most efficient ogera-
tion of CARLSBAD MUNICIPAL WATER DISTRICT to have a credit card
account available for use of CARLSBAD MUNICIPAL WATER DISTRICT;
and
WHEREAS, the CARLSBAD MUNICIPAL WATER DISTRICT desires to
establish a Master Charge Account with SOUTHWEST BANK.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS
OF CARLSBAD MUNICIPAL WATER DISTRICT AS FOLLOWS:
1. That CARLSBAD MUNICIPAL WATER DISTRICT establish a
Master Charge Account with SOUTHWEST BANK, hereinafter called the
"Bank".
2. That CARLSBAD MUNICIPAL WATER DISTRICT borrow from the
Bank from time to time such sums of money on the Master Charge
Account as the persons who are authorized signatures deem neces-
sary, not to exceed a maximum balance on the Master Charge Account
of Two Thousand Dollars ($2,000.00).
3. That the following persons, acting alone, are author-
ized and empowered for and on behalf of the CARLSBAD MUNICIPAL
WATER DISTRICT to act as authorized signatures for utilization of
the Master Charge Account of CARLSBAD MUNICIPAL WATER DISTRICT:
Any Member of the Board of Directors of
CARLSBAD MUNICIPAL WATER DISTRICT
General Manager of the
CARLSBAD MUNICIPAL WATER DISTRICT

4. That the CARLSBAD MUNICIPAL WATER DISTRICT shall
supply to the Bank the names and signatures of the members of the
Board of Directors of CARLSBAD MUNICIPAL WATER DISTRICT and the
General Manager of the CARLSBAD MUNICIPAL WATER DISTRICT, as
they may exist from time to time, by a certificate of the Secre-
tary of the Board of Directors of CARLSBAD MUNICIPAL WATER DIS-
TRICT and that the Bank may rely upon said certificate as the auth-
orized signatures for utilization of the Master Charge Account of
CARLSBAD MUNICIPAL WATER DISTRICT. The certificate of the Secre-
tary may be amended from time to time and the Bank shall use the
certificate of the Secretary with the most current date as the
authorized signatures for utilization of the Master Charge Account.
5. That this resolution will continue in full .force and
effect until the Bank shall receive official notice in writing
from CARLSBAD MUNICIPAL WATER DISTRICT of the revocation thereof
by a resolution duly adopted by the Board of Directors of CARLSBAD
MUNICIPAL WATER DISTRICT.
ADOPTED, SIGNED AND APPOVED this 15th day of December,
1976.

of CARLSBAD MUNICIPAL WATER DISTRICT, DO HEREBY CERTIFY that the
foregoing Resolution was duly adopted by the Board of Directors
of CARLSBAD MUNICIPAL WATER DISTRICT at a regular meeting of
said Board held on the 15th day of December, 1976, and that it
was so adopted by the following vote:
AYES : Directors: Carmichael, Engelmann,
Kelly, MacLeod and Maerkle
NOES : Directors : None.
ABSENT : Directors: None.
