RESOLUTION OF THE BOARD OF DIRECTORS OF
COSTA REAL MUNICIPAL WATER DISTRICT
ESTABLISHING DIRECTOR EMERITUS AND AN
ADVISORY BOARD TO THE BOARD OF DIRECTORS OF
COSTA REAL MUNICIPAL WATER DISTRICT
WHEREAS, the Board of Directors of COSTA REAL MUNICIPAL
WATER DISTRICT recognizes the experience, knowledge and talent of
ex-members of the Board of Directors of COSTA REAL MUNICIPAL WATER
DISTRICT, as a result of their prior service as members of the
Board of Directors of COSTA REAL MUNICIPAL WATER DISTRICT; and
WHEREAS, the Board of Directors of COSTA REAL MUNICIPAL
WATER DISTRICT desires to establish a "DIRECTOR EMERITUS" designa-
tion for all ex-members of the Board of Directors of COSTA REAL
MUNICIPAL WATER DISTRICT; and
WHEREAS, the Board of Directors of COSTA REAL MUNICIPAL
WATER DISTRICT deems it to the best interests of COSTA REAL MUNIC-
IPAL WATER DISTRICT to establish an Advisory Board of ex-members
of the Board of Directors of COSTA REAL MUNICIPAL WATER DISTRICT,
to continue to assist the Board of Directors of COSTA REAL MUNICI-
PAL WATER DISTRICT and COSTA REAL MUNICIPAL WATER DISTRICT volun-
tarily.
NOW, THEREFORE, THE BOARD OF DIRECTORS OF COSTA REAL MUNICI-
PAL WATER DISTRICT DOES HEREBY RESOLVE AND ORDER AS FOLLOWS:
1. Each ex-member of the Board of Directors of COSTA REAL
MUNICIPAL WATER DISTRICT (formerly known as CARLSBAD MUNICIPAL WATER

DISTRICT) is hereby designated as a "DIRECTOR EMERITUS".
2. An Advisory Board to the Board of Directors of COSTA
c REAL MUNICIPAL WATER DISTRICT is hereby established, hereinafter for
convenience referred to as "Advisory Board".
3. The Advisory Board shall consist of all ex-members of
the Board of Directors of COSTA REAL MUNICIPAL WATER DISTRICT (for-
merly known as CARLSBAD MUNICIPAL WATER DISTRICT) who request to be-
come members of the Advisory Board.
4. The members of the Advisory Board shall serve during
their lifetime or until they resign from the Advisory Board.
5. The Advisory Board shall assist the Board of Directors
of COSTA REAL MUNICIPAL WATER DISTRICT, undertaking such appropriate
projects as may be designated by the Board of Directors of COSTA
7 REAL MUNICIPAL WATER DISTRICT.
6. The Advisory Board shall hold such meetings and adopt
such rules and regulations as may be necessary for the conduct of
its meetings and business.
7. The decisions of the Advisory Board shall be advisory
recommendations to the Board of Directors of COSTA REAL MUNICIPAL
WATER DISTRICT .
8. All members of the Advisory Board shall have all of the
rights and privileges of members of the Board of Directors of COSTA
REAL MUNICIPAL WATER DISTRICT, with the exception that no member of
the Advisory Board shall be entitled to any compensation for any
services rendered as a member of the Advisory Board. All members of

the Advisory Board shall have a right to reimbursement for any ex-
penses incurred in the performance of his or her duties required or

authorized by the Board of Directors of COSTA REAL MUNICIPAL WATER
DISTRICT.

ADOPTED, SIGNED AND APPROVED this 3rd day of March, 1982.

WATER DISTRICT and of the Board of Directors thereof, do hereby cer-
tify that the foregoing Resolution was duly adopted by the Board of
Directors of said District at a regular meeting of the Board held on
the 3rd day of March, 1982, and that it was adopted by the following
