The funding is awarded for Agricultural Conversion Mitigation Fee Grant Project (AGP) AGP 13-03 (Orchard, Fields and Floral Trade Center Access), to create an access road to a portion of the Cannon Road agricultural lands. A copy of City Council Resolution(s) No. 2013-230, which approves the allocation of grant funding, is enclosed for your information. LETTER OF AGREEMENT This letter is to serve as a Letter of Agreement ("Agreement") for disbursement of $600,000 in grant funding from the Agricultural Conversion Mitigation Fee Grant Fund to create the access road, including: final design and civil engineering, and landscape plans; permits and fees; improvement bonds and insurance; geotechnical, paleontological and other services; and construction costs. Disbursement of the balance of funds to complete subsequent phases of Carlsbad Ranch L.P.'s master plan will be subject to the execution of separate funding agreements. All persons who signed the grant application must sign this agreement. Please return the signed agreement along with: 1. The attached Annual Solicitation (Substitute W-9 Form), and 2. An updated project budget and schedule that describes the work tasks, estimated costs, completion dates and disbursement schedule for those portions of the grant to be funded with the $600,000 of awarded grant funding. Release of Grant Funds Once you have provided the information requested and satisfied the requirements specified above. City staff will forward the Agreement to the Mayor for signature. Upon signature by the Mayor, staff will begin the initial release of funds according to the approved funding schedule. Failure to successfully implement any component of the project funded will result in funding reconsideration and possible cessation of funding. Grant recipients are required to recognize on all printed material, including interpretive signage installed through this grant, thatthe project is funded in part or in full by the City of Carlsbad. Reporting Requirements Progress reports detailing accounting information on funds spent must be submitted with each subsequent disbursement request, or annually from date each disbursement is made, whichever occurs first. A final report on how the funds were spent and what the project accomplished must be filed with the City of Carlsbad within thirty days of project completion. In addition, the grant recipient agrees to maintain original records (including receipts) for at least five years from the date on which final grant funds are disbursed and agrees to make them available to the City should the City request to audit them. Project Description, Scope and Benefits 1. Project Descnption The proposed project is the creation of an access road to a portion ofthe Carmon Road agricultural lands in order to facilitate the development of an integrated food and floral production area with public access. The road will permit the construction of a Floral Trade Center in order to preserve key elements of the industry in support of The Flo\yer Fields® and other floral production. The access road will serve the open field and orchard areas and their distribution facilities. The grant of approximately 50% of the access costs will hind the portion of the road directly adjacent to and serving the agricultural production areas. In addition, the access will permit the direct marketing of on-site and locally grown food products for the Carlsbad community. The creation of a direct marketing location in a farming environment will permit economic sustainability of small scale diversified field food crop production for the local market. On a long term basis the project will provide access for the public to the field production areas in a manner similar to that currently provided at The Flower Fields. While rents from operation of the distribution facility can offset a portion of the access costs, more than 50% of the direct benefit of the proposed access road is for the field and orchard farming environment which cannot support the infrastructure requirements under City of Carlsbad standards. 2. Project Benefit to the Citizens of Carlsbad The project will directly impact the economic sustainability of agricultural operations in an urban environment by increasing the potential customer base for visitors and fann products. By improving the access, the overall agricultural productivity of the agricultural lands will be I I I I I I I I I I I I I I I I I I I enhanced. The proposed access will convert a current handicap (the encroachment of urban development) into an economic strength by bringing the urban consumers directly to the farming and production site. This direct link with potential consumers is a necessary element in creating a sustainable agricultural operation. In approving Proposition D in 2006, the Citizens of Carlsbad sought a long term preservation of the agricultural characteristic of the Carlsbad Ranch lands and others in the immediate vicinity. Because of the relatively small farming environment, and high operational costs in an urban environment, the farming operation must adopt a different model for integration of production and distribution. The project proposes to increase the diversity of production to include a targeted variety of food crops appropriate to the environment and with special characteristics that increase their appeal and access to the public. Moreover, the stabilization of the key distribution facility for the local floral industry on site with public access will support the ongoing floral production and retention of other local production areas. Access to the public which is not permitted at the existing Floral Trade Center facility will permit grower and wholesalers to increase their margin by reducing distribution costs and direct sales. Through its affiliate CB Ranch Enterprises (The Flower Fields) CRC has created and successfully operated an integrated visitor serving and floral production and distribution business for more than 20 years, including all supporting infrastructure. In addition through an affiliate CRC converted an abandoned circuit board plant and operated the San Diej^o International Floral Trade Center for 14 years. Finally, through its parent, was responsible for planning and developing the entire Carlsbad Ranch of which the project site is a part. V. FINANCIAL RESOURCES/BUDGET All applicants must attach a budget and a proposed funding schedule for the proposed project. After a grant has been awarded and priorto distribution of grant funds, the financial condition of an agency/organization will be evaluated through submittal of either an audited financial statement (encouraged/preferred); a reviewed financial statement; an IRS-990 tax return; or other evidence of financial condition as agreed upon by the city. All applicants are encouraged, but not required, to submit this documentation at the time of application submittal. 11. These grants will not be awarded on a first-come/first-serve basis but will be considered according to specific criteria. Any project that is awarded funds will be required to meet agreed-upon milestpnes.
