PROFESSIONAL SERVICES AGREEMENT UNDER $5,000
This letter will serve as an agreement between Daniel Bovle Enaineerinq. Inc. and the
City of Carlsbad for professional services pursuant to Carlsbad Municipal Code Section
3.28.1 80.
Your letter, dated February 11, 1998, (attached as Exhibit "A"), outlines the scope of
work to be completed within one hundred eiqhtv (180) days at a cost not to exceed
$4,900; payment to be at a rate of $(see attached hourly rate schedule) per hour, billed
monthly.
The Contractor shall perform the services provided for herein as an independent
contractor and in pursuit of hidhers independent calling, and not as an employee of the
City. Contractor shall be under the control of the City only as to the results to be
accomplished.
The Contractor shall obtain and maintain policies of comprehensive general liabilitl
insurance, automobile liability insurance, a combined policy of workers' compensation
employers liability insurance and professional liability insurance from an insurance
company authorized to transact the business of insurance in the State of Californiz
which has a current rating in the Best's Key Rating guide of at least A-:V in an insurable
amount of not less than one million dollars ($1,000,000) each, unless otherwise
authorized and approved by the City Attorney or the City Manager. This insurance shal
be in force during the life of this agreement and shall not be canceled without thirty (30
days prior written notice to the City by certified mail. The City and the Carlsbac
Municipal Water District shall be named as an additional insured on all these policies
except workers' compensation and professional liability. The Contractor shall furnist-
certificates of insurance, with endorsements to the City before commencement of work.
The City has determined using the guidelines of the Political Reform Act and the City':
conflict of interest code, that the Contractor will not be required to file a conflict c
interest statement as a requirement of this agreement. However, Contractor hereb!
acknowledges that Contractor has the legal responsibility for complying with thc
Political Reform Act and nothing in this agreement releases Contractor from thii
responsibility.
This agreement may be modified by mutual consent of the City and the Contractor. An
change shall be in writing with a statement of estimated changes in charges or timc
schedule.

The Contractor may be subject to civil penalties for the filing of false claims as set fortt
in the California False Claims Act, Government Code sections 12650, et sea., an(
Carlsbad Municipal Code Sections 3.32, 025, et seq.
The Contractor acknowledges that debarment by another jurisdiction is grounds for thc
City of Carlsbad to disqualify the Contractor from participating in the selection process.
A City of Carlsbad business license shall be obtained and maintained for the duration o
the contract.
The City Manager or the Contractor may terminate the agreement at any time after t
discussion, and written notice to the other party. The City will pay Contractor's costs fo
service delivered up to the time of termination, if the services have been delivered ir
accordance with the agreement.

Construction Support Services
In accordance with your request, we are pleased to present herein our proposal for professioni
engineering services during construction of the North Batiquitos Force Main and 12-Inch Water Mai
Replacement project.
As you discussed with Mr. Dan Smith of our office, we are proposing a Scope of Work that can b
performed within the ceiling limit of $5,000 that you specified. We will work within the estimate
manhours projected for each Scope of Work item as necessary and if we approach the manhour
estimated for any one item, we will notifjr you and obtain a determination of how you would like u
to continue with the work.
Services during construction can vary substantially from what is estimated due to uncertainties of th
performance of the construction contractor. As you know, the experience and qualifications of th
contractor, his superintendent and the work crew can vastly effect the amount of time necessary fc
the District's construction management personnel and the design consultant's involvement durin
construction. We have estimated our manhours based upon the best possible scenario, i.e., a highl
qualified construction team.
