OFFER AND ACCEPTANCE OF
WATER SYSTEM FACILITIES

We hereby declare that the public water system which includes pipelines,
valves, and appurtenances constructed in Carlsbad Tract 83-10, for
Building No. 2, Graham International Plaza, Palomar Airport Business
Park No. 1 as set forth in Exhibit "A," in accordance with the plans
filed with the COSTA REAL MUNICIPAL WATER DISTRICT is built for
public use and that upon its acceptance by said District, all right,
title, and interest of the undersigned in and to said facilities
shall vest in said District.
We further cert i f y that any and al l cl aims for l ab or , mate ri al , or
any other construction c~sts have been cleared so that there are no
encumbrances. The total cost of pipeline construction amounted to
