RECOMMENDATION:
1) Clean Energy Alliance Board authorize the Interim Chief Executive Officer to execute
extensions of the following agreements through June 30, 2021, subject to the not to
exceed amounts:
Scope of Work Consultant Not to Exceed
General Counsel RWG Law $120,000
Special Counsel -Regulatory Tosdal APC $100,000
Special Counsel -Energy Transactions Hall Energy Law $85,000
Technical Consultants Pacific Energy Advisors $163,200
2) Clean Energy Alliance Board authorize the Board Chair to execute of extension of the
agreement with Bayshore Consulting Group, for Interim Chief Executive Officer services,
for an amount not to exceed $100,000.
BACKGROUND AND DISCUSSION:
Service needs of Clean Energy Alliance (CEA) have been provided by consulting services
agreements through June 30, 2020. Staff has reached out to the existing consultants and
requested the not to exceed amounts to extend the current scope of work through fiscal year
20/21.

Extending the existing agreements will ensure needed services are being provided.
FISCAL IMPACT
Funding for the extended agreements will be included in the proposed fiscal year 20/21 budget
to be considered for approval by the CEA Board on June 18, 2020.

Amendment #1 to
Agreement Between the Clean Energy Alliance and
Pacific Energy Advisors, Inc. for
Energy Consulting Services
Dated February 28, 2020
Pursuant to the approval of the Clean Energy Alliance Board of Director$ at its May 21, 2020
meeting, the Agreement bet~een Clean Energy Alliance and Pacific Energy Advisors, Inc. for
Energy Consulting Services dated February 28, 2020 is extended through June 30, 2021.
Tasks 1-4, as reflected in Exhibit A, Scope of Services, of the Agreement, will be performed in
consideration of a flat fee amount of $163,200 for the period beginning July 1, 2020 through
June 30, 2021-Consultant shall bill CEA at a rate of $13,600 per month for such services.
Tasks 5 & 6, which address work related to the Financial Pro-Form a Moael and Analysis of
Investor-Owned Utility (IOU} Rates and Rate-Related Proceedings, shall be performed by
Consultant on a time and materials basis, subject to mutually agreeable written requests
received from the Clean Energy Alliance -all work completed in relation to Tasks 5 & 6 shall
be subject to a budgetary cap of $35,000 through June 30, 2021. All other provisions of the
Agreement shall remain in full force and effect.
