RECOMMENDED ACTION:
Adopt Resolution No. && for approval of agreement for engineering construction management assistance for the Maerkle Reservoir Pump Station and Disinfection Facilities, CMWD Project No. 89-109.
ITEM EXPLANATION:
The second phase of expansion and upgrading of the Maerkle Reservoir Facilities consists of construction of a pump station for potable water and chloramination facility. The second phase of the project was approved and authorized to advertise for bids at the May 12, 1992, meeting of the Board of Directors by Agenda Bill 162 and Resolution No. 787. The District is following City procedure with the City Engineering Department providing inspection services. The District Engineer will be the project engineer. Dudek & Associates, design engineers, have entered into an agreement with the District to assist the project engineer with engineering construction management assistance on an as needed basis.
FISCAL IMPACT:
The 1992-93 C.I.P. Budget appropriated $3,337,500 for the second phase, pump station and chloramination construction which is estimated to cost $2,300,000. The agreement for engineering construction management assistance is estimated not to exceed $90,000. There are $1,037,500 remaining unencumbered for this phase, therefore, there are sufficient funds available. This agreement reflects the maximum contingent price. It is not expected that the costs will reach this maximum amount unless the project proves to be unusually difficult.

If, in the course of the contract, changes seem merited by the
Consultant or the District, and informal consultations with the
other party indicate that a change in the conditions of the
contract is warranted, the Consultant or the District may request
a change in contract. Such changes shall be processed by the
District in the following manner: A letter outlining the required
changes shall be forwarded to the District by the Consultant to
inform District of the proposed changes along with a statement of

estimated changes in charges or time schedule. A supplemental
agreement shall be prepared by the District and approved by the
District. Such supplemental agreement shall not render ineffective
or invalidate unaffected portions of the agreement.

11. TERMINATION OF CONTRACT
In the event of the Consultant's failure to prosecute,
deliver, or'perform the work as provided for in this contract, the
District may terminate this contract for nonperformance by
notifying the Consultant by certified mail of the termination of
the Consultant. The Consultant, thereupon, has five (5) working
days to deliver said documents owned by the District and all work
in progress to the Encrineer . The District Ensineer

shall make a reasonable determination of fact based upon the
documents delivered to District of the percentage of work which the
Consultant has performed which is usable and of worth to the
District in having the contract completed. Based upon that finding

the Board of Directors shall be binding upon the parties involved,
although nothing in this procedure shall prohibit the parties
seeking remedies available to them at law, including a
determination at law whether the Board of Directors acted

reasonably in taking action hereunder.
13. SUSPENSION OR TERMINATION OF SERVICES
This agreement may be terminated by either party upon
tendering thirty (30) days written notice to the other party. In

The Consultant is an independent contractor of the District.
The payment made to the Consultant pursuant to the contract shall
be the full and complete compensation to which the Consultant is
entitled. The District shall not make any federal or state tax
withholdings on behalf of the Consultant. The District shall not be
required to pay any workers' compensation insurance on behalf of
the Consultant. The Consultant agrees to indemnify the District
for any tax, retirement contribution, social security, overtime
payment, or workers' compensation payment which the District may be

required to make on behalf of the Consultant or any employee of the
Consultant for work done under this agreement:
The Consultant shall be aware of the requirements of the
Immigration Reform and Control Act of 1986 and shall comply with

18. HOLD HARMLESS AGREEMENT
The District, its officers, and employees shall not be liable
for any claims, liabilities, penalties, fines, or any damage to
goods, properties, or effects of any person whatever, nor for

relationship between any subcontractor of Consultant and the

Section 5+ VACANCIES. A vacancy An any office be- cause af death, resignation, removal, disqualification or any other cause shall be filled in the manner prescribed in the By- Laws for regular appointments to that office.

1 RESOLUTION NO. 806 I A RESOLUTION OF THE BOARD OF DIRECTORS OF THE - -CARLSBAD MUNICIPAL WATER DISTRICT OF THE CITY OF CARLSBAD, CALIFORNIA, ACCEPTING AN AGREEMENT FOR ENGINEERING CONSTRUCTION MANAGEMENT ASSISTANCE FOR CONSTRUCTION OF MAERKLE RESERVOIR PUMP STATION AND DISINFECTION FACILITIES, CMWD PROJECT NO. 89- I 109
7 WHEREAS, Dudek & Associates, Inc. has submitted an
8 agreement between Dudek t Associates, Inc. and the Carlsbad
9 Municipal Water District for engineering construction management
I.0 assistance on an as needed basis for construction of Maerkle Pump
11 Station and Disinfection Facilities paid for on actual hours worked
12 as directed in accordance with the rates established in Exhibit
13 "All I attached thereto and made a part thereof in full; and
14 WHEREAS, the contract amount for this work is ninety
15 thousand dollars ($90,000), and the 1991-92 Capital Improvement
16 Plan Budget appropriated $3,337,500 for the second phase of
17 expansion and upgrading of the Maerkle Reservoir consisting of a
18 pump station for potable water and chloramination facility, and
19 there are one million, seven thousand, five hundred dollars
20 ($1,007,500) remaining unencumbered for this phase, therefore,
21 there are sufficient funds available;
22 NOW, THEREFORE, BE IT RESOLVED by the Board of Directors
23 of the Carlsbad Municipal Water District as follows:
24 1. That the above recitations are true and correct.
25 2. That the Engineering Services Agreement between Dudek &
26 Associates, Inc. and Carlsbad Municipal Water District for
27 engineering construction management assistance as directed in
28 Exhibit rrA1l of the Engineering Services Agreement attached thereto

I. and made a part thereof, which is on file with the Carlsbad
2 Municipal Water District and in incorporated hereby reference, is -. - 3 accepted.
4 3. That the President and the Secretary are authorized to
5 execute the Engineering Services Agreement.
6 4. That the Director of Finance is hereby authorized and
7 directed to allow ninety thousand dollars ($90,000) of the 1991-92
8 Capital Improvement Plan Budget Fund No. 505-1860-3375 account to
9 remain open until such time as all related services and costs are
10 identified and secured for engineering construction management
11 assistance for construction of the pump station and disinfection
12 facility for Maerkle Reservoir, CMWD Project No. 89-109.
13 PASSED, APPROVED AND ADOPTED at a regular meeting of the
14 Board of Directors of the Carlsbad Municipal Water District held on
15 the 4th day of AUGUST I 1992 by the following
16 vote to wit:
