Hold a public hearing and approve Resolution No. 8 requesting approval to substitute 85
electrical subcontractor Brannis Electric, Inc. for Charger Electric, Inc. on the Twin I’D”
Reservoir Improvements, CMWD Project No. 84-l 11.
ITEM EXPLANATION:
On June 28, 1994, by Resolution No. 899, the Carlsbad Municipal Water District Board of
Directors awarded the Twin “D” Reservoir Improvements to T.C. Construction, Inc. T.C.
Construction has requested the District to approve, pursuant to Public Contract Code 54106
and $4107.5, substitution of the electrical subcontractor listed on the bid through inadvertent
clerical error. The prime contractor, the subcontractor to be substituted in, and the
subcontractor to be substituted out, all agree to the substitution.

A RESOLUTION OFTHE BOARD OF DIRECTORS OFTHliCARLSBAD
MUNICIPAL WATER DISTRICT OF CARLSBAD, CALIFORNIA, FOR
APPROVAL TO SUBSTITUTE THE ELECTRICAL SUBCONTRACTOR,
BRANNIS ELECTRIC, INC. FOR CHARGER ELECTRIC, INC. ON THE
TWIN “D” RESERVOIR IMPROVEMENTS. CMWD PROJECT NO. 84-111
WHEREAS, T.C. Construction, Inc. has requested the Carlsbad Municipal Water District
Board of Directors to approve, pursuant to Public Contract Code $4107 and 54107.5, substitution of the
electrical subcontractor listed on the bid through inadvertent clerical error; and
WHEREAS, prime contractor gave notice to the subcontractor to be substituted out, that
they were listed as the electrical subcontractor as a result of an inadvertent clerical error, and that the
subcontractor to be substituted out, Charger Electric, Inc., concurs and agrees to the substitution of
Brannis Electric, Inc., in their place and stead in the Carlsbad Municipal Water District Twin “D” Reservoir
Improvements, CMWD Project No. 84-111, Contract No. 3378, approved by the Board of Directors by
Resolution No. 899 on June 28, 1994;. and
WHEREAS, the prime contractor, the subcontractor to be substituted in, and the
subcontractor to be substituted out, all agree to the substitution as indicated in a stipulation dated
September 21, 1994, attached hereto and incorporated by this reference ; and
WHEREAS, a public hearing was held as required for substitution as provided in Public
Contract Code @IlO7.
NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Carlsbad Municipal
Water District as follows:
1. That the above recitations are true. and correct.
2. Substitution of Brannis Electric, Inc. for Charger Electric, Inc. as the
electrical subcontractor on said contract is approved.

Twin “D” Reservoir Improvement 1 STIPULATION PURSUANT TO PUBLIC
> CONTRACT CODE $4107.5 TO SUBSTITUTE ELECTRICAL CONTRACTOR
The parties hereto, Charger Electric, Inc. (hereinafter “Charger”) and TC
Construction Company, Inc. (hereinafter “TC Construction”) stipulate and agree as follows:
1. Charger submitted a bid to perform electrical contracting services to TC
Construction on a project commonly known as Twin “D”Reservoir Improvements CMWD
’ Project No. 84-111, City of Carlsbad Contract No. 3376;
2. TC Construction also received a bid to perform electrical contracting services
on the Twin “D” Reservoir Improvement Project from Brannis Electric, Inc.;
3. At the time of bid closing, TC Construction intended to utilize the bid of
Brannis Electric, Inc., but as the result of inadvertent clerical error, submitted the name of
Charger as the proposed electrical contractor in the place and stead of Brannis Electric;

4. The parties now desire to and request that the City of Carlsbad permit TC
Construction to substitute Brannis Electric as the electrical subcontractor on the Twin “D”
<eservoir Improvement Project, CMWD Project No. 84-111, City of Carlsbad Contract No.
1376 in the place and stead of Charger Electric.
