RECOMMENDED ACTION:
Adopt Resolution No. 1431 designating the two CMWD Board members as each
other's proxy should one member be absent at a San Diego County Water Authority meeting.
ITEM EXPLANATION:
Resolution No. 1005 was adopted on December 16, 1997 setting forth the voting proxy for
CMWD to an Oceanside representative should the CMWD member be absent at a County
Water Authority meeting. On December 22, 2009, a second representative from CMWD was
appointed to the San Diego County Water Authority giving CMWD two votes. Therefore, it is no
longer necessary to provide CMWD's voting proxy to City of Oceanside but instead it is
recommended that the two CMWD Board members be designated as each other's proxy should
one member be absent while representing CMWD at the San Diego County Water Authority.
FISCAL IMPACT:
There is no fiscal impact.
ENVIRONMENTAL IMPACT:
Pursuant to Public Resources Code section 21065, this action does not constitute a "project"
within the meaning of CEQA in that it has no potential to cause either a direct physical
change in the environment, or a reasonably foreseeable indirect physical change in the
environment, and therefore does not require environmental review.

CARLSBAD MUNICIPAL WATER DISTRICT (CMWD),
3 DESIGNATING THE TWO CMWD BOARD MEMBERS AS
4 EACH OTHERS PROXY SHOULD ONE MEMBER BE
ABSENT WHILE REPRESENTING CMWD AT THE SAN
5 DIEGO COUNTY WATER AUTHORITY
6 WHEREAS, Resolution No. 1005 was adopted on December 16, 1997 providing
7 the voting proxy for CMWD to an Oceanside representative should the CMWD member
8 be absent at a San Diego County Water Authority meeting; and

WHEREAS, a second representative from CMWD was appointed to the San
10 Diego County Water Authority on December 22, 2009, giving CMWD two votes; and

WHEREAS, it is no longer necessary to provide CMWD's voting proxy to City of

Oceanside since there are two CMWD members on the San Diego County Water
Authority Board; and
15 WHEREAS, this Resolution shall designate CMWD Board members who have
16 been elected to represent CMWD on the CWA Board of Directors as each other's proxy
17 should one member be absent while representing CMWD at the San Diego County
18 Water Authority.
19 NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the
20 Carlsbad Municipal Water District, as follows:

1. That the above recitations are true and correct.

2. That this Resolution No. 1431 supersedes Resolution No. 1005 adopted

24 on December 16, 1997 and provides that the member present shall be the
25 proxy for the absent member.

PASSED, APPROVED AND ADOPTED at a Special Meeting of the Board of
Directors of the Carlsbad Municipal Water District of the City of Carlsbad on the 6th day
of December 2011, by the following vote to wit:
AYES: Board Members Hall, Kulchin, Blackburn, Douglas, Packard.
NOES: None.
ABSENT: None.
