RECOMMENDED ACTION:
It is recommended the Board of Directors of the Carlsbad Public Financing Authority, hereafter the
"Authority," ADOPT RESOLUTION NO. 41 approving Amendment No. 2 to an existing
agreement with Douglas Fredrikson Architects for final building and architectural construction phase
services for The Crossings at Carlsbad Golf Course Project.
ITEM EXPLANATION:
On January 3, 2006, the Authority approved an agreement with design architect Douglas Fredrikson
Architects to provide building and architectural construction phase services required to support the
construction of the several buildings, including the clubhouse, on The Crossings at Carlsbad Golf
Course Project. On April 3, 2007, the Authority approved Amendment No. 1 to the agreement
primarily to provide additional architectural construction phase services to support the expansion of the
dining room and kitchen facility in the clubhouse that occurred during the construction of the building.
The attached Amendment No. 2 provides for all final building and architectural construction phase
services required to close-out the construction of all of the buildings on the site, including the
clubhouse. The additional architectural support services include finalizing interior design and finish
details, final architectural inspection of the various buildings, close-out of all submittals, coordination of
final furnishings details, and review of the contractor's as-built drawings which will become the record
drawings for the buildings. This Amendment No. 2 will conclude all work required of the design
architects for the building construction. Staff recommends approval of attached Amendment No. 2.
ENVIRONMENTAL IMPACT:
The providing of architectural professional services is not a "project" as defined by the California
Environmental Quality Act nor the environmental policies and procedures of the City of Carlsbad and,
therefore, an assessment of environmental impacts is not required.
FISCAL IMPACT:
The recommended final building and architectural phase services of Amendment No. 2 total $57,000
and will conclude all architectural services for the project's buildings. There are adequate funds
within the project's existing construction contingency to approve Amendment No. 2 without requiring
an additional appropriation at this time.

A RESOLUTION OF THE BOARD OF DIRECTORS OF THE
CARLSBAD PUBLIC FINANCING AUTHORITY APPROVING
AMENDMENT NO. 2 TO AN AGREEMENT FOR BUILDING AND
ARCHITECTURAL CONSTRUCURAL PHASE SERVICES FOR
THE CROSSINGS AT CARLSBAD GOLF COURSE PROJECT
WHEREAS, the Carlsbad Public Financing Authority, hereafter the "Authority," has
previously approved an agreement to provide building and architectural construction phase services
for The Crossings at Carlsbad Golf Course, hereafter the "Project;" and
WHEREAS, the parties to said agreement desire to expand the scope of services; and
WHEREAS, an amendment to said agreement has been prepared for review by the
Authority.
NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of the Carlsbad
Public Financing Authority of the City of Carlsbad, California, as follows:
1. That the above recitations are true and correct.
2. That Amendment No. 2 is hereby approved and the Chairman of the Board is
authorized to execute said amendment. Following the Chairman's execution of said amendment, the
Secretary to the Board is directed to forward copies of this resolution and the executed amendment to
the Public Works Department, Construction Management and Inspection Division.
PASSED, APPROVED AND ADOPTED at a Special Meeting of the Board of
Directors of the Carlsbad Public Financing Authority on the 18tb day of December ,
2007 by the following vote, to wit:

Q This Amendment No. 2 is entered into and effective as of the /*? day of
? *j/rxJajn*J 2007, amending the agreement dated January 4, 2006 (the
"Agreement") by and between the CARLSBAD PUBLIC FINANCING AUTHORITY, a joint
powers authority, ("CPFA"), and DOUGLAS FREDRIKSON ARCHITECTS, an Arizona
corporation ("Contractor") (collectively, the "Parties") for building and architectural construction
phase services for the Carlsbad City Golf Course Project, hereafter the "Project."
RECITALS
A. On April 9, 2007, the Parties executed Amendment No. 1 to the Agreement to provide
additional construction phase architectural services for the Project; and
B. The Parties desire to alter the Agreement's scope of work to provide final and
complete construction phase architectural services required for the Project; and
C. The Parties have negotiated and agreed to a final and complete scope of services
and fee.
NOW, THEREFORE, in consideration of these recitals and the mutual covenants contained
herein, CPFA and Contractor agree as follows:
1. In addition to those services contained in the Agreement, as may have
been amended from time to time, Contractor will provide final and complete construction phase
architecture services required by CPFA for the Project,
2. City will pay Contractor for all work associated with said additional
services on a total fixed price basis of fifty-seven thousand dollars ($57,000). The Parties
hereby agree this Amendment No. 2 shall comprise the final and complete scope of work and
compensation for all construction phase architecture services for the Project.
3. Contractor will complete all additional work prior to January 4, 2008.
4. All other provisions of the Agreement, as may have been amended from
time to time, will remain in full force and effect.
5. All requisite insurance policies to be maintained by Contractor pursuant to
the Agreement, as may have been amended from time to time, will include coverage for this
Amendment.
6. The individuals executing this Amendment and the instruments referenced
in it on behalf of Contractor each represent and warrant that they have the legal power, right and
actual authority to bind Contractor to the terms and conditions of this Amendment.
