Robinson the meeting was adjourned at 3:09 Po Id, UINUTES OF T€E ADJOUR-HEXl BdEETI%TG Y of the BOARD OF DIRECTORS of the CARLSBAD MUTUAL WATER COEPANY The adjourned meeting of the Board of Directors of Adjourned Nee t ing the CARLSBAD MUTUAL RATER CO~PAEJY was held in the office February of the Company in the City of Carlsbad, County of San Diego and State of California on February 18, 1954, at 3:OO P.H, 18, 1954 E, G, Hagen PI. W, Rogers Directors R. R. Robinson C, A, Anthony Present Absent: C , H, Ingels There were also present C. E, Trygg, Secretary-Manager, Ray, r> C, Eberhard, Attorney, William B. Dennis, Attorney, and Haribee Balcom, stenographer. Ear. Eberhard reported that the Court was loath to Johnson Suit give a temporary injunction. Johnson's attorney and Mr, Eberhard got together and attempted to make an agreement that Johnson wo@d allow access to the West Well and also replacement of our pipeline markers until an early trial to be held April lyth, but Mr. Johnson objected to the markers. However, the judge denied our injunction with the understanding that we are to have the right to reinstall our markers along the pipe line and also to have access to our West Well. - . " !- ", 4 L'' San Luis Rey The Judge denied the Company the right to make all Conservation District parties in the San Luis Rey river parties to the suit, but granted us the right to file against all the people in the Hission Basin in connection with this suit, if we desired to do SO. Suit DAr. Eberhard stated that the question before the against entire Board was whether to file a cross conplaint in the San Luis Rey Basin Johnson suit against everyone in the Mission Basin, or whether to start a new suit against everyone in the San Luis Rey River Basin, having 40 acres or moret or using a large quantity of water, Mr. Eberhard explaimd that a good part of the costs of a suit against the entire San Luis Rey River Basin had already been taken care of in the San Luis Rey Conservation District suit against us, and our suit against Walter Johnson. Our suit would adjudicate the water and settle who is entitled to water upstream and how much. UP. Eberhard suggested that possibly some of these upstream owners would come into the suit with us as plaintiffs, but they would have to be contacted to find out. -* Allan Kelly was then admitted to the meeting. 1. Anthony and carried unani- mous ly : 5.1"33 BE IT RESOLVED that the Company file a suit for adjudication of the San Luis Bey River Basin, and that Attorney Eberhard be instructed to proceed n to file suit asking for the adjudication of the entire stream of the San Luis Rey River below Henshaw a Attorney Dennis agreed to talk to some of his clients about the matter aad see whether any of them would join us as plaintiffs. The suggestion was made of splitting the stock and giving the shareholders three shares for two so that they would have extra stock to sell to people who-did not have stock.
